Rada Nadzorcza spółki Makarony Polskie SA (dalej:

Spółka), działając na podstawie art. 382 §3 Kodeksu spółek

handlowych, §19 lit. a) Statutu Spółki oraz §70 ust. 1 pkt

14 oraz §71 ust. 1 pkt 12 Rozporządzenia Ministra

Finansów z dnia 29 marca 2018 roku w sprawie informacji

bieżących i okresowych … (Dz.U. z 2018 r. poz. 757),

dokonała oceny przedłożonych przez Zarząd sprawozdań,

zbadanych przez firmę audytorską – BDO Spółka

z ograniczoną odpowiedzialnością Sp.k., tj.:

1. Sprawozdanie finansowe Makarony Polskie SA za rok

obrotowy 2022, na które składa się:

− wprowadzenie do sprawozdania finansowego,

− sprawozdanie z sytuacji finansowej sporządzone

na dzień 31 grudnia 2022 roku, które po stronie

aktywów i pasywów wykazuje sumę

195 318 tys. zł,

− sprawozdanie z całkowitych dochodów za rok

obrotowy od 1 stycznia 2022 roku do 31 grudnia

2022 roku wykazujące całkowity dochód netto

w wysokości 10 462 tys. zł,

Report on the results of the assessment

of Supervisory Board concerning the

Management Board’s report on the operations

of the Company and Makarony Polskie Group,

the financial statements of the Company

and consolidated financial statements of Makarony

Polskie Group for the reporting year 2022

The Supervisory Board of company Makarony Polskie SA

(hereinafter: the Company), Acting pursuant to Article

382.3 of the Code of Commercial Companies, § 19.a of the

Company Articles and to § 70.1.14 and § 71.1.12 of the

Regulation of the Minister of Finance of 29 March 2018

on current and interim disclosure [...] (Journal of Laws

of 2018, item 757), has assessed the reports submitted

by the Management Board, audited by the auditing

company – BDO Spółka z ograniczoną odpowiedzialnością

Sp.k., i.e.:

1. The financial statements of the Makarony Polskie SA

for the reporting year 2022, which consists of:

− introduction to the financial statements;

− statement of financial position as at 31 December

2022, reflecting on the side of assets and

equity/liabilities, respectively, the amount

of PLN 195,318 k;

− statement of comprehensive income for the

reporting year from 1 January 2022 to

31 December 2022 reflecting total net income

of PLN 10,462 k;

2022 roku wykazujące wzrost kapitału własnego

o kwotę 7 150 tys. zł,

− sprawozdanie z przepływów pieniężnych za rok

obrotowy od 1 stycznia 2022 roku do 31 grudnia

2022 roku wykazujące spadek stanu środków

pieniężnych o kwotę 25 665 tys. zł,

− dodatkowe informacje i objaśnienia.

2. Sprawozdanie Zarządu z działalności Spółki i Grupy

Makarony Polskie za rok obrotowy 2022,

3. Skonsolidowane sprawozdanie finansowe Grupy

Makarony Polskie za rok obrotowy 2022, na które

składa się:

− wprowadzenie do skonsolidowanego sprawozdania

finansowego,

− skonsolidowane sprawozdanie z sytuacji

finansowej sporządzone na dzień 31 grudnia 2022

roku, które po stronie aktywów i pasywów zamyka

się sumą 239 332 tys. zł,

− skonsolidowane sprawozdanie z całkowitych

dochodów za rok obrotowy od 1 stycznia 2022

roku do 31 grudnia 2022 roku wykazujące

całkowity dochód netto w wysokości 24 458 tys. zł

− skonsolidowane sprawozdanie ze zmian w kapitale

własnym za rok obrotowy od 1 stycznia 2022 roku

do 31 grudnia 2022 roku wykazujące wzrost

kapitału własnego o kwotę 21 260 tys. zł,

− skonsolidowane sprawozdanie z przepływów

pieniężnych za rok obrotowy od 1 stycznia 2022

roku do 31 grudnia 2022 roku wykazujące spadek

stanu środków pieniężnych o kwotę 18 330 tys. zł,

− dodatkowe informacje i objaśnienia.

Rada Nadzorcza ocenia, że przedstawione przez Zarząd

Makarony Polskie SA sprawozdania przedstawiają rzetelnie

i jasno wszystkie informacje niezbędne i istotne dla oceny

sytuacji majątkowej i finansowej Spółki oraz Grupy

Makarony Polskie na dzień 31 grudnia 2022 roku, jak też są

zgodne z księgami, dokumentami oraz ze stanem

faktycznym.

Rada Nadzorcza stwierdza, że sprawozdanie Zarządu

− statement of changes in equity for the reporting

year from 1 January 2022 to 31 December 2022,

reflecting equity increase by PLN 7,150 k;

− statement of cash flows for the reporting year

from 1 January 2022 to 31 December 2022,

reflecting a decrease in the balance of cash

by PLN 25,665 k;

− additional information and explanatory notes.

2. Report of the Management Board on the operations

of the Company and the Makarony Polskie Group

for the reporting year 2022,

3. Consolidated financial statements of the Makarony

Polskie Group for the reporting year 2022, which

consists of:

− the introduction to the consolidated financial

statements;

− consolidated statement of financial position

as at 31 December 2022, reflecting on the side

of assets and equity/liabilities, respectively,

the amount of PLN 239,332 k;

− consolidated statement of comprehensive income

for the reporting year from 1 January 2022

to 31 December 2022 reflecting total net income

of PLN 24,458 k;

The Supervisory Board assesses that the reports presented

by the Management Board of Makarony Polskie SA present

reliably and clearly all the information which is necessary

and important for the assessment of the financial

and economic situation of the Company and the Makarony

Polskie Group as at 31 December 2022, which is also

compliant with the books, documents and reflects

the facts.

The Supervisory Board states that the report of

obrotowy 2022 we wszystkich istotnych aspektach

odpowiada wymogom określonym w art. 49 i art. 55 ust.

2a ustawy o rachunkowości oraz w Rozporządzeniu Ministra

Finansów z dnia 29 marca 2018 roku w sprawie informacji

bieżących i okresowych przekazywanych przez emitentów

papierów własnościowych oraz warunków uznawania

za równoważne informacji wymaganych przepisami prawa

państw nie będących państwem członkowskim, a zawarte

w nim informacje są zgodne z informacjami zawartymi

w zbadanych przez biegłego rewidenta: sprawozdaniu

finansowym spółki Makarony Polskie SA oraz

skonsolidowanym sprawozdaniu finansowym Grupy

Makarony Polskie za rok obrotowy 2022.

Rada Nadzorcza dokonała pozytywnej oceny sprawozdania

finansowego Makarony Polskie SA za rok obrotowy 2022,

skonsolidowanego sprawozdania finansowego Grupy

Makarony Polskie za rok obrotowy 2022 oraz sprawozdania

Zarządu z działalności Spółki i Grupy Makarony Polskie

za rok obrotowy 2022 na podstawie:

− treści wyżej wymienionych sprawozdań

przedstawionych przez Zarząd Makarony Polskie SA,

− spotkań Komitetu Audytu z przedstawicielami firmy

audytorskiej BDO Spółka z ograniczoną

odpowiedzialnością Sp.k., w tym z kluczowym biegłym

rewidentem,

− informacji Komitetu Audytu o przebiegu, wynikach

i znaczeniu badania dla rzetelności sprawozdawczości

finansowej w Spółce oraz roli Komitetu Audytu

w procesie badania sprawozdań finansowych,

− wyników innych czynności sprawdzających

dokonywanych przez Radę Nadzorczą i Komitet

Audytu w toku bieżącej działalności, w wybranych

obszarach operacyjnych i finansowych.

Rada Nadzorcza rekomenduje Walnemu Zgromadzeniu

zatwierdzenie przedłożonych przez Zarząd sprawozdań.

the Management Board on the operations of the Company

and the Makarony Polskie Group for the reporting year

2022 corresponds in all material respects to the

requirements specified in Art. 49 and Art. 55, para. 2a

of the Accounting Act and in the Regulation of the Minister

of Finance of 29 March 2018 on current and periodical

information published by issuers of securities and

on consideration as equivalent the information required

by law of the countries outside the EU, and the information

contained therein is consistent with the information

contained in the financial statement of Makarony Polskie SA

and the consolidated financial statement of Makarony

Polskie Group for the reporting year 2022 examined

by a certified auditor.

The Supervisory Board assessed in a favorable manner

the financial statement of the Makarony Polskie SA for the

reporting year 2022, consolidated financial statement

of the Makarony Polskie Group for the reporting year 2022

as well as the report of the Management Board on the

operations of the Company and Makarony Polskie Group

for the reporting year 2022 on the basis of the following:

− content of the above mentioned statements and

reports submitted by the Management Board

of Makarony Polskie SA,

− meetings of the Audit Committee with the

representatives of the audit firm Spółka z ograniczoną

odpowiedzialnością Sp.k., including key certified

auditor,

− information of the Audit Committee on the progress,

results and meaning of the examination for the

integrity of financial reporting in the Company as well

as on the function of Audit Committee in the process

of financial statements examination,

− results of other controlling activities undertaken

by the Supervisory Board and the Audit Committee

in the course of current activity in selected operational

and financial areas.

The Supervisory Board recommends to the General Meeting

to approve the statements submitted by the Management

Board.
