I. The Supervisory Board's assessment of
the separate and consolidated financial
statements of the Company and the CD
PROJEKT Group for the year ending
on 31 December 2024 and the report of
the Management Board on CD
PROJEKT Group activities for the
financial year ending on 31 December
2024
Rada Nadzorcza Spółki, działając zgodnie z
wymogami § 70 ust. 1 pkt 14) i § 71 ust. 1 pkt 12)
Rozporządzenia Ministra Finansów z dnia 29 marca
2018 r. w sprawie informacji bieżących i
okresowych przekazywanych przez emitentów
papierów wartościowych oraz warunków
uznawania za równoważne informacji wymaganych
przepisami prawa państwa niebędącego państwem
członkowskim (Dz. U. 2018 poz. 757 z dnia
2018.04.20 z późń. zm.), po rozpatrzeniu:
The Supervisory Board of the Company, acting
pursuant to requirements of § 70 Section 1 item 14)
and § 71 Section 1 item 12) of the Regulations of
the Minister of Finance of 29 March 2018 on
current and periodic information provided by
issuers of securities and the conditions for
recognising as equivalent information required by
the laws of a non-member state (Journal of Laws
2018 item 757 of 2018.04.20 as amended),
following review of:
1. Jednostkowego sprawozdania
finansowego Spółki za rok obrotowy
zakończony 31 grudnia 2024 roku
1. The separate financial statement of the
Company for the financial year ending
on 31 December 2024
- stwierdza, że przedmiotowe sprawozdanie
zostało sporządzone zgodnie z księgami i
dokumentami oraz stanem faktycznym,
oraz że dane finansowe są rzetelne,
prawidłowe i rzeczywiste i zostały
sporządzone i zaprezentowane zgodnie z
wymogami właściwych przepisów;
- concludes that the statement referred to
has been prepared in accordance with the
books and documents and the facts and
that the financial data are true, accurate and
real and have been prepared and presented
in accordance with the requirements of the
relevant regulations;
2. Skonsolidowanego sprawozdania
finansowego Grupy Kapitałowej CD
PROJEKT za rok obrotowy
zakończony 31 grudnia 2024 roku
2. The consolidated financial statement
of CD PROJEKT Group for the
financial year ending on 31 December
2024
- stwierdza, że przedmiotowe sprawozdanie
zostało sporządzone zgodnie z księgami i
dokumentami oraz stanem faktycznym,
oraz że dane finansowe są rzetelne,
prawidłowe i rzeczywiste i zostały
sporządzone i zaprezentowane zgodnie z
wymogami właściwych przepisów;
- concludes that the statement referred to
has been prepared in accordance with the
books and documents and the facts and
that the financial data are true, accurate and
real and have been prepared and presented
in accordance with the requirements of the
relevant regulations;
3. Sprawozdania Zarządu z działalności
Grupy Kapitałowej CD PROJEKT za
rok obrotowy zakończony 31 grudnia
2024 r., zawierającego Oświadczenie
dotyczące zrównoważonego rozwoju
Grupy CD PROJEKT
3. The Management Board report on CD
PROJEKT Group activities for the
financial year ending on 31 December
2024, including the Sustainability
statement of the CD PROJEKT Group
- stwierdza, że przedmiotowe sprawozdanie
zostało sporządzone zgodnie z księgami i
dokumentami oraz stanem faktycznym
oraz zawiera niezbędne, syntetyczne
informacje dotyczące funkcjonowania
Spółki i Grupy Kapitałowej CD
PROJEKT w 2024 roku.
- states that this report has been prepared in
accordance with the books and documents
and the facts and contains the necessary
synthetic information on the operation of
the Company and the CD PROJEKT
Group in 2024.
Rada Nadzorcza zapoznała się ze
Sprawozdaniem niezależnego biegłego
rewidenta z badania rocznego
sprawozdania finansowego CD
PROJEKT S.A. za rok obrotowy kończący
się 31 grudnia 2024 r. oraz Sprawozdaniem
niezależnego biegłego rewidenta z badania
rocznego skonsolidowanego sprawozdania
finansowego Grupy Kapitałowej CD
PROJEKT za rok obrotowy kończący się
31 grudnia 2024 r. Biegły rewident wydał
opinie bez zastrzeżeń.
The Supervisory Board reviewed the
Report of the independent auditor on the
audit of the annual financial statement of
CD PROJEKT S.A. for the financial year
ending 31 December 2024 and the Report
of the independent auditor on the audit of
the consolidated financial statement of the
CD PROJEKT Group for the financial
year ending 31 December 2024. The
auditor issued opinions without
reservations.
Dodatkowo Rada Nadzorcza zapoznała
się ze sprawozdaniem niezależnego
biegłego rewidenta z atestacji
sprawozdawczości zrównoważonego
rozwoju (stanowiącej element
Sprawozdania Zarządu z działalności
Grupy CD PROJEKT za rok obrotowy
zakończony 31 grudnia 2024). Biegły
rewident na podstawie wykonanych
procedur atestacyjnych i uzyskanych
dowodów nie zidentyfikował jakiejkolwiek
sprawy, która powodowałaby przekonanie,
że:
- sprawozdawczość zrównoważonego
rozwoju Grupy Kapitałowej CD
PROJEKT nie jest zgodna, we
wszystkich istotnych aspektach, z
wymogami Rozdziału 6c ustawy z
dnia 29 września 1994 roku o
rachunkowości, w tym z
Europejskimi Standardami
Sprawozdawczości w zakresie
Zrównoważonego Rozwoju (ESRS),
- proces oceny istotności
przeprowadzony przez Grupę
Kapitałową CD PROJEKT w celu
identyfikacji informacji ujętych w
Sprawozdawczości zrównoważonego
rozwoju (Proces oceny istotności), nie
jest zgodny, we wszystkich istotnych
aspektach, z ESRS,
Moreover, the Supervisory Board reviewed
the independent auditor's report on the
attestation of sustainability reporting
(which forms part of the Management
Board report on the CD PROJEKT
Group activities in the financial year
ending on 31 December 2024). The
auditor, on the basis of the attestation
procedures performed and the evidence
obtained, did not identify any matter that
would cause the auditor to believe that:
- CD PROJEKT Group's sustainability
reporting does not comply, in all
material respects, with requirements
of Chapter 6c of the Accounting Act
of 29 September 1994, including the
European Sustainability Reporting
Standards (ESRS),
- the materiality assessment process
carried out by the CD PROJEKT
Group to identify the information
included in the Sustainability
reporting (Materiality assessment
process) does not comply, in all
material respects, with the ESRS,
- Sprawozdawczość zrównoważonego
rozwoju Grupy Kapitałowej CD
PROJEKT nie jest zgodna, we
wszystkich istotnych aspektach, z
wymogami sprawozdawczymi
zawartymi w art. 8 rozporządzenia
Parlamentu Europejskiego i Rady
(UE) 2020/852 z dnia 18 czerwca
2020 roku w sprawie ustanowienia
ram ułatwiających zrównoważone
inwestycje, zmieniającego
rozporządzenie (UE) 2019/2088.
- the CD PROJEKT Group's
sustainability reporting does not
comply, in all material respects, with
the reporting requirements of Article
8 of Regulation (EU) 2020/852 of the
European Parliament and of the
Council of 18 June 2020 establishing
a framework to facilitate sustainable
investment, amending Regulation
(EU) 2019/2088.
