| Zarząd spółki Cl Games SE z siedzibą w Warszawie („Spółka”) w nawiązaniu do informacji przekazanych przez Spółkę w raporcie bieżącym nr 9/2022 z dnia 29 kwietnia 2022 r. oraz raporcie bieżącym nr 13/2023 z dnia 28 marca 2023 r., informuje o podpisaniu w dniu 31 października 2023 r. dwóch aneksów do umów kredytu zawartych z bankiem Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna z siedzibą w Warszawie ("PKO BP"), których przedmiotem jest wydłużenie okresów udzielania kredytów. Przedmiotowe aneksy dotyczą: a) wydłużenia okresu udzielenia kredytu do dnia 31 stycznia 2024 r. (aneks do umowy limitu kredytowego wielocelowego zawartej w dniu 29 kwietnia 2022 r. pomiędzy Spółką a PKO BP na kwotę 29 mln złotych), b) wydłużenia okresu udzielenia kredytu do dnia 31 grudnia 2023 r. (aneks do umowy kredytu obrotowego nieodnawialnego zawartej dnia 27 marca 2023 roku pomiędzy Spółką a PKO BP na kwotę 20 mln złotych). W zakresie innych istotnych postanowień ww. umów kredytu, umowy te nie uległy zmianie. Zarząd Spółki uznał za zasadne zakwalifikowanie niniejszej informacji jako poufnej w rozumieniu przepisów art. 17 ust. 1 Rozporządzenia MAR. |

| Current report number: 38/2023 Date: 31 October 2023 Legal basis: Art. 17 Section 1 of MAR - confidential information Subject: Conclusion of annexes to loan agreements with PKO BP S.A. The Management Board of Cl Games SE with its registered office in Warsaw (the “Company“) in reference to the information provided by the Company in current report No. 9/2022 dated 29 April 2022 and current report No. 13/2023 dated 28 March 2023, hereby informs that on 31 October 2023 it signed two annexes to the loan agreements concluded with the bank Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna, based in Warsaw ("PKO BP"), the subject of which is the extension of loan periods. The aforementioned annexes concern: a) extension of the term of the loan until 31 January 2024 (an annex to the multi-purpose credit limit agreement concluded on 29 April 2022 between the Company and PKO BP for the amount of PLN 29 million); b) extension of the term of the loan until 31 December 2023 (an annex to the non-revolving operating loan agreement concluded on 27 March 2023 between the Company and PKO BP for the amount of PLN 20 million). In terms of the other material provisions of the aforementioned loan agreements, the agreements remained unchanged. The Management Board of the Company considered it reasonable to qualify this information as confidential within the meaning of Article 17 (1) of the MAR Regulation.
