| Bank Zachodni WBK S.A. ("Bank") w załączeniu przekazuje do publicznej wiadomości zawiadomienie otrzymane w dniu 13 sierpnia 2014 r. od Banco Santander S.A. ("Santander"), dotyczące zwiększenia bezpośredniego udziału Santander w ogólnej liczbie głosów na walnym zgromadzeniu Banku z 65,99% do 71,41%, w związku z nabyciem przez Santander od Santander Consumer Finance S.A. ("SCF"), będącego podmiotem zależnym Santander, w dniu 13 sierpnia 2014 r., w drodze transakcji pakietowej, akcji Banku posiadanych przez SCF, stanowiących 5,42% udziału w ogólnej liczbie głosów na walnym zgromadzeniu Banku ("Transakcja"). Przed przeprowadzeniem Transakcji, Santander posiadał, bezpośrednio i pośrednio, akcje Banku stanowiące 71,41% udziału w ogólnej liczbie głosów na walnym zgromadzeniu Banku. Po przeprowadzeniu Transakcji Santander posiada bezpośrednio akcje Banku stanowiące 71,41% udziału w ogólnej liczbie głosów na walnym zgromadzeniu Banku. Podstawa prawna: Art. 70 pkt 1 w zw. z art. 69 ust. 2 pkt 2 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (tekst jedn. Dz. U. z 2009 r., Nr 185, poz. 1439 ze zm.). |

| Date of the report: 13 August 2014 Current Report No.: 40/2014 Subject: Notification from Banco Santander S.A. Bank Zachodni WBK S.A. (the “Bank”), hereby discloses as public information, the notification received from Banco Santander S.A. (“Santander”) on 13 August 2014, regarding the increase of Santander’s direct share in the total number of votes at the general meeting of the shareholders of the Bank from 65.99% to 71.41% related to the acquisition by Santander from Santander Consumer Finance S.A. (“SCF”), being a subsidiary of Santander, on 13 August 2014, by way of a block transaction, of the shares in the Bank’s share capital held by SCF, constituting a 5.42% share in the total number of votes at the general meeting of the shareholders of the Bank (the “Transaction”). Prior to the completion of the Transaction, Santander held, directly and indirectly, shares in the Bank representing 71,41% of the total number of votes at the general meeting of the shareholders of the Bank. After the completion of the Transaction, Santander directly holds shares in the Bank representing 71,41% of the total number of votes at the general meeting of the shareholders of the Bank.
