| Zarząd spółki mBank S.A. podaje do wiadomości, że Rada Nadzorcza mBanku S.A. dokonała dnia 27 marca 2024 r. wyboru członków Zarządu mBanku S.A. na kadencję rozpoczynającą się z dniem 28 marca 2024 r., w następującym składzie: Cezary Stypułkowski – Prezes Zarządu, przy czym Rada Nadzorcza uzgodniła z Panem Cezarym Stypułkowskim, że będzie on pełnił swoją funkcję do dnia odbycia Zwyczajnego Walnego Zgromadzenia Akcjonariuszy zatwierdzającego sprawozdanie finansowe mBanku S.A. za rok obrotowy 2024. Cezary Stypułkowski jest prezesem zarządu od 2010 roku. Od 2023 roku pełni funkcję Przewodniczącego Rady Związku Banków Polskich oraz przewodniczy Sekcji Banków Dużych przy ZBP. Od 2022 zasiada z radzie doradców MasterCard. W latach 2006-2010 pracował w J.P. Morgan w Londynie, gdzie od 2007 roku był dyrektorem zarządzającym banku inwestycyjnego J.P. Morgan na Europę Środkową i Wschodnią. W latach 2003-2006 pełnił funkcję prezesa zarządu grupy PZU, a w latach 1991-2003 kierował zarządem Banku Handlowego S.A. Był członkiem międzynarodowej rady doradczej zarządu Deutsche Banku, międzynarodowej rady doradczej INSEAD oraz Geneva Association. Od 2012 jest współprzewodniczącym Emerging Markets Advisory Council przy IIF w Waszyngtonie. Jest doktorem nauk prawnych Uniwersytetu Warszawskiego. W późnych latach osiemdziesiątych jako stypendysta Fullbrighta studiował na Business School uniwersytetu Columbia w Nowym Jorku. Pan Cezary Stypułkowski nie figuruje w Rejestrze Dłużników Niewypłacalnych, prowadzonym na podstawie ustawy o KRS. Zanim związał się z mBankiem, doświadczenie zdobywał w obszarze bankowości inwestycyjnej, restrukturyzacji i windykacji (Bank PBG) oraz w obszarze detalicznym jako dyrektor oddziału w Łodzi – 5 największego oddziału Banku Pekao S.A., wówczas drugiego głównego banku dla klientów detalicznych w Polsce. Jest absolwentem Uniwersytetu Łódzkiego na kierunku Finanse i Bankowość. W 2015 r. ukończył Advanced Management Program (AMP 189) w Harvard Business School, a w marcu 2018 r. kurs Strategic Management in Banking w INSEAD. Posiada licencję maklera papierów wartościowych. Pan Cezary Kocik nie figuruje w Rejestrze Dłużników Niewypłacalnych, prowadzonym na podstawie ustawy o KRS. Według posiadanych przez Zarząd mBanku S.A. informacji Pan Cezary Kocik nie wykonuje działalności konkurencyjnej względem Banku. Marek Lusztyn – Wiceprezes Zarządu ds. Zarządzania Ryzykiem Marek Lusztyn od 2020 roku pełni funkcję wiceprezesa zarządu ds. zarządzania ryzykiem. Ma ponad 25 letnie doświadczenie w sektorze finansowym. Od września 2019 r. związany zawodowo również ze Szkołą Główną Handlową, Początkowo zasiadał w Radzie Uczelni, do której wybrany został przez Senat Uczelni z rekomendacji Klubu Partnerów SGH, grona wiodących polskich i międzynarodowych firm blisko współpracujących z uczelnią, a obecnie jest adiunktem w Instytucie Bankowości. Od czerwca 2022 r. pełni funkcję przewodniczącego rady nadzorczej Systemu Ochrony Banków Komercyjnych, powołanych przez osiem największych banków w Polsce z zadaniem wspierania stabilności sektora bankowego. W 2014 r. został wyróżniony tytułem Future Leader in Global Finance przez Institute of International Finance w Waszyngtonie. Jest doktorem nauk ekonomicznych Szkoły Głównej Handlowej w Warszawie i absolwentem programu Executive MBA University of Illinois i Uniwersytetu Warszawskiego, absolwentem INSEAD oraz inżynierem informatyki. Ukończył także wiele programów szkoleniowych z zakresu bankowości i zarządzania m.in. na Singularity University, IMD oraz Stanford Graduate School of Business. Controllingu Bankowości Korporacyjnej w Commerzbank AG (Head of Divisional Controlling Corporate Clients). W przeszłości pracował w Niemczech, Polsce, Hongkongu, a także w Wielkiej Brytanii i zdobywał doświadczenie szczególnie w finansach, bankowości korporacyjnej i detalicznej. Pascal Ruhland ukończył wyższe studia magisterskie na kierunku Rachunkowość i Finanse na Uniwersytecie Nauk Stosowanych we Frankfurcie nad Menem, a w 2019 r. rozpoczął również studia doktoranckie na Uniwersytecie UCAM & FOM w Murcji. IT i technologii w mBanku. Wcześniej, będąc CTO grupy Allegro – lidera e-commerce w Polsce, nadzorował jedną z największych w regionie transformacji Agile. W okresie 2004-2011 jako szef departamentu rozwoju oprogramowania współtworzył polskie centrum usług dzielonych F. Hoffman-La Roche, jednej z największych firm farmaceutycznych na świecie. Compliance, prawnych i HR Julia Nusser od 2023 roku pełni funkcję wiceprezeski zarządu ds. compliance, prawnych i HR. Julia Nusser ma ponad 25 lat doświadczenia zawodowego w sektorze bankowym. Od ponad 20 lat zarządza dużymi i różnorodnymi zespołami. Zanim dołączyła do mBanku, pełniła funkcję dyrektorki zarządzającej ds. procesów i systemów KYC w Commerzbanku AG. Odpowiadała za tworzenie, rozwój, implementację oraz działanie systemów i procesów pierwszej linii KYC dla Commerzbanku AG na całym świecie we wszystkich grupach klientów. Do roku 2020 pełniła funkcję Dyrektorki Zarządzającej i Globalnej Dyrektorki Operacji Finansowania Handlu w Commerzbanku AG. Wcześniej zajmowała różne funkcje w ramach audytu wewnętrznego w Dresdner Bank (który został następnie przejęty przez Commerzbank AG). Julia Nusser jest również członkinią rady nadzorczej CERI International w Polsce. Julia Nusser w 2002 r. ukończyła studia magisterskie na kierunku bankowość na uczelni Frankfurt School of Finance & Management (Hochschule für Bankwirtschaft), a wcześniej studia połączone z praktycznym szkoleniem w zakresie usług i operacji bankowych (Bankkauffrau Apprenticeship Program and Certification). | Election of the Management Board of mBank S.A. for a new term of office The Management Board of mBank S.A. hereby announces that on March 27, 2024, the Supervisory Board of mBank S.A. elected members of the Management Board for a term of office starting as of 28 March 2024, in the following compositions: Cezary Stypułkowski - President of the Management Board, wherein the Supervisory Board agreed with Mr. Cezary Stypułkowski that he will perform his function until the date of the Ordinary General Meeting of Shareholders approving the financial statements of mBank S.A. for the financial year 2024.Cezary Stypułkowski has served as the President of the Management Board since 2010.Since 2023, he has been the chairman of the Council of the Polish Bank Association (ZBP), where he also chairs the Section of Large Banks. Since 2022, he has sat on Mastercard’s Advisory Board.Between 2006 and 2010, Cezary Stypułkowski worked for the investment bank J.P. Morgan in London, where in 2007 he was appointed as the managing director of J.P. Group for many years, at first in the back office, then in Corporate Banking, and finally in Financial Markets. This included creating, developing, implementing, and operating of first line of defence KYC systems and processes for Commerzbank AG worldwide for all client groups. Until 2020, she had been the Managing Director and Global Head of Trade Finance Operations at Commerzbank AG. In the past, she held various internal audit functions at Dresdner Bank (later acquired by Commerzbank AG).
