Zarząd Vivid Games S.A. (dalej jako: „Spółka”, ), w nawiązaniu do raportów ESPI nr 14/2022 z dnia 20 czerwca 2022 i 18/2022 z dnia 1 sierpnia 2022, niniejszym informuje, że w dniu 1 września 2022 r. Spółka zawarła umowę sprzedaży technologii Bidlogic. Kupującym jest Publishers Revenue Optimization sp. z o.o. z siedzibą we Wrocławiu, działająca pod marką optAd360 (dalej jako: Kupujący), specjalizująca się w monetyzacji serwisów internetowych i aplikacji mobilnych.

Zgodnie z ww. umową Kupujący nabył pełne prawa do technologii Bidlogic wraz ze wszystkimi jej elementami za łączną cenę równą 9 mln złotych netto, która zostanie zapłacona w trzech transzach, przy czym większość, tj. 7 mln złotych netto, zostanie zapłacona w dniu zawarcia umowy sprzedaży. Transza druga, w wysokości 1,5 mln złotych netto zostanie zapłacona przez Kupującego do 31 stycznia 2023 r., a trzecia, w kwocie 0,5 mln złotych netto do 31 stycznia 2024 r.

Zgodnie z zawartą wcześniej umową z założycielem projektu Bidlogic, Spółka zobowiązana jest do zapłaty na jego rzecz wynagrodzenia w wysokości 49,5 % ceny sprzedaży, tj. w łącznej kwocie 4 455 tys. złotych netto.

W związku z pozyskaniem dodatkowych środków finansowych z ww. transakcji, Zarząd Spółki rozważy w kolejnych miesiącach przedterminową spłatę pozostałych rat wynikających z zatwierdzonego w dniu 5 listopada 2020 układu, w przyspieszonym postępowaniu układowym dotyczącym Spółki. Najbliższa, ósma, rata układowa zostanie spłacona w terminie wynikającym z harmonogramu, tj. 21 września 2022 r.. O podjęciu decyzji w przedmiocie spłaty pozostałych rat i terminie ich spłaty Zarząd poinformuje raportem bieżącym.
