W nawiązaniu do raportów bieżących nr 4/2011 z dnia 21 stycznia 2011 roku oraz nr 12/2011 z dnia 11 lutego 2011 roku, Zarząd Ciech S.A. informuje, że w dniu 15 lutego 2011 r. Europejski Bank Odbudowy i Rozwoju ("EBOiR"), zgodnie z decyzją Rady Dyrektorów, przystąpił do Umowy Kredytowej (zgodnie z definicją tego terminu zawartą w raporcie bieżącym nr 12/2011) akceptując, tym samym, jej warunki.

Kluczowe warunki Umowy Kredytowej, w tym udzielanego przez EBOiR Kredytu Inwestycyjnego (zgodnie z definicją tego terminu zawartą w raporcie bieżącym nr 12/2011) opisane zostały w raporcie bieżącym nr 12/2011 z dnia 11 lutego 2011 roku.

Warunkiem wypłaty środków przez EBOiR jest m.in. uzgodnienie dokumentacji zabezpieczeń oraz spełnienie wskazanych w Umowie Kredytowej warunków uruchomienia Kredytu Inwestycyjnego.

Przystąpienie przez EBOiR do Umowy Kredytowej było jednym z warunków zawieszających uruchomienia kredytów przewidzianych w Umowie Kredytowej.

Podstawa prawna: § 5 ust. 1 pkt. 4 Rozporządzenia Ministra Finansów z dnia 19 lutego 2009 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim (Dz. U. z dnia 28 lutego 2009 r.)

	MESSAGE (ENGLISH VERSION)
	Subject: Accession to the Facility Agreement by EBRD Legal basis: § 5 sec. 1 point 4 of the Ordinance of the Minister of Finance of 19 February 2009 on Current and Periodic Information Delivered by Securities Issuers and the Conditions of Recognising the Information Required by the Provisions of Law of a State not being a Member State as Equivalent to the Current and Periodic Information Delivered by Securities Issuers (Journal of Law of 28 February 2009). Report contents: With reference to current reports no. 12/2011 dated 11 February 2011 and no. 4/2011 dated 21 January 2011, the Management Board of Ciech S.A. informs that on 15 February 2011, pursuant to the decision of the Board of Directors, the European Bank for Reconstruction and Development (the "EBRD") acceded to the Facility Agreement (in accordance with the definition of this term included in current report no. 12/2011), thus accepting the terms and conditions thereof. The key terms and conditions of the Facility Agreement, including the granted by EBRD Capex Term Facility (in accordance with the definition of this included in current report no. 12/2011), were described in current report no. 12/2011 dated 11 February 2011. In order to obtain financing from EBRD it will be necessary to, among other things, agree upon the contents of the security documentation and fulfil the conditions for the launching of the Capex Term Facility stipulated in the Facility Agreement. Accession by EBRD to the Facility Agreement was one of the conditions precedent for the drawdown of the facilities stipulated therein.
