| W nawiązaniu do raportu bieżącego nr 29/2013 z dnia 6 sierpnia 2013 r., Zarząd Giełdy Papierów Wartościowych w Warszawie S.A. ("GPW", "Spółka", "Giełda") informuje, że w dniu 19 sierpnia 2013 r. zawarł z Aquis Exchange Limited umowę objęcia akcji nowej emisji Aquis Exchange Limited ("Aquis Exchange"). Przedmiotem umowy jest objęcie 384.025 akcji zwykłych, nowej emisji, za cenę 13,02 GBP za jedną akcję, przy czym nabycie 230.416 akcji nastąpi pod warunkiem otrzymania przez Aquis Exchange zgody brytyjskiego Urzędu Nadzoru Usług Finansowych (ang. "Financial Conduct Authority", "FCA") na prowadzenie działalności w formie wielostronnej platformy obrotu (ang. "Multilateral Trading Facility", "MTF") oraz pod warunkiem otrzymania przez GPW zgody FCA na zwiększenie zaangażowania w akcjonariacie Aquis Exchange. Cena nabycia wyżej wymienionych 384.025 akcji Aquis Exchange przez GPW wyniesie 5 mln GBP (pięć milionów funtów brytyjskich). GPW zamierza docelowo (po objęciu 384.025 akcji) kontrolować akcje reprezentujące 30% praw głosu na walnym zgromadzeniu Aquis Exchange oraz dające m. in. prawo do 30% dywidendy w przypadku jej wypłaty przez Aquis Exchange. Nabyte akcje dadzą GPW uprawnienia do powołania dwóch dyrektorów w skład Board of Directors Aquis Exchange. Nabycie akcji Aquis Exchange zostanie sfinansowane ze środków własnych GPW. Aktywa te traktowane są jako inwestycja długoterminowa. Nabywane akcje nie stanowią aktywów o znacznej wartości z uwagi na to, że wartość transakcji nie przekracza 10% kapitałów własnych GPW. Według najlepszej wiedzy Spółki nie występują powiązania między GPW oraz osobami zarządzającymi i nadzorującymi GPW, a Aquis Exchange oraz osobami zarządzającymi i nadzorującymi Aquis Exchange. Aquis Exchange jest spółką z siedzibą w Wielkiej Brytanii, powołaną w 2012 r., która zamierza, po otrzymaniu zgody brytyjskiego regulatora, organizować pan-europejski rynek obrotu akcjami w formie wielostronnej platformy obrotu. Nabycie udziałów w Aquis Exchange wpisuje się w strategię dywersyfikacji źródeł przychodów Grupy GPW oraz wzmacniania marki i pozycji Giełdy na międzynarodowych rynkach finansowych. |

| Current Report No. 30/2013Date: 19.08.2013Subject: Execution of share subscription agreement for Aquis Exchange Limited sharesLegal basis for disclosure: Art. 56.1.1 of the Public Offering Act - inside informationContent:With reference to Current Report No. 29/2013 of August 6th 2013, The Management Board of Giełda Papierów Wartościowych w Warszawie S.A. ("WSE", "Company") reports that on August 19th 2013 it entered into a share subscription agreement with Aquis Exchange Limited concerning new issue of shares of Aquis Exchange Limited ("Aquis Exchange”).The agreement provides for the subscription for 384,025 ordinary shares, of a new issue, at a price of GBP 13.02 per share, with 230,416 shares to be acquired on condition that Aquis Exchange obtains the approval of the UK Financial Conduct Authority ("FCA”) for the conduct of operations in the form of a multilateral trading facility ("MTF”), and that WSE obtains the FCA's approval to increase its equity interest in Aquis Exchange. The cost of acquisition of the 384,025 shares of Aquis Exchange by WSE will amount to GBP 5 million (five million pounds sterling).Ultimately (following the subscription for 384,025 shares), WSE intends to control shares representing 30% of the total vote at the Aquis Exchange General Meeting and, among others, the right to receive 30% of any dividends paid by Aquis Exchange. The shares acquired by WSE will entitle the Company to appoint two directors on the Aquis Exchange Board of Directors. The acquisition will be financed by WSE's equity, with the assets viewed as a long-term investment.The shares are not deemed to be assets of a significant value, since the value of the transaction does not exceed 10% of WSE's equity. To the best of the Company's knowledge, there are no links between WSE or its management and supervisory staff and the Aquis Exchange or its management and supervisory staff.Incorporated in 2012 and based in the United Kingdom, Aquis Exchange intends to operate a pan-European equity trading market in the form of a multilateral trading facility, subject to approval by the UK regulator.The acquisition of Aquis Exchange shares is in line with WSE Group's strategy of diversifying revenue sources and strengthening WSE's brand and position on international financial markets. |
