| Zarząd Spółki informuje, że w dniu 4 września 2018 r. otrzymał pisemne oświadczenie GTC Dutch Holdings B.V. z siedzibą w Amsterdamie (Holandia) pod adresem Herikerbergweg 238, Luna Arena, 1101 CM („Uprawniony Akcjonariusz”), zgodnie z którym Uprawniony Akcjonariusz, działając na podstawie punktów 9.1a), 9.1b) oraz 9.1c) statutu Spółki powołał pana Philippe Couturier na stanowisko członka rady nadzorczej Spółki ze skutkiem natychmiastowym. Zgodnie ze swoim oświadczeniem i załączonym do niego świadectwem depozytowym Uprawniony Akcjonariusz posiada 298.575.091 akcji w Spółce, stanowiących 61,75% kapitału zakładowego Spółki i uprawniających do 61,75% głosów na walnym zgromadzeniu Spółki. Philippe Couturier jest dyrektorem generalny na Europę w Hudson Advisors i posiada ponad 20 letnie doświadczenie w inwestowaniu w nieruchomości w całej Europie. Pełniąc obowiązki Dyrektora Zarządzającego nadzoruje porady inwestycyjne dla klientów udzielane przez europejskie podmioty zarządzające aktywami Hudson Advisors i kieruje gwarantowaniem, finansowaniem i zarządzaniem wszystkimi inwestycjami Lone Star w Europie. Przed rozpoczęciem pracy w Hudson Advisors, pan Couturier piastował szereg stanowisk w Grupie Archon (grupa Goldman Sachs) w Europie, ostatecznie jako Szef działu Zakupów i Zarządzania Aktywami Kredytowymi (Head of Acquisition and Loan Asset Management). Pan Couturier jest absolwentem zarządzania i administracji INSEEC, Paryż. Zgodnie ze złożonym oświadczeniem, pan Philippe Couturier nie jest wpisany do rejestru dłużników niewypłacalnych prowadzonego na podstawie ustawy o Krajowym Rejestrze Sądowym z dnia 20 sierpnia 1997 r. oraz nie wykonuje innej działalności poza przedsiębiorstwem Spółki, która jest w stosunku do niej konkurencyjna, nie uczestniczy w spółce konkurencyjnej jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu spółki kapitałowej lub innej konkurencyjnej osoby prawnej. Podstawa prawna: § 5 ust. 5 Rozporządzenia Ministra Finansów z dnia 29 marca 2018 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim. |

| Theme: Appointment of Supervisory Board member of Globe Trade Centre S.A. The management board of the Company hereby informs that on 4 September 2018 received a written statement of GTC Dutch Holdings B.V., with its registered seat at Herikerbergweg 238, Luna Arena 1101 CM Amsterdam, the Netherlands, (the “Entitled Shareholder”), according to which the Entitled Shareholder, pursuant to sections 9.1.a), 9.1b) and 9.1c) of the articles of association of the Company appoints Mr. Philippe Couturier as a member of the supervisory board of the Company, effective immediately. Pursuant to its statement and the deposit certificate attached thereto, the Entitled Shareholder holds 298,575,091 shares in the Company, which constitute 61.75% of the Company’s share capital and entitles the holder thereof to 61.75% of the votes at the general meeting of the Company. Philippe Couturier is chief executive officer Europe of Hudson Advisors and has more than 20 years of experience with real estate investments throughout Europe. As managing director he oversees the investment advice given by Hudson Advisors European asset management entities to their clients and directs the underwriting, financing and asset management of all Lone Star investments in Europe. Prior to joining Hudson Advisors, Mr. Couturier held various positions for Archon Group (Goldman Sachs Group) in Europe, ultimately serving as head of acquisition and loan asset management. Mr. Couturier holds a degree in business and administration from INSEEC, Paris. According to his statement, Mr. Couturier is not entered in the register of insolvent debtors maintained in compliance with the Act on the National Court Register dated 20 August 1997, does not perform any activities outside of the Company’s business which could be considered competitive with respect thereto, does not participate in any competitive business either as a partner in a civil partnership or any other type of partnership, and is not a member of the authorities of any competitive company or any other competitive entity.
