This is a summary translation of the company statement communicated to the Polish Securities Commission according to the article 81.1.2 of the Law of Public Trading of Securities of the date of 21st of August of 1997 (Dz.U. Nr 118.754; Nr 141.945, Dz.U. - 1998 Nr 107.669; Nr 113.715),Board of PROKOM Software SA announces:
PROKOM Internet Sa (dependent in 99,99%) signed with CR Media
Sp. z o.o. and Penetrator S.A. brokerage firm an agreement to form a new company. The company will concentrate its operations on the widely understood internet advertising activities.
In the newly formed company PROKOM Internet SA and CR Media Sp. z o.o. will each acquire 49% of shares and votes at the general shareholders meeting, and the other 2% will be acquired by the Penetrator S.A. brokerage firm.
As a result of the agreement, TPG S.A. (dependent in 100%) will give to the newly formed company internet advertising software license rights, named "Grendel Ad Serwer". CR Media Sp. z o.o. will bring in its knowledge as well as three years experience from the presence on the internet advertising market and the marketing know-how.
Shares will be acquired after receiving the proper information from the Consumer and Competition Protection Office that there are no restrict as to joining of these two entities.

Zgodnie z art. 81.1.2 ustawy z dnia 21 sierpnia 1997 roku - Prawo o publicznym obrocie papierami wartościowymi (Dz.U. Nr 118, poz. 754 i Nr 141, poz. 945 oraz Dz.U. z 1998 roku Nr 107, poz. 669 i Nr 113, poz. 715),
Zarząd PROKOM Software SA informuje:
PROKOM Internet SA (zależna w 99,99%) zawarła z CR Media Sp. z o.o. oraz z Domem Maklerskim Penetrator SA umowę o utworzeniu nowej spółki. Przedmiotem przedsiębiorstwa spółki będzie szeroko pojęta działalność reklamowa w internecie.
W nowo utworzonym podmiocie PROKOM Internet SA oraz CR Media Sp. z o.o. obejmą po 49% akcji i głosów na walnym zgromadzeniu, natomiast pozostałe 2% obejmie Dom Maklerski Penetrator SA.
W wyniku umowy TPG SA (zależna w 100%) udzieli nowo utworzonemu podmiotowi licencji oprogramowania służącego do umieszczania reklam w internecie, pod nazwą "Grendel Ad Serwer", natomiast CR Media Sp. z o.o. wnosi znajomość oraz trzyletnie doświadczenie z obecności na rynku reklamy internetowej, a także know-how marketingowe.
Akcje zostaną objęte po uzyskaniu z Urzędu Ochrony Konkurencji i Konsumentów wymaganej prawem informacji o braku zastrzeżeń co do łączenia podmiotów.
