| Zarząd VIGO Photonics S.A. („Spółka”, „Emitent”) informuje, iż w dniu 4 maja 2023 r. pomiędzy Emitentem a spółką niemiecką zawarta została umowa o dostawy detektorów. Wartość dostaw może wynieść od 2 887 440 EUR (tj. 13 251 039,65 zł według średniego kursu ogłoszonego przez NBP w dniu poprzedzającym dzień zawarcia umowy) do 3 538 840 EUR (tj. 16 240 444,53 zł według średniego kursu ogłoszonego przez NBP w dniu poprzedzającym dzień zawarcia umowy). Umowa obejmuje dostawy od 1 stycznia 2023 r. do 31 grudnia 2023 r., z możliwością przesunięcia terminu dostawy najpóźniej do 31 marca 2024 r. Wartość zawartej umowy przekracza 10% kapitałów własnych Spółki i tym samym stanowi kryterium uznania jej za umowę znaczącą. Umowa nie zawiera zapisów dotyczących kar umownych oraz nie zastrzega warunków lub terminów rozwiązujących i zawieszających. W umowie strony zawarły zapisy dotyczące możliwości odstąpienia od umowy w przypadku systematycznego niespełniania parametrów jakościowych produktów. Pozostałe ustalenia nie odbiegają od powszechnie obowiązujących warunków rynkowych. |

| CONCLUSION OF A SIGNIFICANT AGREEMENT Management Board of VIGO Photonics S.A. (Company, Issuer) informs that on 4th of May, 2023, between the Issuer and a German company an agreement on the supply of detectors. The value of the agreement will be in the range between 2 887 440 EUR (i.e. PLN 13 251 039,65 according to the average exchange rate announced by the National Bank of Poland on the day preceding the date of conclusion of the agreement) and 3 538 840 EUR (i.e. PLN 16 240 444,53 according to the average exchange rate announced by the National Bank of Poland on the day preceding the date of conclusion of the agreement) The subject of the agreement is the sale of infrared detectors by the Company in the period between 1 January 2023 and 31 December 2023, with the possibility of postponing the delivery date to March 31, 2024 at the latest. The value of the concluded contract exceeds 10% of the Company's equity and thus constitutes a criterion for recognizing it as a significant contract. The agreement does not contain provisions on contractual penalties and does not stipulate any conditions or termination or suspensive dates. In the contract, the parties included provisions on the possibility of withdrawing from the contract in case of systematic problems with the quality of the products. Other arrangements do not differ from generally applicable market conditions.
