Optimus management and shareholder file suits against each other

The management of Optimus, Poland’s listed computer producer, is going to file a suit at the prosecutor’s office. The management suspects that Zbigniew Jakubas, the owner of 14 percent of the shares, committed a crime. Yesterday, the businessman, who was the main shareholder (22 percent) for a long time, accused the management for committing a crime.

 

The clash concerns the recent issue. In 2003, Optimus shareholders voted for an issue to be conducted by the management. The deadline was June 30 2006.

“On June 1, the supervisory board allowed the management to decide for the issue”, Piotr Lewandowski, Optimus CEO said.

“The decision was falsified. Three members of the supervisory board have stated in written that the signatures under the document are not theirs”, Zbigniew Jakubas replied.

 

The issue was conducted very quickly. The management explained that it was because poor financial situation of the company (net loss) and difficult market on the stock exchange.

“We decided that Michal Debski would be the best partner for the company”, Optimus CEO said.

Michal Debski is connected with Zatra company, the producer of computers for Optimus. Michal Debski was offered 3.9m shares, or almost 30 percent of the equity. They were evaluated at PLN 1.05 each while they cost PLN 7 (EUR 1.7) on the stock exchange.

“Issues like this are always done with a discount. The most important thing to us is the fact that the transaction guarantees the company’s security and will allow to improve its financial results”, Piotr Lewandowski said.
