Podstawa prawna: § 38 ust. 1 pkt 2 Rozporządzenia Ministra Finansów z dnia 19 lutego 2009 roku w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim.
Zgodnie z § 38 ust. 1 pkt 2 Rozporządzenia Ministra Finansów z dnia 19 lutego 2009 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim (t.j. Dz.U. 2014, poz. 133 z późn. zm.), w związku z podjęciem przez Nadzwyczajne Walne Zgromadzenie Banku Polska Kasa Opieki Spółka Akcyjna w dniu 8 czerwca 2017 roku uchwały w sprawie zmiany Statutu Banku Polska Kasa Opieki Spółka Akcyjna oraz uchwały w sprawie ustalenia tekstu jednolitego Statutu Banku Polska Kasa Opieki Spółka Akcyjna, Zarząd Banku Polska Kasa Opieki Spółka Akcyjna przedstawia treść uchwalonych zmian Statutu Banku wraz z dotychczas obowiązującym ich brzmieniem oraz przekazuje tekst jednolity Statutu Banku obejmujący dokonane zmiany.

Zarząd Banku informuje, że Komisja Nadzoru Finansowego wydała w dniu 17 marca 2017 roku decyzję nr DLB/DLB_KZS/700/37/2/2017/KS o udzieleniu zezwolenia na dokonanie zmian Statutu Banku wymienionych w punktach 1 - 5.

1. Skreślenie w § 1 Statutu Banku ust. 2 w brzmieniu:

„2. Bank Polska Kasa Opieki S.A. jest członkiem Grupy Bankowej UniCredit. UniCredit S.p.A. jest uprawnione, zgodnie z przepisami polskiego prawa, oddziaływać poprzez organy statutowe Banku na działania Banku w celu zapewnienia stabilności Grupy.”

i skreślenie oznaczenia ustępu 1.

2. Nadanie dotychczasowemu § 10 ust. 2 Statutu Banku w brzmieniu:

„2. Walne Zgromadzenie jest uprawnione do podejmowania uchwał, o ile reprezentowanych jest na nim co najmniej 50% akcji plus jedna akcja, z zastrzeżeniem bezwzględnie obowiązujących przepisów prawa.”

następującego brzmienia:

„2. Walne Zgromadzenie jest uprawnione do podejmowania ważnych uchwał, niezależnie od liczby reprezentowanych na nim akcji.”

3. Skreślenie w § 10 ust. 3 i 4 Statutu Banku w brzmieniu:

„3. Jeżeli uchwała nie została podjęta z powodu braku kworum, wymaganego zgodnie ze Statutem Banku, na kolejnym Walnym Zgromadzeniu o takim samym porządku obrad jak Walne Zgromadzenie, które nie podjęło uchwały z powodu braku kworum, do podjęcia uchwały wymagana jest obecność akcjonariuszy reprezentujących co najmniej 20% akcji.
4. Walne Zgromadzenie, o którym mowa w ust. 3, powinno odbyć się w terminie nie dłuższym niż osiem tygodni od dnia odbycia Walnego Zgromadzenia, które nie podjęło uchwały z powodu braku kworum.”

4. Skreślenie w § 22 Statutu Banku ust. 5 w brzmieniu:

„5. Zarząd Banku, w granicach określonych obowiązującymi przepisami prawa polskiego, przekazuje UniCredit S.p.A. jako podmiotowi dominującemu, wszystkie wymagane informacje i dane.”

5. Nadanie dotychczasowemu § 23 Statutu Banku w brzmieniu:

„§ 23 Zarząd Banku może udzielać prokury wyłącznie pracownikom Banku oraz innym pracownikom Grupy Bankowej UniCredit. Odwołać prokurę może każdy członek Zarządu Banku.”

następującego brzmienia:

„§ 23 Zarząd Banku może udzielać prokury wyłącznie pracownikom Banku. Odwołać prokurę może każdy członek Zarządu Banku.”

STATUT
BANKU POLSKA KASA OPIEKI SPÓŁKA AKCYJNA


I. POSTANOWIENIA OGÓLNE


§ 1
Bank Polska Kasa Opieki Spółka Akcyjna, założony w 1929 roku, jest Bankiem zorganizowanym w formie spółki akcyjnej, działającym na podstawie obowiązujących przepisów prawa, w szczególności ustawy Prawo bankowe oraz przepisów Kodeksu spółek handlowych i postanowień niniejszego Statutu.



§ 2
1. Firma Banku brzmi: “Bank Polska Kasa Opieki Spółka Akcyjna”.
2. Bank posługuje się skrótem firmy: “Bank Pekao S.A.”.


§ 3
Siedzibą Banku jest miasto stołeczne Warszawa.


§ 4
1. Bank działa na terytorium Rzeczypospolitej Polskiej i za granicą.
2. Bank może posiadać, tworzyć i likwidować oddziały i inne jednostki organizacyjne w Polsce i za granicą.


§ 5
Strukturę organizacyjną Banku tworzą:
1) Centrala Banku,
2) Jednostki operacyjne przy Centrali Banku,
3) Regiony,
4) Oddziały,
5) Inne jednostki organizacyjne.


II. DZIAŁALNOŚĆ BANKU

§ 6
1. Przedmiotem działalności Banku jest wykonywanie następujących czynności w obrocie krajowym i zagranicznym:
1) Przyjmowanie wkładów pieniężnych płatnych na żądanie lub z nadejściem oznaczonego terminu oraz prowadzenie rachunków tych wkładów,
2) Prowadzenie innych rachunków bankowych,
3) Udzielanie kredytów i pożyczek pieniężnych,
4) Przeprowadzanie rozliczeń pieniężnych we wszystkich formach przyjętych w krajowych i międzynarodowych stosunkach bankowych,
5) Wykonywanie operacji wekslowych i czekowych,
6) Przyjmowanie i dokonywanie lokat w bankach krajowych i zagranicznych,
7) Udzielanie i potwierdzanie poręczeń i gwarancji bankowych oraz otwieranie i potwierdzanie akredytyw,
8) Prowadzenie skupu i sprzedaży wartości dewizowych,
9) Prowadzenie obsługi pożyczek państwowych i zarządzanie funduszami na zlecenie,
10) Emitowanie bankowych papierów wartościowych i dokonywanie obrotu tymi papierami oraz prowadzenie kont depozytowych papierów wartościowych,
11) Dokonywanie czynności zleconych związanych z emisją oraz obsługą finansową papierów wartościowych,
12) Przechowywanie przedmiotów, dokumentów i papierów wartościowych oraz udostępnianie skrytek sejfowych,
13) Organizowanie i uczestniczenie w konsorcjach bankowych,
14) Dokonywanie obrotu i pośrednictwo w obrocie wierzytelnościami pieniężnymi,
15) Wykonywanie terminowych operacji finansowych,
16) Wykonywanie czynności powierniczych,
17) Świadczenie usług płatniczych:
a) w zakresie wydawania instrumentów płatniczych i wykonywania transakcji płatniczych przy ich użyciu
b) jako agent rozliczeniowy
oraz wykonywanie czynności związanych z tymi usługami,
18) Prowadzenie kasy mieszkaniowej,
19) Świadczenie usług konsultacyjno-doradczych w sprawach finansowych,
20) Obejmowanie lub nabywanie akcji i praw z akcji, udziałów innej osoby prawnej nie będącej bankiem lub jednostek uczestnictwa funduszy inwestycyjnych,
21) Zaciąganie zobowiązań związanych z emisją papierów wartościowych,
22) Dokonywanie obrotu papierami wartościowymi,
23) Dokonywanie na warunkach uzgodnionych z dłużnikiem zamiany wierzytelności na składniki majątku dłużnika,
24) Nabywanie i zbywanie nieruchomości,
25) Organizowanie i świadczenie usług finansowych w zakresie leasingu i faktoringu
26) Wykonywanie czynności z zakresu pośrednictwa ubezpieczeniowego,
27) Świadczenie usług w zakresie transportu wartości,
28) Przechowywanie i rejestrowanie instrumentów finansowych,
29) Wykonywanie funkcji depozytariusza na podstawie przepisów ustawy o organizacji i funkcjonowaniu funduszy emerytalnych i ustawy o funduszach inwestycyjnych,
30) Pośrednictwo w dokonywaniu przekazów pieniężnych oraz rozliczeń w obrocie dewizowym,
31) Prowadzenie działalności windykacyjnej na zlecenie banków,
32) Prowadzenie działalności maklerskiej,
33) Wykonywanie na zlecenie innych banków i instytucji kredytowych określonych czynności należących do zakresu ich działalności,
34) Wykonywanie funkcji agenta firmy inwestycyjnej,
35) Wykonywanie niestanowiących działalności maklerskiej czynności polegających na:
a) przyjmowaniu i przekazywaniu zleceń nabycia lub zbycia instrumentów finansowych,
b) wykonywaniu zleceń, o których mowa w pkt a, na rachunek dającego zlecenie,
c) nabywaniu lub zbywaniu na własny rachunek instrumentów finansowych,
d) oferowaniu instrumentów finansowych,
e) doradztwie inwestycyjnym,
f) świadczeniu usług w wykonaniu zawartych umów o subemisje inwestycyjne i usługowe lub zawieraniu i wykonywaniu innych umów o podobnym charakterze, jeśli ich przedmiotem są instrumenty finansowe,
z zastrzeżeniem, że przedmiotem czynności określonych w lit. a)-e) mogą być wyłącznie papiery wartościowe emitowane przez Skarb Państwa lub Narodowy Bank Polski lub inne niedopuszczone do obrotu zorganizowanego instrumenty finansowe oraz obligacje, o których mowa w art. 39p ust.1 ustawy z dnia 27 października 1994 r. o autostradach płatnych oraz o Krajowym Funduszu Drogowym, zaś w odniesieniu do czynności określonych w lit. c, także dopuszczone do obrotu zorganizowanego obligacje, listy zastawne oraz inne zbywalne papiery wartościowe inkorporujące prawa majątkowe odpowiadające prawom wynikającym z zaciągniętego długu, inne aniżeli wcześniej określone, lub instrumenty pochodne, których instrumentem bazowym są obligacje, listy zastawne, inne zbywalne papiery wartościowe inkorporujące prawa majątkowe odpowiadające prawom wynikającym z zaciągniętego długu, stopa procentowa lub waluta,
36) świadczenie usług zaufania oraz wydawanie środków identyfikacji elektronicznej w rozumieniu przepisów o usługach zaufania.

2. Bank może wykonywać czynności zastrzeżone dla banków, zgodnie z ustawą z dnia 11 lutego 2016 roku o pomocy państwa w wychowywaniu dzieci.


III. ORGANY BANKU

§ 7
Organami Banku są:
1) Walne Zgromadzenie,
2) Rada Nadzorcza,
3) Zarząd Banku.

Walne Zgromadzenie

§ 8
1. Walne Zgromadzenie zwołuje się poprzez ogłoszenie dokonywane na stronie internetowej Banku oraz w sposób określony dla przekazywania informacji bieżących zgodnie z przepisami o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych.
2. Zwyczajne Walne Zgromadzenie zwołuje Zarząd Banku.
3. Zwyczajne Walne Zgromadzenie powinno się odbyć najpóźniej w czerwcu. Radzie Nadzorczej przysługuje prawo zwołania Zwyczajnego Walnego Zgromadzenia, jeżeli Zarząd nie zwoła go w terminie określonym w Statucie.
4. Nadzwyczajne Walne Zgromadzenie zwoływane jest w miarę potrzeby przez Zarząd Banku z własnej inicjatywy lub na wniosek Rady Nadzorczej, bądź na żądanie akcjonariuszy reprezentujących co najmniej 1/20 kapitału zakładowego. Akcjonariusze ci mogą również żądać umieszczenia określonych spraw w porządku obrad tego Walnego Zgromadzenia.
5. W przypadku, gdy Zarząd nie uczyni zadość żądaniom akcjonariuszy w ciągu dwóch tygodni od zgłoszenia żądania, prawo do zwołania Nadzwyczajnego Walnego Zgromadzenia przysługuje akcjonariuszom na podstawie upoważnienia sądu.
6. Nadzwyczajne Walne Zgromadzenie zwołane na wniosek akcjonariuszy reprezentujących co najmniej 1/20 kapitału zakładowego podejmuje uchwałę rozstrzygającą, czy koszty zwołania i odbycia Walnego Zgromadzenia ma ponieść Bank.
7. Nadzwyczajne Walne Zgromadzenie może zwołać również Rada Nadzorcza jeżeli zwołanie go uzna za wskazane, lub też akcjonariusze reprezentujący co najmniej połowę kapitału zakładowego lub co najmniej połowę ogółu głosów w Banku.
8. Akcjonariusz lub akcjonariusze reprezentujący co najmniej 1/20 kapitału zakładowego mogą żądać umieszczenia określonych spraw w porządku obrad najbliższego Walnego Zgromadzenia. Żądanie umieszczenia określonych spraw w porządku obrad powinno zawierać uzasadnienie lub projekt uchwały dotyczącej proponowanego punktu porządku obrad i powinno zostać zgłoszone Zarządowi Banku nie później niż na 21 dni przed wyznaczonym terminem Walnego Zgromadzenia.
9. Zarząd jest obowiązany niezwłocznie, jednak nie później niż na 18 dni przed wyznaczonym terminem Walnego Zgromadzenia, ogłosić zmiany w porządku obrad, wprowadzone na żądanie akcjonariuszy. Ogłoszenie następuje w sposób właściwy dla zwołania Walnego Zgromadzenia.
10. Akcjonariusz lub akcjonariusze reprezentujący co najmniej 1/20 kapitału zakładowego mogą przed terminem Walnego Zgromadzenia zgłaszać Bankowi na piśmie lub przy wykorzystaniu środków komunikacji elektronicznej projekty uchwał dotyczące spraw wprowadzonych do porządku obrad Walnego Zgromadzenia lub spraw, które mają zostać wprowadzone do porządku obrad. Bank niezwłocznie ogłasza projekty uchwał na stronie internetowej Banku.
11. Każdy z akcjonariuszy może podczas Walnego Zgromadzenia zgłaszać projekty uchwał dotyczące spraw wprowadzonych do porządku obrad.


§ 8a
1. Dopuszczalne jest uczestnictwo w Walnym Zgromadzeniu przy wykorzystaniu środków komunikacji elektronicznej, jeżeli Zarząd Banku podejmie taką decyzję. Zarząd Banku
podejmuje decyzję, o której mowa w zdaniu poprzedzającym w przypadku spełnienia przez Bank warunków technicznych niezbędnych do udziału w Walnym Zgromadzeniu przy wykorzystaniu środków komunikacji elektronicznej obejmujących w szczególności:
1) transmisję obrad Walnego Zgromadzenia w czasie rzeczywistym,
2) dwustronną komunikację w czasie rzeczywistym, w ramach której akcjonariusze mogą wypowiadać się w toku obrad Walnego Zgromadzenia, przebywając w miejscu innym niż miejsce obrad Walnego Zgromadzenia,
3) wykonywanie osobiście lub przez pełnomocnika prawa głosu przed lub w toku Walnego Zgromadzenia.
2. W każdym przypadku zwołania Walnego Zgromadzenia, Zarząd Banku określa czy możliwe jest uczestnictwo w Walnym Zgromadzeniu przy wykorzystaniu środków komunikacji elektronicznej oraz jakie wymagania i ograniczenia tego uczestnictwa są niezbędne do identyfikacji akcjonariuszy i zapewnienia bezpieczeństwa komunikacji elektronicznej.
3. Szczegółowe warunki uczestnictwa w Walnym Zgromadzeniu przy wykorzystaniu środków komunikacji elektronicznej określa regulamin uchwalany przez Walne Zgromadzenie oraz ogłoszenie o zwołaniu Walnego Zgromadzenia.


§ 9
Wszystkie sprawy wnoszone na Walne Zgromadzenie powinny być uprzednio przedstawione Radzie Nadzorczej do rozpatrzenia.

§ 10
1. W Walnym Zgromadzeniu mogą uczestniczyć akcjonariusze osobiście, bądź przez pełnomocników. Pełnomocnictwa do uczestniczenia w Walnym Zgromadzeniu i do głosowania powinny być pod rygorem nieważności wystawione na piśmie lub w postaci elektronicznej i dołączone do protokołu Walnego Zgromadzenia.
2. Walne Zgromadzenie jest uprawnione do podejmowania ważnych uchwał, niezależnie od liczby reprezentowanych na nim akcji.
3. Uchwały Walnego Zgromadzenia zapadają bezwzględną większością głosów, z zastrzeżeniem postanowień Kodeksu spółek handlowych i Statutu Banku.
4. Zdjęcie z porządku obrad lub zaniechanie rozpatrywania sprawy umieszczonej w porządku obrad na wniosek akcjonariuszy wymaga podjęcia przez Walne Zgromadzenie uchwały większością ¾ głosów, po uprzednim wyrażeniu zgody przez wszystkich obecnych akcjonariuszy, którzy zgłosili taki wniosek.


§ 11
1. Każda akcja Banku daje prawo do jednego głosu.
2. Akcjonariusz może głosować odmiennie z każdej z posiadanych akcji.


§ 12
1. Walne Zgromadzenie otwiera Przewodniczący lub jeden z Wiceprzewodniczących Rady Nadzorczej, a w przypadku ich nieobecności jeden z członków Rady Nadzorczej. W razie nieobecności tych osób Walne Zgromadzenie otwiera Prezes Zarządu Banku lub osoba wyznaczona przez Zarząd Banku.
2. Szczegółowy tryb obrad określa regulamin uchwalany przez Walne Zgromadzenie.



§ 13
Do kompetencji Walnego Zgromadzenia, poza innymi sprawami wymienionymi w przepisach prawa, w szczególności, Kodeksie spółek handlowych oraz ustawie Prawo bankowe, w rekomendacjach nadzorczych organów nadzoru oraz w Statucie Banku, należy:
1) Rozpatrzenie i zatwierdzenie sprawozdania z działalności Banku oraz sprawozdania finansowego za ubiegły rok obrotowy,
2) Podjęcie uchwały o podziale zysku lub pokryciu straty,
3) Rozpatrzenie i zatwierdzenie sprawozdania z działalności Rady Nadzorczej,
4) Udzielenie członkom Rady Nadzorczej i Zarządu Banku absolutorium z wykonania przez nich obowiązków,
5) Rozpatrzenie i zatwierdzenie sprawozdania z działalności i sprawozdania finansowego grupy kapitałowej Banku,
6) Określenie dnia dywidendy oraz terminu wypłaty dywidendy,
7) Zbycie i wydzierżawienie przedsiębiorstwa lub jego zorganizowanej części oraz ustanowienie na nich ograniczonego prawa rzeczowego,
8) Zmiana Statutu Banku oraz ustalanie jego jednolitego tekstu,
9) Podwyższenie lub obniżenie kapitału zakładowego Banku,
10) Emisja obligacji zamiennych lub z prawem pierwszeństwa objęcia akcji oraz emisja warrantów subskrypcyjnych,
11) Umorzenie akcji i określenie warunków tego umorzenia,
12) Połączenie, podział lub likwidacja Banku,
13) Tworzenie i znoszenie funduszy specjalnych,
14) Powoływanie i odwoływanie członków Rady Nadzorczej z uwzględnieniem oceny spełnienia wymogów odpowiedniości,
15) Ustalanie zasad wynagrodzenia dla członków Rady Nadzorczej,
16) Zawarcie ze spółką zależną umowy przewidującej zarządzanie spółką zależną lub przekazywanie zysku przez taką spółkę,
17) Wybór podmiotu uprawnionego do badania sprawozdań finansowych oraz przeglądu sprawozdań finansowych,
18) Inne sprawy należące do zakresu działania Banku, wniesione pod obrady Walnego Zgromadzenia.


Rada Nadzorcza


§ 14
1. Rada Nadzorcza składa się z siedmiu do dziewięciu członków, powoływanych przez Walne Zgromadzenie na okres wspólnej kadencji, trwającej trzy lata.
2. Liczbę członków Rady określa Walne Zgromadzenie.
3. Co najmniej połowa członków Rady Nadzorczej, w tym Przewodniczący Rady Nadzorczej, powinna legitymować się dobrą znajomością rynku bankowego w Polsce, dzięki spełnieniu łącznie następujących kryteriów:
1) posiadaniu doświadczenia zawodowego na polskim rynku odpowiedniego do sprawowanej funkcji nadzorczej w Banku,
2) posiadaniu miejsca stałego zamieszkania w Polsce,
3) władaniu językiem polskim.
4. Co najmniej połowę składu Rady Nadzorczej powinni stanowić członkowie niezależni. Niezależni członkowie Rady Nadzorczej powinni być wolni od jakichkolwiek powiązań, które mogłyby istotnie wpłynąć na ich zdolność do podejmowania bezstronnych decyzji.
5. Za niezależnego członka Rady Nadzorczej uważa się osobę, która spełnia łącznie następujące warunki:
1) nie jest i nie była w okresie ostatnich 3 lat zatrudniona w Banku, jego jednostkach podporządkowanych w rozumieniu ustawy o rachunkowości lub jego spółce dominującej,
2) nie sprawuje i nie sprawowała w okresie ostatnich 5 lat w Banku, jego jednostkach podporządkowanych w rozumieniu ustawy o rachunkowości lub jego spółce dominującej, funkcji członka Zarządu lub innej funkcji kierowniczej,
3) nie jest i nie była w okresie ostatnich 3 lat biegłym rewidentem, wspólnikiem lub pracownikiem podmiotu, który obecnie lub w okresie ostatnich 3 lat świadczył usługi biegłego rewidenta na rzecz Banku, jego jednostek podporządkowanych w rozumieniu ustawy o rachunkowości lub jego spółki dominującej,
4) nie jest akcjonariuszem mającym prawo wykonywania 5% lub więcej ogólnej liczby głosów na Walnym Zgromadzeniu, nie jest zatrudniona przez takiego akcjonariusza, nie reprezentuje w żaden sposób takiego akcjonariusza, ani nie posiada innych bezpośrednich lub pośrednich powiązań z takim akcjonariuszem,
5) nie otrzymała i nie otrzymuje żadnego dodatkowego wynagrodzenia w znaczącej wysokości od Banku, jego jednostek podporządkowanych w rozumieniu ustawy o rachunkowości lub jego spółki dominującej, poza wynagrodzeniem należnym z tytułu członkostwa w Radzie Nadzorczej, a także wynagrodzeniem w stałej wysokości w ramach planu emerytalnego z tytułu wcześniejszej pracy w Banku, jego jednostce podporządkowanej w rozumieniu ustawy o rachunkowości lub jego spółce dominującej, o ile warunkiem wypłaty takiego wynagrodzenia nie jest kontynuacja zatrudnienia,
6) nie utrzymuje ani nie utrzymywała w ciągu ostatniego roku znaczących stosunków handlowych z Bankiem, jego jednostką podporządkowaną w rozumieniu ustawy o rachunkowości lub jego spółką dominującą, bezpośrednio lub w charakterze wspólnika, akcjonariusza, członka organu lub pracownika pełniącego funkcję kierowniczą,
7) nie jest członkiem zarządu w innej spółce, w której członek Zarządu Banku jest członkiem rady nadzorczej i nie posiada innych znaczących powiązań z członkami Zarządu Banku przez udział w innych spółkach lub organach,
8) nie jest i nie była w okresie ostatnich trzech lat członkiem bliskiej rodziny członka Zarządu Banku ani nie posiada innych bezpośrednich lub pośrednich powiązań z członkiem Zarządu Banku, a także, nie jest i nie była w okresie ostatnich trzech lat członkiem bliskiej rodziny pracownika zajmującego w Banku stanowisko kierownicze lub osób, o których mowa w pkt 1 – 7 powyżej,
9) nie posiada bezpośrednich lub pośrednich powiązań z członkami Rady Nadzorczej,
10) nie posiada bezpośrednich lub pośrednich powiązań ze spółkami powiązanymi ze znaczącymi akcjonariuszami Banku, w rozumieniu Kodeksu spółek handlowych.
5a. Co najmniej trzech niezależnych członków Rady Nadzorczej powinno posiadać kompetencje z dziedziny rachunkowości lub rewizji finansowej, w tym, co najmniej jeden z nich powinien dodatkowo spełniać warunki niezależności w rozumieniu art. 86 ust. 5 ustawy z dnia 7 maja 2009 r. o biegłych rewidentach i ich samorządzie, podmiotach uprawnionych do badania sprawozdań finansowych oraz o nadzorze publicznym.
6. Członkowie Rady wykonują swoje obowiązki tylko osobiście.
7. Rada Nadzorcza wybiera ze swego grona Przewodniczącego, dwóch Wiceprzewodniczących i Sekretarza Rady. Wiceprzewodniczący Rady może pełnić jednocześnie funkcję Sekretarza Rady.
8. Rada Nadzorcza działa na podstawie uchwalonego przez siebie Regulaminu.


§ 15
1. Członek Rady Nadzorczej może być w każdym czasie odwołany przez Walne Zgromadzenie.
2. Mandaty członków Rady Nadzorczej wygasają:
1) z dniem odbycia Walnego Zgromadzenia zatwierdzającego sprawozdanie finansowe za ostatni pełny rok obrotowy pełnienia funkcji członka Rady Nadzorczej, z zastrzeżeniem ust. 3,
2) w razie rezygnacji członka Rady z pełnionej funkcji,
3) w razie odwołania członka Rady przez Walne Zgromadzenie,
4) w przypadku śmierci członka Rady.
3. Mandat członka Rady Nadzorczej powołanego przed upływem danej kadencji Rady wygasa równocześnie z wygaśnięciem mandatów pozostałych członków Rady.


§ 16
1. Posiedzenia Rady Nadzorczej odbywają się w miarę potrzeby, nie rzadziej jednak, niż co dwa miesiące.
2. Posiedzenia Rady Nadzorczej zwołuje Przewodniczący Rady z własnej inicjatywy oraz na wniosek Zarządu lub członka Rady Nadzorczej.
3. Jeżeli Przewodniczący Rady Nadzorczej nie zwoła posiedzenia w terminie dwóch tygodni od dnia otrzymania wniosku, o którym mowa w ust. 2, wnioskodawca może zwołać je samodzielnie podając datę, miejsce i proponowany porządek obrad.


§ 17
1. Rada Nadzorcza podejmuje uchwały, jeżeli na posiedzeniu obecna jest co najmniej połowa jej członków, w tym Przewodniczący lub jeden z Wiceprzewodniczących Rady, a wszyscy członkowie zostali zaproszeni.
2. Członkowie Rady Nadzorczej mogą brać także udział w podejmowaniu uchwał Rady
oddając swój głos na piśmie za pośrednictwem innego członka Rady Nadzorczej, z wyjątkiem uchwał dotyczących spraw wprowadzonych na posiedzeniu do porządku obrad.
3. Uchwały Rady Nadzorczej zapadają bezwzględną większością głosów, chyba że przepisy prawa stanowią inaczej.
4. W szczególnych przypadkach uchwała może być podjęta w trybie pisemnym (obiegowym) lub przy wykorzystaniu środków porozumiewania się na odległość. Tryb pisemny podejmowania uchwał oraz przy wykorzystaniu środków porozumiewania się na odległość określa Regulamin Rady Nadzorczej.
5. Tryb określony w ust. 2 i 4 nie dotyczy uchwał podejmowanych w głosowaniu tajnym.


§ 18
Do kompetencji Rady Nadzorczej, oprócz innych uprawnień i obowiązków przewidzianych w przepisach prawa, w szczególności, Kodeksie spółek handlowych, ustawie Prawo bankowe, w rekomendacjach nadzorczych organów nadzoru i Statucie Banku, należą, w szczególności, następujące sprawy:
1) Ocena sprawozdania Zarządu z działalności Banku oraz ocena sprawozdania finansowego Banku za ubiegły rok obrotowy,
2) Ocena wniosków Zarządu dotyczących podziału zysku albo pokrycia straty,
3) Ocena sprawozdania z działalności oraz sprawozdania finansowego grupy kapitałowej Banku,
4) Składanie Walnemu Zgromadzeniu pisemnego sprawozdania z wyników oceny, o której mowa w pkt. 1-3,
5) Sporządzanie sprawozdania z działalności Rady Nadzorczej za ubiegły rok obrotowy,
6) Występowanie z wnioskiem do Komisji Nadzoru Finansowego o wyrażenie zgody na powołanie Prezesa Zarządu oraz członka zarządu nadzorującego zarządzanie ryzykiem istotnym w działalności Banku lub powierzenie tej funkcji powołanemu członkowi zarządu,
7) Powoływanie, po uzyskaniu zgody Komisji Nadzoru Finansowego i odwoływanie, w głosowaniu tajnym Prezesa Zarządu Banku, z uwzględnieniem oceny spełnienia wymogów odpowiedniości,
8) Powoływanie i odwoływanie na wniosek Prezesa Zarządu Banku, w głosowaniu tajnym, Wiceprezesów i Członków Zarządu Banku, z uwzględnieniem oceny spełnienia wymogów odpowiedniości,
9) Zawieszanie, z ważnych powodów, w czynnościach poszczególnych lub wszystkich członków Zarządu Banku,
10) Delegowanie członków Rady Nadzorczej, na okres nie dłuższy niż trzy miesiące, do wykonywania czynności członków Zarządu Banku, którzy zostali odwołani, złożyli rezygnację, albo z innych przyczyn nie mogą sprawować swoich czynności,
11) Ustalanie warunków umów regulujących stosunek pracy lub inny stosunek prawny łączący członków Zarządu z Bankiem,
12) Opiniowanie wniosków Zarządu Banku w przedmiocie tworzenia i przystępowania Banku w charakterze udziałowca (akcjonariusza) do spółek oraz zbywania udziałów (akcji) w przypadkach, gdy inwestycje te mają charakter długotrwały i strategiczny,
13) Zatwierdzanie wieloletnich programów rozwoju Banku i opiniowanie rocznych planów finansowych Banku,
14) Wyrażanie zgody na utworzenie i likwidację oddziałów i przedstawicielstw zagranicznych Banku,
15) Uchwalanie na wniosek Zarządu Banku regulaminów tworzenia i wykorzystywania funduszy przewidzianych w Statucie Banku,
16) Zatwierdzanie wniosków Zarządu Banku w sprawie nabycia, obciążenia lub zbycia nieruchomości lub udziału w nieruchomości, lub użytkowania wieczystego, jeżeli ich wartość przekracza 5.000.000 zł.,
17) Zatwierdzanie wniosków Zarządu Banku w sprawie zaciągnięcia zobowiązania lub rozporządzenia aktywami, których wartość w stosunku do jednego podmiotu przekracza 5% funduszy własnych Banku,
18) Zatwierdzanie wniosków Zarządu Banku dotyczących outsourcingu w strategicznych obszarach działalności biznesowej prowadzonej przez Bank lub w przypadku zlecania usług o wartości nie mniejszej niż 1.000.000 euro,
19) Przedstawianie Walnemu Zgromadzeniu raz w roku raportu z oceny funkcjonowania polityki wynagradzania Banku,
20) Dokonywanie regularnej oceny stosowania przez Bank Zasad Ładu Korporacyjnego dla Instytucji Nadzorowanych,
21) Dokonywanie oceny zamiaru rozwiązania umowy z podmiotem uprawnionym do badania sprawozdań finansowych,
22) Zatwierdzanie i nadzorowanie wdrażania strategii zarządzania ryzykiem w działalności Banku,
23) Udzielanie członkom Zarządu Banku zgody na pełnienie funkcji w organach spółek spoza grupy kapitałowej Banku,
24) Zatwierdzanie planu naprawy Banku lub planu naprawy grupy kapitałowej Banku sporządzonego na podstawie przepisów ustawy Prawo bankowe.


§ 19
Przewodniczący Rady Nadzorczej, a w przypadku jego nieobecności wskazany przez niego Wiceprzewodniczący Rady Nadzorczej jest upoważniony do podpisywania w imieniu Rady Nadzorczej umów zawieranych przez Bank z członkami Zarządu Banku.


Zarząd Banku

§ 20
1. Zarząd składa się z 5 do 9 członków. W skład Zarządu Banku wchodzą:
1) Prezes Zarządu Banku,
2) Wiceprezesi Zarządu Banku,
3) Członkowie Zarządu Banku.
2. Co najmniej połowa członków Zarządu Banku, w tym Prezes Zarządu Banku, powinna legitymować się dobrą znajomością rynku bankowego w Polsce, dzięki spełnieniu łącznie następujących kryteriów:
1) posiadaniu doświadczenia zawodowego na rynku polskim odpowiedniego do sprawowanej funkcji zarządczej w Banku,
2) posiadaniu stałego miejsca zamieszkania w Polsce,
3) władaniu językiem polskim.
3. Zarząd Banku działa na podstawie uchwalonego przez siebie Regulaminu. Regulamin określa w szczególności sprawy, które wymagają kolegialnego rozpatrzenia przez Zarząd Banku oraz zasady podejmowania uchwał w trybie pisemnym.
4. Uchwały Zarządu Banku mogą być powzięte, jeżeli wszyscy członkowie zostali prawidłowo zawiadomieni o posiedzeniu Zarządu. Do ważności uchwały wymagana jest obecność co najmniej połowy członków Zarządu.
5. Uchwały zapadają bezwzględną większością głosów, chyba że przepisy prawa stanowią inaczej.


§ 21
1. Członkowie Zarządu Banku powoływani są na wspólną kadencję, trwającą trzy lata.
2. Mandaty członków Zarządu Banku wygasają:
1) z dniem odbycia Walnego Zgromadzenia zatwierdzającego sprawozdanie finansowe za ostatni pełny rok obrotowy pełnienia funkcji członka Zarządu, z zastrzeżeniem ust. 3,
2) w razie rezygnacji członka Zarządu z pełnionej funkcji,
3) w razie odwołania członka Zarządu przez Radę Nadzorczą,
4) w przypadku śmierci członka Zarządu.
3. Mandat członka Zarządu Banku powołanego przed upływem danej kadencji Zarządu Banku wygasa równocześnie z wygaśnięciem mandatów pozostałych członków Zarządu Banku.


§ 22
1. Prezes Zarządu Banku:
1) Zwołuje i przewodniczy posiedzeniom Zarządu Banku,
2) Prezentuje stanowisko Zarządu Banku wobec organów Banku oraz w stosunkach zewnętrznych, w szczególności wobec organów Państwa,
3) Wydaje zarządzenia wewnętrzne, regulaminy oraz inne przepisy regulujące działalność Banku. Prezes Zarządu Banku może upoważnić inne osoby do wydawania przepisów wewnętrznych Banku,
4) Koordynuje prace członków Zarządu Banku,
5) Nadzoruje w szczególności następujące obszary działalności Banku: audyt wewnętrzny, zarządzanie ryzykiem braku zgodności oraz komunikacja korporacyjna, w tym relacje inwestorskie.
2. Podczas nieobecności Prezesa Zarządu Banku zastępuje go członek Zarządu Banku wyznaczony przez Prezesa Zarządu Banku.
3. Wiceprezes Zarządu Banku, powoływany za zgodą Komisji Nadzoru Finansowego, nadzoruje obszar zarządzania ryzykiem, w tym ryzykiem kredytowym, za wyjątkiem zarządzania ryzykiem braku zgodności.
4. Zarząd Banku prowadzi sprawy Banku i reprezentuje Bank. Wszystkie sprawy nie zastrzeżone, na mocy przepisów prawa lub Statutu, do kompetencji innych organów, należą do zakresu działania Zarządu Banku. Z zastrzeżeniem § 18 pkt. 16 Statutu Banku, do wyłącznej kompetencji Zarządu Banku, bez konieczności uzyskania uchwały Walnego Zgromadzenia, należy nabycie, obciążenie lub zbycie nieruchomości, użytkowania wieczystego lub udziału w nieruchomości. Członkowie Zarządu Banku koordynują i nadzorują działalność Banku zgodnie z podziałem zadań, uchwalonym przez Zarząd Banku i zatwierdzonym przez Radę Nadzorczą.


§ 23
Zarząd Banku może udzielać prokury wyłącznie pracownikom Banku. Odwołać prokurę może każdy członek Zarządu Banku.


IV. TRYB SKŁADANIA OŚWIADCZEŃ
W ZAKRESIE PRAW I OBOWIĄZKÓW MAJĄTKOWYCH BANKU


§ 24
1. Do składania oświadczeń w zakresie praw i obowiązków majątkowych Banku oraz do podpisywania w imieniu Banku są upoważnieni:
1) dwaj członkowie Zarządu Banku albo członek Zarządu Banku z prokurentem,
2) dwaj prokurenci,
3) członek Zarządu Banku albo prokurent działający łącznie z pełnomocnikiem,
4) pełnomocnicy działający samodzielnie lub łącznie w granicach swojego umocowania.
2. Osoby upoważnione do składania oświadczeń w zakresie praw i obowiązków majątkowych składają podpisy pod firmą Banku.


V. KAPITAŁY I FUNDUSZE BANKU


§ 25
1. Funduszami własnym Banku, z uwzględnieniem pozycji je pomniejszających, zgodnie z przepisami ustawy Prawo bankowe, są:
1) Fundusze podstawowe,
2) Fundusze uzupełniające w kwocie nie przewyższającej funduszy podstawowych Banku.
2. Funduszami podstawowymi Banku są:
1) Kapitał zakładowy,
2) Kapitał zapasowy,
3) Kapitały rezerwowe, w tym fundusz na prowadzanie działalności maklerskiej,
4) Fundusz ogólnego ryzyka na niezidentyfikowane ryzyko działalności bankowej,
5) Niepodzielony zysk z lat ubiegłych,
6) Zysk w trakcie zatwierdzania oraz zysk netto bieżącego okresu sprawozdawczego, obliczone zgodnie z obowiązującymi zasadami rachunkowości, pomniejszone o wszelkie przewidywane obciążenia i dywidendy, w kwotach nie większych niż kwoty zysku zweryfikowane przez biegłych rewidentów.


§ 26
1. Bank może tworzyć i znosić w trakcie i na koniec roku obrotowego fundusze specjalne na mocy uchwał Walnego Zgromadzenia.
2. Bank tworzy fundusze przewidziane w obowiązujących ustawach.


§ 27
1. Kapitał zakładowy Banku wynosi 262.470.034,- (dwieście sześćdziesiąt dwa miliony czterysta siedemdziesiąt tysięcy trzydzieści cztery) złote i jest podzielony na 137.650.000 (sto trzydzieści siedem milionów sześćset pięćdziesiąt tysięcy) akcji na okaziciela serii A o wartości nominalnej 1,- (jeden) złoty każda akcja, 7.690.000 (siedem milionów sześćset dziewięćdziesiąt tysięcy) akcji na okaziciela serii B o wartości nominalnej 1,- (jeden) złoty każda akcja, 10.630.632 (dziesięć milionów sześćset trzydzieści tysięcy sześćset trzydzieści dwie) akcje na okaziciela serii C o wartości nominalnej 1,-(jeden) złoty każda akcja, 9.777.571 (dziewięć milionów siedemset siedemdziesiąt siedem tysięcy pięćset siedemdziesiąt jeden) akcji na okaziciela serii D o wartości nominalnej 1,- (jeden) złoty każda akcja, 373.644 (trzysta siedemdziesiąt trzy tysiące sześćset czterdzieści cztery) akcje na okaziciela serii E o wartości nominalnej 1,- (jeden) złoty każda akcja, 621.411 (sześćset dwadzieścia jeden tysięcy czterysta jedenaście) akcji na okaziciela serii F o wartości nominalnej 1,- (jeden) złoty każda akcja, 603.377 (sześćset trzy tysiące trzysta siedemdziesiąt siedem) akcji na okaziciela serii G o wartości nominalnej 1,- (jeden) złoty każda akcja, 359.840 (trzysta pięćdziesiąt dziewięć tysięcy osiemset czterdzieści) akcji na okaziciela serii H o wartości nominalnej 1,- (jeden) złoty każda akcja oraz 94.763.559 (dziewięćdziesiąt cztery miliony siedemset sześćdziesiąt trzy tysiące pięćset pięćdziesiąt dziewięć) akcji na okaziciela serii I o wartości nominalnej 1,- (jeden) złoty każda akcja.
2. Kapitał zakładowy Banku może być podwyższony poprzez emisję nowych akcji na okaziciela lub poprzez podwyższenie wartości nominalnej akcji dotychczasowych. Walne Zgromadzenie może podwyższyć kapitał zakładowy, przeznaczając na to środki z kapitału zapasowego lub z innych kapitałów utworzonych z zysku, jeżeli mogą być one użyte na ten cel zgodnie z Kodeksem spółek handlowych i Statutem Banku.
3. Akcje mogą być emitowane w odcinkach zbiorowych.
4. Akcje mogą być umarzane na warunkach określonych przez Walne Zgromadzenie.


§ 28
1. Bank tworzy kapitał zapasowy z corocznych odpisów z zysku netto z przeznaczeniem na pokrycie strat, jakie mogą wyniknąć w związku z działalnością Banku. Coroczne odpisy na kapitał zapasowy powinny wynosić co najmniej 8 % zysku netto i dokonywane są do czasu osiągnięcia przez ten kapitał wysokości co najmniej jednej trzeciej kapitału zakładowego Banku. Do kapitału zapasowego przelewa się nadwyżki osiągnięte przy emisji akcji powyżej ich wartości nominalnej, a pozostałe – po pokryciu kosztów emisji akcji.
2. Wysokość odpisu ustala Walne Zgromadzenie.
3. O użyciu kapitału zapasowego rozstrzyga Walne Zgromadzenie, jednakże części kapitału zapasowego w wysokości jednej trzeciej kapitału zakładowego można użyć jedynie na pokrycie straty wykazanej w sprawozdaniu finansowym.


§ 29
1. Fundusz ogólnego ryzyka tworzy się z odpisów z zysku netto z przeznaczeniem na niezidentyfikowane ryzyka działalności bankowej.
2. Wysokość odpisu ustala Walne Zgromadzenie.


§ 30
1. Bank tworzy kapitały rezerwowe z odpisu z zysku netto na te kapitały.
2. Wysokość odpisu ustala Walne Zgromadzenie.
3. Kapitały rezerwowe mogą być przeznaczone na pokrycie szczególnych strat lub wydatków, a także na podwyższenie kapitału zakładowego oraz na wypłatę dywidendy.
4. O użyciu kapitałów rezerwowych rozstrzyga Walne Zgromadzenie.


§ 31
1. Fundusze specjalne tworzone są z odpisów z zysku netto na mocy uchwały Walnego Zgromadzenia, która każdorazowo określa wysokość odpisu na poszczególne fundusze chyba że obowiązek tworzenia funduszu wynika z ustawy.
2. Regulaminy tworzenia i wykorzystywania funduszy specjalnych uchwala Rada Nadzorcza.

VI. GOSPODARKA FINANSOWA BANKU,
PODZIAŁ ZYSKU, POKRYWANIE STRAT, RACHUNKOWOŚĆ

§ 32
Gospodarka finansowa Banku prowadzona jest na podstawie rocznych planów finansowych.

§ 33
1. Zysk roczny netto może być przeznaczony, w wysokości uchwalonej przez Walne Zgromadzenie, na:
1) Kapitał zapasowy,
2) Fundusz ogólnego ryzyka,
3) Kapitały rezerwowe, w tym fundusz na prowadzenie działalności maklerskiej,
4) Dywidendę,
5) Fundusze specjalne,
6) Inne cele.
2. Roszczenie o wypłatę dywidendy przedawnia się z upływem trzech lat. Bank nie płaci odsetek od niepobranej dywidendy.


§ 33a
1. Zarząd Banku jest upoważniony do wypłaty akcjonariuszom zaliczki na poczet
przewidywanej dywidendy na koniec roku obrotowego, jeżeli Bank posiada środki wystarczające na wypłatę i jeżeli zatwierdzone sprawozdanie finansowe Banku za poprzedni rok obrotowy wykazuje zysk.
2. Wypłata zaliczki na poczet dywidendy wymaga zgody Rady Nadzorczej Banku oraz uzgodnienia z Komisją Nadzoru Finansowego.
3. Zaliczka na poczet dywidendy może stanowić najwyżej połowę zysku Banku osiągniętego od końca poprzedniego roku obrotowego, wskazanego w sprawozdaniu finansowym zbadanym przez biegłego rewidenta oraz pomniejszonego o niepokryte straty i akcje własne.


§ 34
Bank tworzy w ciężar kosztów rezerwę na ryzyko ogólne, służącą pokryciu ryzyk związanych z prowadzeniem działalności bankowej.

§ 35
Straty bilansowe pokrywane są z kapitału zapasowego i kapitałów rezerwowych w sposób określony uchwałą Walnego Zgromadzenia.

§ 36
Bank prowadzi rachunkowość według planu kont i zgodnie z obowiązującymi przepisami prawa.
Organizację i sposób prowadzenia rachunkowości ustala Zarząd Banku.


§ 37
Rokiem obrotowym jest rok kalendarzowy.


VII. KONTROLA WEWNĘTRZNA

§ 38
1. Celem system kontroli wewnętrznej Banku jest zapewnienie:
1) zgodności działania Banku z przepisami prawa, regulacjami wewnętrznymi, standardami wewnętrznymi oraz ze strategią Banku,
2) efektywności i skuteczności działania Banku,
3) ochrony aktywów,
4) przeciwdziałania stratom i błędom,
5) bezpieczeństwa, stabilności i efektywności operacji,
6) niezawodności i kompletności rachunkowości, informacji zarządczej oraz wiarygodności sprawozdawczości finansowej,
7) zgodności transakcji z powszechnie obowiązującymi przepisami prawa, regulacjami nadzorczymi i wewnętrznymi politykami, planami, przepisami i procedurami,
8) wsparcia procesu decyzyjnego,
9) przestrzegania zasad zarzadzania ryzykiem w Banku.
2. System kontroli wewnętrznej angażuje – w różnych rolach - organy Banku, poszczególne jednostki i komórki organizacyjne Banku, jak również wszystkich pracowników Banku i obejmuje:
1) funkcję kontroli mającą za zadanie zapewnienie przestrzegania mechanizmów kontrolnych dotyczących w szczególności zarządzania ryzykiem w Banku, która obejmuje stanowiska, grupy ludzi lub jednostki organizacyjne odpowiedzialne za realizację zadań przypisanych tej funkcji;
2) komórkę do spraw zgodności mającą za zadanie identyfikację, ocenę, kontrolę i monitorowanie ryzyka braku zgodności działalności Banku z przepisami prawa, regulacjami wewnętrznymi i standardami rynkowymi oraz przedstawianie raportów w tym zakresie;
3) niezależną komórkę Audytu Wewnętrznego mającą za zadanie badanie i ocenę, w sposób niezależny i obiektywny, adekwatności i skuteczności systemu zarządzania ryzykiem i systemu kontroli wewnętrznej, z wyłączeniem komórki audytu wewnętrznego.
3. W system kontroli wewnętrznej zaangażowane są organy Banku:
1) Zarząd Banku – odpowiedzialny za projektowanie, realizację i funkcjonowanie systemu kontroli wewnętrznej, dostosowanego do wielkości i profilu ryzyka wiążącego się z działalnością Banku;
2) Rada Nadzorcza – sprawująca nadzór nad systemem kontroli wewnętrznej i oceniająca jego adekwatność i efektywność za pośrednictwem Komitetu ds. Audytu i Audytu Wewnętrznego.
4. Prezes Zarządu Banku ogłasza w formie zarządzenia Regulamin kontroli wewnętrznej.


VIII. POSTANOWIENIA KOŃCOWE

§ 39
W razie likwidacji Banku, Walne Zgromadzenie wyznacza na wniosek Rady Nadzorczej jednego lub więcej likwidatorów oraz określa sposób przeprowadzenia likwidacji.


§ 40

made to the Bank's StatuteLegal basis: § 38 section 1 point 2 of
the Regulation of the Minister of Finance dated 19 February 2009 on
current and periodic information disclosed by the issuers of securities
and the recognition of the information required by the law of a
non-member state.Pursuant to § 38 section 1 point 2 of the
Regulation of the Minister of Finance dated 19 February 2009 on current
and periodic information disclosed by the issuers of securities and the
recognition of the information required by the law of a non-member state
(Journal of Laws 2014, item 133 as amended), with respect to the
adoption by the Extraordinary General Meeting of Bank Polska Kasa Opieki
Spółka Akcyjna on 8 June 2017 the resolution on amending the Statute of
Bank Polska Kasa Opieki Spółka Akcyjna and the resolution on
establishing the consolidated text of the Statute of Bank Polska Kasa
Opieki Spółka Akcyjna, the Management Board of the Bank presents the
content of the adopted changes to the Bank Statute along with their
existing wording and provides the uniform text of the Bank's Statute
including the adopted amendments.The Management Board of the Bank
informs that on 17 March 2017 the Financial Supervision Authority (KNF)
has issued the decision no DLB/DLB_KZS/700/37/2/2017/KS on granting the
permission for amendments to the Statute of the Bank listed in points 1
- 5.1. Deletion in § 1 of the Bank’s Statute sections 2 in
following wording:„2. Bank Polska Kasa Opieki S.A. is a member of
the UniCredit Banking Group. UniCredit S.p.A. has the right, in
accordance with the Polish law, through the statutory authorities of the
Bank, to affect activities of the Bank aimed at ensuring the stability
of the Group.”,and deletion of digit 1 in section 1.2.
Giving § 10 section 2 of the Bank’s Statute in current wording:“2.
The General Meeting shall be entitled to adopt resolutions if at least
50% of the shares plus one share are represented, subject to the
mandatory provisions of law.”following wording:„2.
The General Meeting shall be capable of adopting valid resolutions
irrespective of the number of shares represented thereat.”3.
Deletion in § 10 of the Bank’s Statute section 3 and 4 in following
wording:„3. In the case the resolution has not been adopted for
the lack of the quorum required by the Statute of the Bank, during the
next General Meeting, with the same agenda as the General Meeting, which
did not adopt a resolution for the lack of the quorum, the presence of
the shareholders representing at least 20% of the shares is required for
an adoption of the resolution.4. The General Meeting referred to in
Section 3 should be held on the date falling - not later than within
eight weeks after the General Meeting which has not adopted the
resolutions for the lack of quorum.”and changing
respectively hitherto numbers of sections 5 and 6 to numbers 3 and 4.4.

PROVISIONS§ 1Bank Polska Kasa Opieki Spółka
Akcyjna, established in 1929, is a bank organised in the form of a joint
stock company, operating pursuant to the binding legal regulations, and
in particular according to the Banking Law, regulations of the Code of
Commercial Companies and provisions of this Statute.§ 21.
The name of the company shall be: "Bank Polska Kasa Opieki Spółka
Akcyjna".2. The Bank shall use the abbreviated name: "Bank
Pekao S.A."§ 3The Bank shall have its
registered seat in the capital city of Warsaw.§ 41.
The Bank shall operate within the territory of the Republic of Poland
and abroad.2. The Bank may own, establish and liquidate branches and
other organizational units in the country and abroad.§ 5The
Bank's organizational structure shall comprise:1) the Head Office of
the Bank,2) operational units at the Head Office of the Bank,3)
Regions,4) Branches,5) Other organizational units.II.
ACTIVITIES OF THE BANK§ 61. The scope of the
activities shall comprise the conducting of the following activities in
Poland and abroad:1) Accepting cash as demand deposits or term
deposits and keeping deposit accounts,2) Keeping other bank accounts,3)
Granting credits and loans,4) Performing financial settlements in
all forms accepted in domestic and international bank relations,5)
Performing banking operations regarding bills of exchange and cheques,6)
Accepting and making deposits in domestic and foreign banks,7)
Giving and confirming sureties and bank guarantees and opening and
confirming letters of credit,8) Conducting purchase and sale of
foreign exchange values,9) Servicing state loans and managing funds
on order,10) Issuing banking securities, trading in such securities
and keeping securities accounts,11) Performing ordered activities
related with the issue of securities,12) Safe-keeping of objects,
documents and securities, and making available safe deposit boxes,13)
Organizing and participating in bank syndicates,14) Trading and
agency in financial debts,15) Performing term financial operations,16)
Providing trustee services,17) Providing payment services:a)
within the scope of issuing payment instruments and performing
operations with the use of such instruments,b) as paying agentand
performing activities connected with these services,18) Keeping
housing savings,19) Providing consulting and advisory services in
financial matters,20) Acquiring or purchasing shares and rights
arising from shares of stock of another legal entity other than a bank,
or investment in investment funds,21) Taking up obligations relating
to issuance of securities,22) Trading in securities,23) Carrying
out conversion of debt into the debtor's property components, on terms
and conditions agreed with the debtor,24) Purchasing and selling
real estate,25) Organizing and rendering financial services in
leasing and factoring,26) Performing activities in insurance
brokerage,27) Rendering services in transportation of valuables,28)
Safe-keeping and registering financial instruments,29) Performance
of the function of a depository pursuant to provisions of the act on
organization and operation of pension funds and the act on investment
funds,30) Acting as an intermediary in carrying out money transfers
and settlements in foreign exchange payments,31) Conducting
vindication activity by order of banks,32) Conducting brokerage
activity,33) Performing upon demand of other banks and credit
institutions specified activities belonging to their scope of activity,34)
Acting as an agent for investment company,35) Performing the
following activities not classified as brokerage activity:a)
acceptance and transfer of orders to acquire or dispose of financial
instruments,b) execution of the orders referred to in point a, for
the account of the customer,c) acquisition or disposal for the own
account of financial instruments,d) offering of financial
instruments,e) investment advice,f) provision of services under
standby underwriting agreements and firm commitment underwriting
agreements or execution and performance of other similar agreements on
financial instruments,with a reservation that the activities
specified in letters a)-e) can only involve securities issued by the
State Treasury or the National Bank of Poland or other financial
instruments and bonds precluded from the organized trading system,
specified in Art. 39p sec. 1 of the Act of 27th October 1994 on paid
motorways and the National Road Fund, while with regard to activities
specified in letter c), also tradable bonds, letters of lien, or other
sellable securities incorporating material rights equivalent to rights
arising from the taken debt, other than specified above or derivatives
whose base instruments are bonds, letters of lien, other sellable
securities incorporating material rights equivalent to rights arising
from taken debt, interest rate or currency,36) Providing trust
services and issuing electronic means of identification as defined in
the regulations on trust services.2. Bank may perform activities
reserved for banks in accordance with the Act of 11 February 2016 on
State aid in the upbringing of children.III. BODIES OF
THE BANK§ 7The Bodies of the Bank are:1)
General Meeting,2) Supervisory Board,3) Management Board of the
Bank.The General Meeting§ 81. The
General Meeting shall be convened by way of publishing an announcement
on the Bank's internet site and in a manner determined for providing
current information in accordance with the regulations on the public
offer and terms of introducing financial instruments into the organised
trading system and on public companies.2. The Ordinary General
Meeting shall be convened by the Bank Management Board.3. The
Ordinary General Meeting should be held in June at latest. Should the
General Meeting be not convened by the Management Board within the time
limit set out in this Statute, the Supervisory Board shall have the
right to convene the Meeting.4. The Extraordinary General Meeting
shall be convened, if required, by the Management Board of the Bank on
its own initiative or on the motion of the Supervisory Board or on
demand of the shareholders representing at least 1/20 of the statutory
capital. These shareholders may also require introducing specific
matters in the agenda of this General Meeting.5. Should the
Management Board not satisfy the requirements of the shareholders within
two weeks from the date the requirement was submitted, the shareholders
shall have the right to convene the Extraordinary General Meeting
pursuant to the authorisation of the court.6. The Extraordinary
General Meeting convened upon the request of the shareholders
representing at least 1/20 of the statutory capital shall pass the
resolution deciding on whether the costs of convening and holding the
General Meeting shall be borne by the Bank.7. The Extraordinary
General Meeting may also be convened by the Supervisory Board once the
Supervisory Board finds such Meeting justified or by shareholders
representing at least half of the statutory capital or at least half of
the votes within the Bank.8. The shareholder or shareholders
representing at least 1/20 of the statutory capital may require
introducing specific matters in the agenda of next General Meeting.The
requests for convening the General Meeting and for including specific
matters in the agenda of the General Meeting should contain relevant
justifications or the draft of a resolution concerning the proposed item
of the agenda of the Meeting and shall be submitted to the Bank
Management Board no later than 21 days prior to the scheduled date of
the General Meeting.9. The Management Board shall be obligated to
announce instantly, but no later than 18 days prior to the scheduled
date of the General Meeting, the changes to the meeting agenda
introduced upon the shareholders' request. This announcement shall be
made in a way appropriate to the convening of the General Meeting.10.
The shareholder or shareholders representing at least 1/20 of the
statutory capital may, prior to the date of the General Meeting, submit
to the Bank, in writing or by electronic means, drafts of resolutions
concerning matters included in the agenda of the General Meeting or
matters which are to be included in the agenda. Bank shall instantly
publish the drafts of the resolutions on the Bank's internet site.11.
Each shareholder may, during the general meeting, submit drafts of
resolutions concerning the matters included in the agenda.§
8a1. The participation in the General Meeting with the use of
electronic communication means is allowed, provided that the Management
Board of the Bank adopts such decision. The Management Board shall take
a decision referred to in the preceding sentence in case of fulfilling
by the Bank the technical conditions necessary to participate in the
General Meeting with the use of electronic communication means which
includes in particular:1) broadcasting the deliberations of the
General Meeting in real time,2) two-way communication in real time
whereby the shareholders may make their views known during the
deliberations of the General Meeting while being present in a place
other than the venue of the General Meeting,3) exercising the voting
right, personally or by proxy, prior to or during the General Meeting.2.
In each case of convening the General Meeting, the Management Board of
the Bank defines whether the participation in the General Meeting with
the use of electronic communication means is possible and what are the
requirements and limitations necessary to identify of shareholders and
to ensure the safety of electronic communication.3. Detailed
conditions of participation in the General Meeting with the use of
electronic communication means are specified in regulation adopted by
the General Meeting and notice of calling the General Meeting.§ 9All
matters to be submitted to the General Meeting shall be first submitted
to the Supervisory Board for consideration.§ 101.
Shareholders may participate in the General Meeting in person or through
their attorneys. A power of attorney to attend and vote at the General
Meeting shall be made in writing or in the electronic format and
attached to the Minutes of the General Meeting under the pain of
invalidity.2. The General Meeting shall be capable of adopting valid
resolutions irrespective of the number of shares represented thereat.3.
Resolutions of the General Meeting shall be adopted by an absolute
majority of votes, subject to the provisions of the Code of Commercial
Companies and the Statute of the Bank.4. The removal from the agenda
or abandoning the reconsideration of an issue placed in the Agenda upon
a motion from shareholders requires the General Meeting to adopt a
resolution by 3/4 majority of votes, upon prior consent of all present
shareholders who submitted such motion.§ 111. Each
share of the Bank shall give right to one vote.2. The Shareholder
may vote differently out of each share he or she owns.§ 121.
The General Meeting shall be opened by the Chairman, or one of the
Deputy Chairmen, or in their absence - by one of the members of the
Supervisory Board. If these persons are absent, the General Meeting
shall be opened by the President of the Management Board or a person
designated by the Management Board.2. Detailed procedure of
conducting the sittings of the General Meeting shall be determined by
the regulation adopted by the General Meeting.§ 13The
General Meeting, apart from other matters specified in law provisions,
in particular in the Code of Commercial Companies, the Banking Law, in
recommendations of the supervision authorities and in the Statute of the
Bank, shall have the authority to:1) Review and approve the report
on the activities and the financial reports of the Bank for the previous
reporting year,2) Adopt resolutions regarding distribution of
profits or covering losses,3) Review and approve the report on
activities of the Supervisory Board,4) Acknowledge the approval of
duties by members of the Supervisory Board and the Management Board,5)
Review and approve the report on activities and the financial report of
the Bank's capital Group,6) Set the date of determining the right to
dividend and the date of paying out the dividend,7) Sell and lease
of the enterprise, or its organised part, and establish a limited
property right of usufruct thereof,8) Amend the Statute of the Bank
and establish its uniform text,9) Increase or decrease the Bank's
statutory capital,10) Issue bonds, including bonds convertible into
shares or the bonds with pre-emptive right to acquire shares, and
subscription warrants,11) Redeem shares and determine conditions of
such redemption,12) Carry out a merger, division or liquidation of
the Bank,13) Create and liquidate special funds,14) Appoint and
recall members of the Supervisory Board, taking into account assessment
of fulfillment of suitability requirements,15) Determine the rules
of remunerating members of the Supervisory Board,16) Conclude the
agreement with a controlled company which provides for a management over
the controlled company or a transfer of profit by such company,17)
Appointment of the entity authorised to examine financial statements and
review the financial statements,18) Deal with other matters falling
within the scope of the Bank's activities which are submitted to the
General Meeting.The Supervisory Board§141. The
Supervisory Board consists of seven to nine members appointed by the
General Meeting for the period of their common term of office, which
shall last three years.2. The number of members of the Supervisory
Board shall be determined by the General Meeting.3. At least half of
the members of the Supervisory Board, including the Chairman of the
Supervisory Board, should possess testimonials of good knowledge of the
banking market in Poland due to the joint fulfillment of the following
criteria:1) possession of professional experience on the Polish
market suitable for the performed supervisory function in the Bank,2)
permanent place of domicile in Poland,3) knowledge of the Polish
language.4. Independent members shall constitute at least half of
the composition of the Supervisory Board. The independent members of the
Supervisory Board shall be free of any associations that might bear a
material impact upon their capacity of to take impartial decisions.5.
An independent member of Supervisory Board is considered to be a person,
who meets jointly the following conditions:1) is not and has not
been in the period of the last 3 years employed at the Bank, its
subordinated units as defined in the accounting act or in its parent
company,2) does not perform and has not performed in the period of
the last 5 years in the Bank, its subordinated units as defined in the
accounting act or in its parent company a function of a member of the
Management Board or other managerial function,3) is not and has not
been in the period of the last 3 years a chartered public accountant, a
partner or an employee of an entity providing, now or in the last 3
years, auditing services in favour of the Bank, its subordinated units
as defined in the accounting act or parent company,4) is not a
shareholder with the right to execute 5% or more votes at the General
Meeting, is not employed by such a shareholder, does not represent - in
any manner whatsoever - such a shareholder, or does not have other
direct or indirect relations with such shareholder,5) has not
received and is not receiving any additional remuneration in a major
amount, from the Bank, its subordinated units as defined in the
accounting act or its parent company, apart from the remuneration for
membership in the Supervisory Board or fixed-amount remuneration within
a pension plan for past work in the Bank, its subordinated unit as
defined in the accounting act or its parent company, if a prerequisite
for disbursement of such remuneration is not continuation of employment,6)
is not maintaining and has not maintained for the past year significant
commercial relationships with the Bank, its subordinated unit as defined
in the accounting act or its parent company, directly or as a partner,
shareholder, member of the body or employee holding a managerial
function,7) is not a management board member in another company in
which the member of the Management Board of the Bank is a supervisory
board member and does not have any major relation with Bank Management
Board members through shares in other companies or membership in other
bodies,8) is not and has not been in the period of the last 3 years
a member of a close family of a Bank Management Board member, does not
have other direct or indirect relations with a Bank Management Board
member, and is not and has not been in the period of the last 3 years a
member of close family of an employee occupying a managerial position in
the Bank or persons referred to in items 1-7 above,9) does not have
direct or indirect relations with the Supervisory Board members,10)
does not have direct or indirect relations with companies affiliated
with Bank's major shareholders, as defined in the Code of Commercial
Companies.5a. At least three independent members of the Supervisory
Board should have competence in accounting or financial revision,
including at least one of them should additionally fulfill the
conditions of independence as defined in art. 86 section 5 of the act of
7 May 2009 on chartered accountants and their governing body, entities
authorized to examine financial statements and on public supervision.6.
Members of the Supervisory Board shall perform their duties only in
person.7. The Supervisory Board shall elect its Chairman, two Deputy
Chairmen and Secretary from among its members. The Deputy Chairman may
simultaneously perform the function of the Secretary.8. The
Supervisory Board shall act in accordance with the Rules of Procedure
adopted by it.§ 151. Any member of the Supervisory
Board may be recalled at any time by the General Meeting.2. Mandates
of the members of the Supervisory Board shall expire:1) On the date
of holding the General Meeting accepting the financial report for the
last full reporting year of performing duties of a member of the
Supervisory Board, save as otherwise provided for in Section 3,2) In
the event of resignation of a member of the Supervisory Board from his
position,3) In the event of recalling a member of the Supervisory
Board by the General Meeting,4) In case of death of a member of the
Supervisory Board.3. Mandate of the member of the Supervisory Board,
which has been appointed before the end of the term of the Supervisory
Board, shall expire simultaneously with the expiry of the mandates of
the remaining members of the Supervisory Board.§ 161.
Meetings of the Supervisory Board shall be held as necessary, however,
not less frequently than every two months.2. Meetings of the
Supervisory Board shall be convened by the Chairman of the Supervisory
Board on his own initiative or on a motion of the Management Board or a
member of the Supervisory Board.3. If the Chairman of the
Supervisory Board does not convene the meeting within two weeks after
receiving the motion mentioned in Section 2, the proposer of the motion
can convene it on his own giving the date, place and the proposed agenda.§171.
The Supervisory Board shall adopt resolutions if at least half of its
members, including its Chairman, or one of the Deputy Chairmen, are
present during the meeting and all the members have been invited.2.
Members of the Supervisory Board may also take part in adoption of the
Board's resolutions by casting their vote in writing through other
member of the Supervisory Board, excluding the resolutions on matters
introduced into agenda at the meeting.3. Resolutions of the
Supervisory Board shall be adopted by an absolute majority of votes
unless the provisions of law stipulate otherwise.4. In special
situations, a resolution may be adopted in writing (by correspondence)
or with the use of means of distance communication. The procedure of
adopting resolutions in writing and with the use of means of distance
communication is set out in the Rules of procedure of the Supervisory
Board.5. The mode determined in Section 2 and 4 does not refer to
resolutions adopted in secret ballot.§ 18Besides
other rights and obligations provided for in the law provisions,
particularly in the Code of Commercial Companies, the Act on Banking
Law, in recommendations of the supervision authorities and in the Bank's
Statute, the following matters shall fall in particular into the
authority of the Supervisory Board:1) Review of the report of the
Management Board on activities of the Bank and review of the Bank's
financial report for the previous reporting year,2) Review of the
motions of the Management Board regarding distribution of profits or
covering losses,3) Review of the report on activities and financial
report of the Bank's Capital Group,4) Submitting to the General
Meeting a written report on the results of reviews referred to in item
(1) to (3),5) Preparation of the report on activities of the
Supervisory Board for the previous reporting year,6) Applying to the
Financial Supervisory Authority for approval to appoint the President of
the Management Board and the member of the Management Board supervising
the management of significant risk in Bank operations and to entrust
this function to the appointed member of the Management Board,7)
Appointing, upon approval of the Financial Supervisory Authority, and
recalling the President of the Management Board of the Bank in a secret
ballot, taking into account assessment of fulfillment of suitability
requirements,8) Appointing and recalling in a secret ballot at the
request of the President of the Management Board, the Deputy Presidents
and members of the Management Board of the Bank, taking into account
assessment of fulfillment of suitability requirements,9) Suspending
in their duties for significant reasons individual or all members of the
Management Board,10) Delegating the members of the Supervisory Board
for a period not exceeding three months, to perform the duties of the
members of the Management Board, which were dismissed, resigned, or for
other reasons are incapable of performing their duties,11)
Determining the terms of contracts regulating employment or other legal
relationships between members of the Management Board and the Bank,12)
Issue opinions on motions of the Management Board of the Bank regarding
the establishing and access by the Bank as a shareholder (stockholder)
into other companies, and selling shares (stocks) should such
investments be of long-term and strategic nature,13) Approving of
Bank's long-term development plans and issuing opinions on annual
financial plans of the Bank,14) Issue of approval for creation and
liquidation of foreign branches and representative offices of the Bank,15)
Adoption of regulations concerning the creation and use of funds
provided for in the Bank's Statute on request of the Management Board,16)
Approving motions of the Management Board of the Bank regarding
acquisition, encumbering or sale of real estate or a share in real
estate, or perpetual usufruct, in the event that its value exceeds
5,000,000 PLN,17) Approval of motions of the Management Board
concerning incurring obligations or disposal of assets which overall
value in relation to one entity exceeds 5 % of equity funds of the Bank,18)
Approval of motions of the Management Board of the Bank related to
outsourcing in strategic areas of business activity conducted by the
Bank or in case of the commission of services having the value not lower
than Euro 1,000,000,19) Presentation to the General Meeting, once a
year, of a report on evaluation of functioning of the Bank's
remuneration policy,20) Performance of regular assessment of the
Bank's application of Corporate Governance Rules for Supervised
Institutions,21) Performance of assessment of intention of
termination of an agreement with an entity authorized to examine
financial statements,22) Approving and supervision over risk
management strategy implementation in the Bank’s activity,23)
Giving permission to the Management Board members to perform functions
in the bodies of the companies outside the Bank’s Capital Group,24)
Approval of the recovery plan of the Bank or the recovery plan of the
Bank’s Capital Group prepared under the provisions of the Banking Act.§19The
Chairman of the Supervisory Board and, in his absence, the Deputy
Chairman indicated by the Chairman of the Supervisory Board, shall be
entitled to sign agreements concluded by the Bank with members of the
Management Board of the Bank, acting on behalf of the Supervisory Board.The
Management Board of the Bank§ 201. The Management Board
consists of 5 to 9 members. The Management Board of the Bank shall
consist of the:1) President of the Management Board of the Bank,2)
Vice Presidents of the Management Board of the Bank,3) Members of
the Management Board of the Bank.2. At least half of the members of
the Management Board of the Bank, including the President of the
Management Board of the Bank should possess testimonials of good
knowledge of the banking market in Poland due to the joint fulfillment
of the following criteria:1) possession of professional experience
on the Polish market suitable for the performed managerial function in
the Bank,2) permanent place of domicile in Poland,3) knowledge
of the Polish language.3. The Management Board of the Bank shall
operate on the basis of the Rules of procedure adopted by it. Rules of
procedure shall in particular define the matters which require joint
consideration by the Management Board, as well as the procedure for
adopting a resolution in writing.4. Resolutions of the Bank
Management Board may be adopted after all members have been duly
notified of the Management Board meeting. Resolutions are deemed valid
when adopted in the presence of at least half of the Management Board
members.5. Resolutions shall be adopted by an absolute majority of
votes unless the provisions of law stipulate otherwise.§ 211.
The members of the Management Board shall be appointed for the common
term, which shall last three years.2. Mandates of Members of the
Management Board of the Bank shall expire:1) On the day of holding
the General Meeting accepting the financial report for the last full
reporting year of performing the duties of the member of the Management
Board save as otherwise provided for in Section 3,2) In the event of
resignation of a member of the Management Board from his position,3)
In the event of recalling a member of the Management Board by the
Supervisory Board,4) In case of death of a member of the Management
Board.3. Mandate of the member of the Supervisory Board appointed
before the end of the term of the Management Board shall expire
simultaneously with the expiry of the mandates of the remaining members
of the Management Board.§ 221. The President of the
Management Board shall:1) Convene and preside over meetings of the
Management Board of the Bank,2) Present the standpoint of the
Management Board of the Bank towards the organs of the Bank and in
external relations, in particular towards the State organs,3) Issue
internal orders, rules of procedure and other regulations governing the
Bank's operations. The President of the Management Board may authorize
other persons to issue internal regulations of the Bank,4)
Coordinate the activities of the members of the Management Board of the
Bank,5) Supervise in particular the following areas of the Bank's
activity: internal audit, compliance and corporate communication,
including investor relations.2. During the absence of the President
of the Management Board of the Bank, his duties shall be taken over by a
member of the Management Board of the Bank appointed by the President of
the Management Board.3. The Vice President of the Management Board,
appointed upon the approval of the Financial Supervision Authority,
supervises the area of risk management, including credit risk, with
exception of the compliance risk.4. The Management Board shall
conduct the matters of the Bank and represent the Bank. All issues not
reserved by virtue of the provisions of the law or of the Statute to
fall within the scope of competence of other authorities, shall fall
within the scope of competence of the Bank Management Board. Subject to
§ 18 point 16 of the Bank Statute, acquisition, encumbrance or sale of
real estate, perpetual usufruct or share in a real estate shall be the
sole competence of the Bank’s Management Board, without the necessity to
obtain the General Meeting resolution. The members of the Management
Board shall co-ordinate and supervise the activity of the Bank pursuant
to the division of competence, adopted by the Management Board and
approved by the Supervisory Board.§ 23The
Management Board of the Bank may issue commercial powers of attorney
only to employees of the Bank. The commercial power of attorney may be
revoked by any member of the Management Board.IV.
PROCEDURE FOR SUBMITTING STATEMENTSREGARDING PROPERTY RIGHTS AND
OBLIGATIONS OF THE BANK§ 241. The following persons are
authorised to make statements regarding property rights and obligations
of the Bank and to sign on behalf of the Bank:1) Two members of the
Management Board or a member of the Management Board with a commercial
attorney,2) Two commercial attorneys,3) Member of the Management
Board or a commercial attorney acting jointly with an attorney,4)
Attorneys acting individually or jointly within the limits of their
powers of attorney.2. Persons empowered to submit statements
regarding property rights and obligations shall place their signatures
under the name of the Bank.V. CAPITAL AND FUNDS OF THE BANK§
251. Equity funds of the Bank, including positions decreasing them,
in accordance with the regulations of Banking Law, shall consist of:1)
Basic funds,2) Supplementary capital in the amount not higher than
the basic funds of the Bank.2. The basic funds of the Bank are:1)
Statutory capital,2) Obligatory reserve equity,3) Reserve
equities, including the fund for conducting brokerage activity,4)
General risk fund for unidentified risk of the bank activity,5)
Retained profit from previous years,6) Profit under approval and net
profit of the current reporting period, calculated in accordance with
the applicable accounting principles, minus any anticipated charges and
dividends whose amounts should not exceed the amount of the net profit,
as verified by expert auditors.§ 261. Bank may create
and liquidate special funds during and at the end of the financial year,
on the basis of resolutions of the General Meeting..2. Bank shall
create funds provided for in binding legal acts.§ 271.
The statutory capital of the Bank amounts to 262.470.034,- (two hundred
sixty two million four hundred seventy thousand thirty four) PLN and is
divided into 137.650.000 (one hundred thirty seven million six hundred
and fifty thousand) Series A bearer shares with the nominal value of 1,-
(one) PLN per share, 7.690.000 (seven million six hundred and ninety
thousand) Series B bearer shares of the Bank with the nominal value of
1,- (one) PLN per share, 10.630.632 (ten million six hundred thirty
thousand six hundred and thirty two) Series C bearer shares with the
nominal value of 1,- (one) PLN per share, 9.777.571 (nine million seven
hundred seventy seven thousand five hundred and seventy one) Series D
bearer shares with the nominal value of 1,- (one) PLN per share, 373.644
(three hundred seventy three thousand six hundred and forty four) Series
E bearer shares with the nominal value of 1 (one) PLN per share, 621,411
(six hundred twenty one thousand four hundred eleven) Series F bearer
shares with the nominal value of 1,- (one) PLN per share, 603.377 (six
hundred three thousand three hundred seventy seven) Series G bearer
shares with the nominal value of 1,- (one) PLN per share, 359.840 (three
hundred fifty nine thousand eight hundred and forty) Series H bearer
shares with the nominal value of 1,- (one) PLN per share and 94,763,559
(ninety four million seven hundred sixty three thousand five hundred and
fifty nine) Series I bearer shares with the nominal value of 1,- (one)
PLN each.2. Statutory capital of the Bank may be increased through
the issue of new bearer shares, or through the increase of the nominal
value of the existing shares. The General Meeting may increase the
statutory capital earmarking for this purpose the funds from reserve
capital or other funds set up from profit, provided they can be used for
this purpose in compliance with the Code of Commercial Companies and the
Bank's Statute.3. Shares may be issued as collective shares
certificates.4. Shares may be redeemed on conditions determined by
the General Meeting.§ 281. Obligatory reserve
equity shall be created out of annual write-offs from the net profit to
cover possible balance sheet losses, as may result from operations of
the Bank. Annual write-offs into obligatory reserve equity shall amount
to at least 8 % of net profit and shall be continued until the
obligatory reserve equity reaches at least 1/3 part of statutory capital
of the Bank. The surplus achieved by the issue of shares over their
nominal value shall be transferred to the obligatory reserve equity and
other surplus - after the cover of cost of issue.2. The amount of
any such write-off shall be determined by the General Meeting.3. The
General Meeting shall decide about using of obligatory reserve equity.
However, a part of this equity in the amount of one-third part of
statutory capital may be only used to cover the loss showed in the
financial report.§ 291. The general risk fund shall
be established out of write-offs from net profit for unidentified risks
associated with banking activities.2. The amount of any such
write-offs shall be determined by the General Meeting.§ 301.
The reserve equities shall be established out of write-offs from net
profit for the equities.2. Amount of any such write-offs shall be
determined by the General Meeting.3. The reserve equities may be
designated for covering the particular losses or expenses as well as for
increasing the statutory capital and paying out of the dividend.4.
The General Meeting of shall decide about using the reserve equities.§
311. Special funds shall be established out of write-offs from net
profit made pursuant to a resolution of the General Meeting, which, in
each case, shall determine the amount of the write-off to be allocated
to each particular fund, unless the obligation to create such funds
results from a legal act.2. Rules of procedure of establishing and
using of special funds shall be adopted by the Supervisory Board.VI.
FINANCIAL MANAGEMENT OF THE BANK,DISTRIBUTION OF PROFIT, COVERING OF
LOSSES, ACCOUNTING§ 32The financial management of the
Bank shall be conducted on the basis of annual financial plans.§
331. Annual net profit may be allocated for the following purposes,
in amounts to be resolved upon by the General Meeting:1) Obligatory
reserve fund,2) General risk fund,3) Reserve equities, including
the fund for conducting brokerage activity,4) Dividend,5)
Special funds,6) Other purposes.2. Any claim for dividend shall
expire after three years. The Bank shall pay no interest on the
uncollected dividend.§ 33a1. The Management Board
is authorized to make an advance payment of anticipated dividend for the
end of the financial year, provided that the Bank has sufficient funds
for such a payment and that the financial statement for the previous
year indicates a profit.2. The disbursement of such advance payment
requires the approval of the Supervisory Board and arrangements with the
Financial Supervision Authority.3. The advance payment for dividend
may only amount to half of the Bank's profit made by the end of the
previous financial year, reported in the financial statement examined by
a chartered auditor, reduced by the uncovered losses and own shares.§
34The Bank shall create a general risk reserve to debit the costs in
order to cover rights connected with conducting banking operations.§
35Balance sheet losses shall be covered from obligatory reserve
equity and reserve equities in the manner specified by a resolution of
the General Meeting.§ 36The Bank shall conduct
accounting on the basis of the plan of accounts and in accordance with
the binding legal regulations.The organization and method of
accounting shall be determined by the Management Board of the Bank.§
37Financial year shall be equivalent to the calendar year.VII.
INTERNAL CONTROL§ 381. The aim of the internal control
system of the Bank is to ensure:1) compliance of Bank’s operations
with law, internal regulations and market standards and with the
strategy of the Bank,2) effectiveness and efficiency of the Bank’s
activity,3) protection of assets,4) prevention of losses and
errors,5) security, stability and effectiveness of operations,6)
reliability and completeness of accounting, management information and
reliability of financial reporting,7) compliance of transactions
with generally binding provisions of law, supervisory rules and internal
policies, plans, regulations and procedures,8) support of the
decision-making process,9) observance of risk management principles
in the Bank.2. The Internal Control System shall involve - in
different roles - authorities of the Bank, individual units and
organizational cells of the Bank, as well as all employees of the Bank,
and consists of:1) a control function whose task is to ensure
observance of control mechanisms involving, in particular, risk
management in the Bank, which comprises positions, groups of people or
organizational units responsible for performing tasks assigned to this
function;2) a compliance unit whose task is to identify, evaluate,
control and monitor the risk of non-compliance of Bank’s operations with
law, internal regulations and market standards and to present relevant
reports;3) an independent Internal Audit unit whose task is to
examine and evaluate, in an independent and objective manner, adequacy
and effectiveness of the risk management system and the internal control
system, excluding the internal audit unit.3. The following
authorities of the Bank shall be involved in the Internal Control System:1)
The Management Board - responsible for designing, implementing and
operating the Internal Control System, adjusted to size and profile of
the risk related to the operations of the Bank,2) the Supervisory
Board - exercising supervision over the Internal Control System and
assessing its adequacy and effectiveness through the Audit Committee and
the Internal Audit.4. The President of the Management Board of the
Bank shall publish in the form of the order the By-laws of internal
control.VIII. FINAL PROVISIONS§ 39In
case of liquidation of the Bank, the General Meeting at the request of
the Supervisory Board shall appoint one or more liquidators and
determine the method of carrying out the liquidation.§ 40Obligatory
notices, which must be published according to the Commercial Companies
Code, excluding the notice specified in Par. 8 Section 1 of the Statute
shall be published by the Management Board of the Bank in the "Court and
Business Monitor"."
