| Zarząd spółki Globe Trade Centre S.A. ("Spółka") niniejszym informuje, że na podstawie art. 7.1.1, 7.1.2 oraz 7.1.3 statutu Spółki, spółka Emerging Investments XIII B.V. z siedzibą w Amsterdamie w Holandii przy Claude Debussylaan 30 (13 piętro), 1082 MD, w dniu 2 grudnia 2013 r. doręczyła Spółce oświadczenie o powołaniu do Rady Nadzorczej Spółki z tym dniem następujących osób: Olivier Brahin Philippe Couturier dr Michael Damnitz Alexander Hesse, oraz Katharina Schade. Emerging Investments XIII B.V. posiada 88.635.914 akcji Spółki, które stanowią 27,75% głosów i 27,75% kapitału zakładowego Spółki i powodują przekroczenie przez ten podmiot Progu Pierwotnego (w rozumieniu art. 7.1.1 statutu Spółki) oraz czterech Progów Uprawniających (w rozumieniu art. 7.1.1 statutu Spółki). Olivier Brahin jest partnerem w Lone Star i Starszym Dyrektorem Zarządzającym (Senior Managing Director) spółki Lone Star European Investments, gdzie odpowiada za wszelkie inwestycje komercyjne i nieruchomościowe oraz za kierowanie obszarem pozyskiwania nieruchomości komercyjnych (commercial real estate origination). Przed przejściem do Lone Star, od listopada 2000 roku do grudnia 2007 roku, pan Brahin pełnił obowiązki Prezesa Hudson Advisors Europe, kierując gwarantowaniem, finansowaniem i zarządzaniem aktywami w stosunku do wszystkich inwestycji Lone Star w Europie. Pan Brahin ma 19 lat doświadczenia w komercyjnych inwestycjach nieruchomościowych, finansowaniu i zarządzaniu aktywami. Przed rozpoczęciem pracy w Hudson Advisors, pan Brahin pracował w departamencie finansowania strukturalnego nieruchomości w BBC Bank oraz UIC Sofal. Był dyrektorem w JER France, odpowiedzialnym za gwarantowanie emisji instrumentów finansowych (underwriting). Swoją karierę rozpoczął w 1989 roku jako deweloper. Pan Brahin uzyskał tytuł magistra finansów oraz magistra ekonomii na uniwersytecie paryskim – Université Paris-Dauphine IX. Philippe Couturier jest dyrektorem generalny na Europę w Hudson Advisors i posiada ponad 20 letnie doświadczenie w inwestowaniu w nieruchomości w całej Europie. Pełniąc obowiązki Dyrektora Zarządzającego nadzoruje porady inwestycyjne dla klientów udzielane przez europejskie podmioty zarządzające aktywami Hudson Advisors i kieruje gwarantowaniem, finansowaniem i zarządzaniem wszystkimi inwestycjami Lone Star w Europie. Przed rozpoczęciem pracy w Hudson Advisors, pan Couturier piastował szereg stanowisk w Grupie Archon (grupa Goldman Sachs) w Europie, ostatecznie jako Szef działu Zakupów i Zarządzania Aktywami Kredytowymi (Head of Acquisition and Loan Asset Management). Pan Couturier jest absolwentem zarządzania i administracji INSEEC, Paryż. Dr Michael Damnitz posiada ponad 12-letnie doświadczenie w zakresie fuzji i przejęć oraz transakcji finansowania. Po przepracowaniu czterech lat w kancelarii prawnej White & Case, przeszedł do Hudson Advisors Germany GmbH w 2005 roku. Pełniąc funkcję Starszego Wiceprezesa ds. Prawnych (Senior Vice President Legal & Closing) jest odpowiedzialny za pracę transakcyjną, włącznie z fuzjami i przejęciami, finansowaniem i restrukturyzacją długu. Pan Damnitz jest także dyrektorem zarządzającym spółek posiadających nieruchomości w Niemczech. Pan Damnitz studiował prawo na uniwersytecie w Düsseldorfie i Kolonii i obronił doktorat z prawa. Uzyskał także stopień MBA z Düsseldorf Business School i jest wykładowcą na uczelni Frankfurt School of Banking & Financing (HfB). Alexander Hesse posiada 18 lat doświadczenia w inwestycjach nieruchomościowych i zarządzaniu aktywami. Inwestował bezpośrednio w nieruchomości a także w komercyjne nieruchomościowe instrumenty dłużne. Pełniąc obowiązki Starszego Dyrektora Zarządzającego (Senior Managing Director) oraz współkierującego (Co-Head) europejskimi inwestycjami nieruchomościowymi (European Real Estate Investments) w Lone Star, odpowiada za kapitałowe i dłużne inwestycje nieruchomościowe w Niemczech, Austrii oraz w Europie Środkowej i Wschodniej/Europie Południowej i Wschodniej. W TLG Immobilien GmbH, Berlin, pan Hesse jest Przewodniczących Rady Doradców. Przed pracą w Lone Star, w latach 2001 – 2007, był szefem działu nieruchomości (Head of Real Estate) w Hudson Advisors Germany, gdzie odpowiadał za inwestycje w aktywa nieruchomościowe oraz za gwarantowanie inwestycji Lone Star w nieruchomości i inwestycje dłużne. Jeszcze wcześniej pan Hesse był Dyrektorem Zarządzającym niemieckiej nieruchomościowej spółki publicznej. Pan Hesse jest absolwentem WHU Otto Beisheim School of Management oraz ukończył z powodzeniem programy MBA na uniwersytetach Penn State University oraz Instituto Tecnológico Autónomo de México (ITAM). Katharina Schade posiada wieloletnie doświadczenie w zakresie fuzji i przejęć oraz konsultingu w zakresie strategii. W ramach jej obecnej funkcji Wiceprezesa ds. Gwarantowania Inwestycji (Vice President Underwriting) w Hudson Advisors Germany, zajmuje się gwarantowaniem inwestycji dla Lone Star w Niemczech, Austrii oraz w Europie Środkowej i Wschodniej/Europie Południowej i Wschodniej. Przed rozpoczęciem pracy w Hudson pracowała przez sześć lat jako Menedżer ds. Strategii Korporacyjnej oraz Fuzji i Przejęć (Manager Corporate Strategy and M&A) w rodzinnym przedsiębiorstwie oraz jako konsultant doradzający funduszom private equity i instytucjom finansowym w Bain & Company w Niemczech, Danii i Belgii. Jest absolwentką uniwersytetu Philipps University w Marburgu oraz posiada dyplom CFA. Zgodnie ze złożonymi oświadczeniami, powołani członkowie Rady Nadzorczej nie są wpisani do rejestru dłużników niewypłacalnych prowadzonego na podstawie ustawy o Krajowym Rejestrze Sądowym z dnia 20 sierpnia 1997 roku oraz nie wykonują innej działalności poza przedsiębiorstwem Spółki, która jest w stosunku do niej konkurencyjna, nie uczestniczą w spółce konkurencyjnej jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu spółki kapitałowej lub innej konkurencyjnej osoby prawnej. |

| Subject: Appointment of the supervisory board members of Globe Trade Centre S.A. The Management Board of Globe Trade Centre S.A. (the “Company”) hereby informs that pursuant to sections 7.1.1, 7.1.2 and 7.1.3 of the articles of association of the Company, on 2 December 2013 Emerging Investments XIII B.V. with its registered seat in Amsterdam, the Netherlands, at Claude Debussylaan 30 (13 floor), 1082 MD Amsterdam, delivered to the Company a statement appointing the following persons as members of the supervisory board of the Company as of such date: Olivier Brahin Philippe Couturier Dr Michael Damnitz Alexander Hesse, and Katharina Schade. Emerging Investments XIII B.V. holds 88,635,914 shares in the Company, which constitute 27.75% of the Company’s share capital and entitle their holder to 27.75% of the votes at the general meeting of the Company, which results in Emerging Investments XIII B.V. exceeding the Initial Threshold (within the meaning of section 7.1.1 of the Company’s articles of association) and four further Appointing Thresholds (within the meaning of section 7.1.1 of the Company’s articles of association). Olivier Brahin is a partner in Lone Star and Senior Managing Director of Lone Star European Investments, where he is responsible for all commercial real estate investments and directing the commercial real estate origination. Prior to joining Lone Star, from November 2000 through December 2007, Mr. Brahin served as President of Hudson Advisors Europe, directing the underwriting, financing and asset management of all Lone Star investments in Europe. Mr. Brahin has 19 years of experience in commercial real estate investment, financing, and asset management. Prior to joining Hudson Advisors, Mr. Brahin worked for the real estate structured finance department of BBC Bank and UIC Sofal. He was director at JER France responsible for underwriting. He began his career in 1989 as a developer. Mr. Brahin holds both a Masters degree in Finance as wells as a Masters in Economics from the University Paris – Dauphine IX. Philippe Couturier is Chief Executive Officer Europe of Hudson Advisors and has more than 20 years of experience with real estate investments throughout Europe. As Managing Director he oversees the investment advice given by Hudson Advisors European asset management entities to their clients and is directing the underwriting, financing and asset management of all Lone Star investments in Europe. Prior to joining Hudson Advisors, Mr. Couturier held various positions for Archon Group (Goldman Sachs Group) in Europe, ultimately serving as Head of Acquisition and Loan Asset Management. Mr. Couturier holds a degree in Business and Administration from INSEEC, Paris. Dr. Michael Damnitz has more than 12 years of experience with M&A and financing transactions. After four years at the international law firm White & Case, he joined Hudson Advisors Germany GmbH in 2005. As Senior Vice President Legal & Closing he focuses on transactional work, including M&A, financing and debt restructuring. In addition, Mr. Damnitz is managing director of multiple property holding companies in Germany. Mr. Damnitz studied law at the universities in Düsseldorf and Cologne and holds a doctorate in laws. Furthermore, he holds a MBA degree from Düsseldorf Business School and is a lecturer at Frankfurt School of Banking & Financing (HfB). Alexander Hesse has over 18 years of experience in real estate investments and asset management. He has invested directly in properties as well as in commercial real estate debt. As a Senior Managing Director and Co-Head European Real Estate Investments at Lone Star, he is in charge of real estate and real estate debt investments in Germany, Austria and CEE/SEE. At TLG Immobilien GmbH, Berlin, Mr. Hesse is Chairman of the Advisory Board. Prior to joining Lone Star, between 2002 and 2007, he was Head of Real Estate of Hudson Advisors Germany, responsible for real estate asset management and underwriting of Lone Star real estate and debt investments in Germany. Prior to this, Mr. Hesse was a Managing Director at a listed German real estate company. Mr. Hesse graduated from WHU Otto Beisheim School of Management and successfully participated in MBA programs at Penn State University and Instituto Tecnológico Autónomo de México (ITAM). Katharina Schade has several years of experience in M&A and strategy consulting. In her current position as Vice President Underwriting at Hudson Advisors Germany, she underwrites investments for Lone Star in Germany, Austria and CEE/SEE. Prior to joining Hudson, she worked for more than 6 years as Manager Corporate Strategy and M&A for a family-owned corporation and as a consultant advising private equity funds and financial institutions at Bain & Company in Germany, Denmark and Belgium. She graduated from Philipps University in Marburg and is a CFA charterholder. According to their statements, the above-referenced newly appointed members of the supervisory board of the Company are not entered in the register of insolvent debtors maintained pursuant to the Polish Act on the National Court Register dated 20 August 1997, do not perform any activities outside of the Company’s business which could be considered competitive thereto, do not participate in any competitive business either as a partner in a civil partnership or any other type of partnership, and are not members of the authorities of any competitive company or any other competitive entity. |
