| Zarząd Globe Trade Centre S.A. („GTC”, „Spółka”), informuje, że w dniu 25 kwietnia 2023 r., Spółka zawarła z Panem Arielem Ferstman porozumienie w zakresie rozwiązania umowy o pracę. Pan Ferstman zrezygnował z zasiadania w zarządzie GTC oraz GTC Real Estate Development Hungary Zrt ze skutkiem na dzień 25 kwietnia 2023 r. Po tej dacie, Pan Ferstman będzie odpowiedzialny za ekspansję GTC na nowych rynkach i sektorach, skupiając się na fuzjach, przejęciach, pozyskiwaniu funduszy, transakcjach na rynkach kapitałowych oraz tworzeniu nowych platform inwestycyjnych na poziomie Grupy. W dniu 25 kwietnia 2023 r., Rada Nadzorcza Spółki powołała panią Barbarę Sikora na stanowisko Dyrektora Finansowego (CFO) Grupy Globe Trade Centre Group członka Zarządu spółki GTC SA. Pani Sikora jest dyrektorem finansowym wyższego szczebla zaangażowanym we wszystkie aspekty finansów przedsiębiorstw i rozwoju biznesu, zarządzając jako członek zarządu, dyrektor generalny i dyrektor finansowy dużymi grupami spółek. Posiada bogate doświadczenie w sektorze nieruchomości i budownictwa, a także w audycie i obsłudze transakcji. Barbara Sikora ma prawie 20-letnie doświadczenie w sektorze budownictwa i nieruchomości. Specjalizuje się również w finansach, zarządzaniu aktywami i zarządzaniu operacyjnym. Zanim dołączyła do GTC, zajmowała stanowiska dyrektora ds. finansów przedsiębiorstwa oraz dyrektora ds. zarządzania aktywami w obszarze projektów mieszkaniowych w G City Europe. Była tam zaangażowana m.in. w tworzenie nowej platformy PRS – Urban Home. W trakcie swojej kariery zawodowej Barbara Sikora pełniła funkcję partnera i starszego partnera w Griffin Real Estate, sprawując jednocześnie role dyrektora finansowego funduszu oraz dyrektora finansowego i dyrektora generalnego wybranych platform. Była współodpowiedzialna jako dyrektor finansowy za stworzenie i prowadzenie Resi4Rent, największej platformy PRS w Polsce, a także za pozyskiwanie finansowania budowy i inwestycji dla platformy. W tym samym czasie była prezesem zarządu Grupy Chariot Top, grupy 28 centrów handlowych w Polsce o powierzchni 0,7 mln mkw. GLA i wartości 1 mld euro. Ponadto przez lata zajmowała wysokie stanowiska w Grupie Immobel SA, Grupie Centrum Development and Investment Sarl oraz Budimex SA będąc odpowiedzialną za finanse, podatki, HR i administrację grup. Nominacja pani Barbary będzie obowiązywać od 1 maja 2023 r. Barbara Sikora posiada tytuł magistra Uniwersytetu Ekonomicznego w Poznaniu, wydział stosunków międzynarodowych, zarządzanie finansami międzynarodowymi, Executive Master of Business Administration (EMBA), University of Illinois w Urbana-Champaign, USA. Pani Sikora jest Certyfikowanym Audytorem Wewnętrznym (CIA), członkiem Instytutu Audytorów Wewnętrznych oraz członkiem Stowarzyszenia Biegłych Księgowych (FCCA) Zgodnie ze złożonym oświadczeniem, Pani Sikora nie jest wpisana do rejestru dłużników niewypłacalnych prowadzonego na podstawie ustawy o Krajowym Rejestrze Sądowym z dnia 20 sierpnia 1997 r. oraz nie wykonuje innej działalności poza przedsiębiorstwem Spółki, która jest w stosunku do niej konkurencyjna, nie uczestniczy w spółce konkurencyjnej jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu spółki kapitałowej lub innej konkurencyjnej osoby prawnej. Podstawa prawna: § 5 ust. 4 i 5 Rozporządzenia Ministra Finansów z dnia 29 marca 2018 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim. |

| Changes in the Management Board of Globe Trade Centre SA The Management Board of Globe Trade Centre SA (“GTC”, “Company”) informs that on 25 April 2023, the Company entered into a mutual employment contract termination agreement with Mr. Ariel Ferstman. Mr. Ferstman resigned from his seat on the Management Board of the Company as well as GTC Real Estate Development Hungary Zrt. The resignation is effective as of 25 April 2023. After this date, Mr. Ferstman will stay with GTC covering the regional functions of capital markets, M&A, fundraising and creation of new investment platforms for the GTC Group. On 25 April 2023, the Supervisory Board of GTC nominated Barbara Sikora to the post of Chief Financial Officer of Globe Trade Centre Group and a member of the Management Board of GTC SA. Ms. Sikora is a senior financial executive involved in all aspects of corporate finance and business development, managing, as a board member, CEO and CFO, large groups of companies. She has vast experience in real estate and construction sectors as well as audit and transaction support. Barbara Sikora has almost 20 years' experience in construction and real estate sector specialising in finance, asset and operational management. Prior to joining GTC, she held positions of Head of Corporate Finance as well as Asset Management Director for Residential Projects with G City Europe, where she was involved, among others, in setting up a new PRS platform, Urban Home. During her extensive career, Ms Sikora also acted as a Partner and Senior Partner for Griffin Real Estate, holding positions of the fund’s CFO as well as its selected platforms’ CFO and CEO. Ms Sikora was co-responsible for setting up and running Resi4Rent, the biggest PRS platform in Poland, acting as its CFO, as well as acquiring construction and investment financing for the platform. At the same time, she was a CEO of Chariot Top Group, a group of 28 shopping centres in Poland with 0.7 million sq. m GLA and a value of EUR 1 billion. Furthermore, over the years, she has held senior positions at Immobel Group SA, Centrum Development and Investment Sarl Group and Budimex SA being in charge of finance, tax, HR and administration of the groups. Barbara’s nomination will be effective as of 1 May 2023. Barbara Sikora holds a master’s degree from the University of Economics in Poznań, faculty of International Relations, International Financial Management, Executive Master of Business Administration (EMBA), University of Illinois at Urbana-Champaign, USA; Mrs. Sikora is Certified Internal Auditor (CIA), member of the Institute of Internal Auditors and Fellow Member of the Association of Chartered Certified Accountants (ACCA). According to her statement, Ms. Sikora is not entered in the register of insolvent debtors maintained in compliance with the Act on the National Court Register dated 20 August 1997, does not perform any activities outside of the Company’s business which could be considered competitive with respect thereto, does not participate in any competitive business either as a partner in a civil partnership or any other type of partnership, and is not a member of the authorities of any competitive company or any other competitive entity.
