| Zarząd spółki mBank S.A. ("Bank") podaje do wiadomości planowane zmiany do statutu Banku. Zamierzona zmiana statutu polega na tym, aby dotychczasowy zapis §6 ust. 4 statutu Banku w brzmieniu: "4. Działalność wykonywaną na podstawie art. 70 ust. 2 ustawy o obrocie instrumentami finansowymi, polegającą na: 1) przyjmowaniu i przekazywaniu zleceń nabycia lub zbycia instrumentów finansowych, 2) nabywaniu lub zbywaniu na własny rachunek instrumentów finansowych, 3) doradztwie inwestycyjnym, 4) oferowaniu instrumentów finansowych, 5) świadczeniu usług w wykonaniu zawartych umów o subemisje inwestycyjne i usługowe lub zawieraniu i wykonywaniu innych umów o podobnym charakterze, jeżeli ich przedmiotem są instrumenty finansowe." został zmieniony na zapis w brzmieniu: "4. Działalność wykonywaną na podstawie art. 70 ust. 2 ustawy o obrocie instrumentami finansowymi, polegającą na: 1) przyjmowaniu i przekazywaniu zleceń nabycia lub zbycia instrumentów finansowych, 2) wykonywaniu zleceń, o których mowa w pkt 1, na rachunek dającego zlecenie, 3) nabywaniu lub zbywaniu na własny rachunek instrumentów finansowych, 4) doradztwie inwestycyjnym, 5) oferowaniu instrumentów finansowych, 6) świadczeniu usług w wykonaniu zawartych umów o subemisje inwestycyjne i usługowe lub zawieraniu i wykonywaniu innych umów o podobnym charakterze, jeżeli ich przedmiotem są instrumenty finansowe.". |

| Planned modifications of the By-Laws of mBank S.A. The Management Board of mBank S.A. (the Bank) announces the planned modifications of the By-Laws of mBank S.A. The intended modification of the By-Laws is about changing the current wording of Article 6 (4) of the Bank's By-Laws which reads as follows: „4. following activities conducted under Art. 70.2 of the Act on Trading in Financial Instruments:1) acceptance and transfer of orders to acquire or dispose of financial instruments,2) acquisition or disposal of financial instruments for own account,3) investment advisory,4) offering financial instruments,5) provision of services under standby underwriting agreement and firm commitment underwriting agreements or execution and performance of other similar agreements on financial instruments.” into a provision which reads as follows: "4. following activities conducted under Art. 70.2 of the Act on Trading in Financial Instruments:1) acceptance and transfer of orders to acquire or dispose of financial instruments,2) execution of orders, referred to in point 1, on behalf of clients from whom those orders originate,3) acquisition or disposal of financial instruments for own account,4) investment advisory,5) offering financial instruments,6) provision of services under standby underwriting agreement and firm commitment underwriting agreements or execution and performance of other similar agreements on financial instruments.". |
