| W nawiązaniu do raportu bieżącego nr 70/2017 z dnia 27 listopada 2017 r. dotyczącego zawarcia przez mBank S.A. z siedzibą w Warszawie („Bank”) oraz spółkę zależną Banku – mFinanse S.A. („mFinanse”), warunkowej, zobowiązującej umowy, której przedmiotem jest: (i) sprzedaż przez Bank 100% tj. 100.000 akcji w spółce Latona S.A. na rzecz Phoebe IVS z siedzibą w Danii („Inwestor”), a następnie (ii) sprzedaż przez mFinanse zorganizowanej części przedsiębiorstwa mFinanse na rzecz spółki Latona S.A. („Umowa”) oraz raportu bieżącego nr 5/2018 z dnia 28 lutego 2018 r., dotyczącego spełnienia się warunków zawieszających wskazanych w Umowie, Zarząd Banku informuje, że w wykonaniu Umowy w zakresie punktu (i) powyżej, w dniu 26 marca 2018 r. Bank dokonał sprzedaży 100% akcji w spółce Latona S.A. na rzecz Inwestora. | ||||||||||||

| The sale of 100% shares in Latona S.A. With reference to the current report No. 70/2017 of November 27, 2017 related to the conditional agreement concluded by mBank S.A. with the registered office in Warsaw („Bank”) and Bank’s subsidiary mFinanse S.A. (“mFinanse”) under which: (i) the Bank is obliged to sell and transfer 100%, i.e. 100,000, shares in Latona S.A. to Phoebe IVS with its registered office in Denmark (“Investor”) and (ii) mFinanse is obliged to thereupon sell and transfer an organised part of the enterprise of mFinanse to Latona S.A (the “Agreement”), and the current report No 5/2018 of February 28, 2018 related to fulfilment of the conditions precedent to execution of the transaction, the Management Board of the Bank hereby announces that in performance of the Agreement in scope indicated in point (i) above, on March 26, 2018 the Bank has sold and transferred 100% shares in Latona S.A. to the Investor. |
