| Zarząd Polskiego Górnictwa Naftowego i Gazownictwa S.A. ("PGNiG", "Spółka") informuje, że w dniu 02 lipca 2007 roku został zawarty Aneks do Umowy Leasingu Operacyjnego z dnia 06 lipca 2005 roku zawartej pomiędzy PGNiG a Operatorem Gazociągów Przesyłowych GAZ SYSTEM S.A. Zawarcie Aneksu skutkuje wyłączeniem z przedmiotu leasingu z dniem 01 stycznia 2008 roku składników majątkowych o charakterze dystrybucyjnym na wartość 851.939.158,22 zł. Powyższe jest zgodne z przyjętą przez Radę Ministrów "Polityką dla przemysłu gazu ziemnego" z dnia 20 marca 2007 roku, której celem ma być usprawnienie funkcjonalności systemu przesyłowego i systemów dystrybucyjnych. W celu realizacji rzeczonej polityki, niezbędnym stał się podział systemu gazowego, aktualnie znajdującego się w leasingu, na część przesyłową i część dystrybucyjną, a następnie po wyłączeniu z leasingu części składników majątkowych o charakterze dystrybucyjnym przekazanie ich do korzystania Spółkom Dystrybucyjnym – operatorom systemów dystrybucyjnych. Ponadto strony podpisały Porozumienie w zakresie rozpoczętych inwestycji i remontów na wyłączonych z leasingu aktywach, zawartych umów o przyłączenie do sieci gazowej oraz umów serwisowych, zatrudnionych pracowników oraz klientów istniejących i przyłączanych w ramach zawartych umów o przyłączenie. |

| Signing of Annex to Operating Lease AgreementCurrent Report No. 47/2007 dated July 3rd, 2007The Management Board of Polskie Górnictwo Naftowe i Gazownictwo S.A. (“PGNiG", “Company") reports that on 2 July 2007, the parties executed an Annex to the Operating Lease Agreement of 6 July 2006 between PGNiG and the Transmission System Operator OGP GAZ SYSTEM S.A. As a result of the execution of the Annex certain distribution assets for the value of PLN 851,939,158.22 will be excluded from the subject of the lease as of 1 January 2008. The above measure is in line with the “Policy Guidelines form the Natural Gas Industry" approved by the Council of Ministers on 20 March 2007, which is aimed at improving the functionality of the transmission system and the distribution systems. The implementation of the aforementioned policy necessitates that the gas system that is currently subject to the lease be divided into the transmission and distribution parts, and subsequently, following the exclusion of the distribution assets from the lease, such assets be transferred for use to the Distribution Companies – the distribution system operators. Additionally, the parties signed an Agreement concerning the ongoing investments and maintenance of the assets to be excluded from the lease, existing agreements for connection to the gas network and service agreements, employees and existing and new customers to be connected under the current agreements for connection to the gas network. | |||
