| Zarząd Polskiego Górnictwa Naftowego i Gazownictwa Spółki Akcyjnej ("PGNiG", "Spółka") informuje, iż na posiedzeniu w dniu dzisiejszym Zarząd PGNiG postanowił powołać na Prokurentów Spółki : • Pana Zenona Kuchciaka, • Pana Bartłomieja Pawlaka. Udzielona prokura jest prokurą łączną, tj. dla skuteczności czynności prawnych konieczne jest współdziałanie dwóch prokurentów lub prokurenta łącznie z członkiem Zarządu PGNiG. Pan Zenon Kuchciak, magister nauk politycznych Państwowego Moskiewskiego Instytutu Stosunków Międzynarodowych. Od 1986 roku do chwili obecnej zatrudniony w Ministerstwie Spraw Zagranicznych. W latach 1995 – 1997 przedstawiciel Polski w Grupie Wsparcia OBWE w Czeczenii, w latach 1997 – 1998 Doradca Polityczny Szefa Misji OBWE w Chorwacji. W 1998 roku pełnił funkcję Specjalnego Doradcy Wysokiego Komisarza ONZ ds. uchodźców (misja na Kaukazie Północnym), a w latach 1998 – 2000 zastępca Szefa Obrony Cywilnej Kraju. W 2000 roku był Ambasadorem – Szefem połączonej Misji Obserwatorów OBWE i ONZ ds. wyborów parlamentarnych w Tadżykistanie. W latach 2000 – 2001 Doradca Ministra Spraw Wewnętrznych i Administracji. Od kwietnia 2001 do lipca 2005 Ambasador Rzeczpospolitej Polskiej w Uzbekistanie i Tadżykistanie. W maju 1998 roku na wniosek Prezesa Rady Ministrów J. Buzka odznaczony Krzyżem Kawalerskim Orderu Odrodzenia Polski. Pan Bartłomiej Pawlak, absolwent Wydziału Historycznego Uniwersytetu Warszawskiego. Ukończył również Executive Studies in Finance – 2–letnie studia finansowe prowadzone wspólnie przez Ernst & Young Academy of Business oraz Szkołę Główną Handlową w Warszawie, podyplomowe studia służby zagranicznej w Polskim Instytucie Spraw Międzynarodowych. Był stypendystą w Instytucie Hoovera na Uniwersytecie Stanford oraz Woodrow Wilson Center for Scholars w Waszyngtonie. Od 2001 roku do chwili obecnej jest Dyrektorem ds. Marketingu i Rozwoju Biznesu, Arthur Andersen/Ernst & Young. W latach 1998 – 2000 był Dyrektorem Centrum Informacyjnego Rządu i Zastępcą Rzecznika Prasowego Rządu. W latach 1992-1998 pracował w Ministerstwie Spraw Zagranicznych. W latach 1993-2001 współpracownik mediów krajowych i polonijnych. Odbył szereg kursów i szkoleń, w tym m. in. szkolenia z zakresu stosunków międzyludzkich, współpraca z amerykańską firmą doradczą Chemonics, seria kursów zorganizowanych przez Krajową Szkołę Administracji Publicznej, Staż w Misji Polskiej przy ONZ (Nowy Jork), Wizyty studyjne w USA (Biały Dom i Departament Stanu), Holandii, Szwecji, Niemczech i Tajwanie. Nowi prokurenci nie wykonują innej działalności konkurencyjnej ani też nie są wspólnikami konkurencyjnej spółki cywilnej i osobowej. Nie są też członkami organu konkurencyjnej spółki kapitałowej, jak również nie figurują w rejestrze dłużników niewypłacalnych prowadzonym na podstawie ustawy o KRS. |

| Appointment of registered proxiesCurrent Report No. 132/2005 dated 29 November 2005The Management Board of Polskie Górnictwo Naftowe i Gazownictwo Spółka Akcyjna (“PGNiG", the “Company") hereby announces that at today’s meeting, the Management Board of PGNiG decided to appoint the following persons as the Company’s registered proxies:• Mr. Zenon Kuchciak; and• Mr. Bartłomiej Pawlak. The granted proxy is a joint proxy, which means that in order for the actions effected by the proxies to be valid, both proxies need to act jointly or one proxy needs to act jointly with a member of the Management Board of PGNiG.Mr. Zenon Kuchciak holds an MA in political science from the State International Relations Institute in Moscow. Since 1986, he has been working for the Ministry of Foreign Affairs. In 1995 – 1997, he was Poland’s representative in the OSCE Assistance Group to Chechnya, and in 1997 – 1998, he served as political advisor to the head of OSCE’s mission in Croatia. In 1998, he was a special advisor to the UN High Commissioner for Refugees (the UN mission to the North Caucasus), and in 1998 – 2000, he served as deputy head of Poland’s civil defence. In 2000, he was the Ambassador – Head of the Joint UN/OSCE Election Observation Mission to Tajikistan. In 2000 – 2001, he served as advisor to the Minister for the Interior and Administration. From April 2001 to July 2005, Mr. Kuchciak was the Ambassador of the Republic of Poland to Uzbekistan and Tajikistan. In May 1998, upon the nomination of Jerzy Buzek, Chairman of the Council of Ministers, Mr. Kuchciak was awarded the Knight’s Cross of the Order of Polonia Restituta.Mr. Bartłomiej Pawlak is a graduate of the Department of History of Warsaw University. He has also completed Executive Studies in Finance (a two-year financial study jointly provided by the Ernst & Young Academy of Business and the Warsaw School of Economics), as well as post-graduate foreign service studies at the Polish Institute of International Relations. He was a scholar of the Hoover Institute at Stanford University and the Woodrow Wilson Center for Scholars in Washington, DC.Since 2001, he has been the Marketing and Business Development Director at Arthur Andersen/Ernst & Young. In 1998 – 2000, he was the Director of the Governmental Information Centre and deputy to the Government’s Press Spokesman. In 1992-1998, Mr. Pawlak worked at the Ministry of Foreign Affairs. In 1993 – 2001, he cooperated with Polish media and the media of Polish communities abroad.Mr. Pawlak has completed a number of courses and trainings, including interpersonal relations trainings, cooperated with Chemonics, a US consulting company, completed several courses organized by the National College of Public Administration, completed an internship at the Polish Mission at the UN (in New York), and has made study visits to the USA (to the White House and the US Department of State), the Netherlands, Sweden, Germany and Taiwan.The newly-appointed registered proxies do not conduct any other competitive activity, nor are they partners in any competitive civil law or any other partnership. They are not members of any governing bodies of a competitive company, nor are they disclosed in the register of insolvent debtors kept pursuant to the Act on the National Court Register. | |||
