| Zarząd spółki Ronson Development SE („Emitent”) informuje, że spółka zależna Emitenta: Ronson Development Partner 2 Spółka z ograniczoną odpowiedzialnością – Miasto Moje Spółka komandytowa („Spółka”) zawarła w dniu 24 czerwca 2021 r. z Hochtief Polska S.A. („Wykonawca”) umowę o roboty budowlane („Umowa”). Przedmiotem Umowy jest wykonanie w systemie generalnego wykonawstwa etapu VI inwestycji Miasto Moje położonej w Warszawie przy ul. Marywilskiej, którego przedmiotem są dwa budynki mieszkalne (219 lokali mieszkalnych i 8 lokali usługowych o łącznej powierzchni sprzedażowej ok. 11 700 m2) wraz z garażem podziemnym, infrastrukturą i zagospodarowaniem terenu, przy czym część infrastruktury służyć będzie przyszłym etapom inwestycji Miasto Moje. Wynagrodzenie z tytułu realizacji Umowy wynosi 51 400 000 złotych (plus VAT), z czego 400 000 złotych (plus VAT) stanowi koszt prac dotyczących przyszłych etapów inwestycji Miasto Moje. Rozpoczęcie robót budowlanych objętych Umową nastąpi w dniu 2 sierpnia 2021 r. po uprzednim przekazaniu terenu przez Inwestora. Termin uzyskania ostatecznego pozwolenia na użytkowanie budynku został ustalony w Umowie na dzień 27 lutego 2023 r. Kary umowne są zastrzeżone na rzecz Spółki za opóźnienie w wykonaniu przedmiotu Umowy albo niedotrzymanie przez Wykonawcę kluczowych terminów wskazanych w Umowie. Pozostałe warunki Umowy nie odbiegają od warunków powszechnie stosowanych dla tego typu umów. Podstawa prawna: art. 17 ust. 1 Rozporządzenia Parlamentu Europejskiego i Rady (UE) nr 596/2014 z dnia 16 kwietnia 2014 r. w sprawie nadużyć na rynku (rozporządzenie w sprawie nadużyć na rynku) oraz uchylające dyrektywę 2003/6/WE Parlamentu Europejskiego i Rady i dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE. |

| The Management Board of Ronson Development SE (the “Issuer”) hereby announces that Ronson Development Partner 2 Spółka z ograniczoną odpowiedzialnością – Miasto Moje Spółka komandytowa (the “Company”) concluded on 24 June 2021 with Hochtief S.A. (the “Contractor”) the agreement for construction works (the “Agreement”). The subject matter of the Agreement is the execution of stage VI of Miasto Moje investment, located in Warsaw, at ul. Marywilska, consisting of a two residential buildings (219 residential units and 8 commercial premises with a total sellable area of c.a. 11.700 m2) with an underground garage, infrastructure and land development, where part of infrastructure will be beneficial to future stages of Miasto Moje investment. The fee to be paid for the execution of the Agreement amounts to PLN 51,400,000 (plus VAT), where PLN 400,000 (plus VAT) is a cost of works related to future stages of Miasto Moje investment. Construction works under the Agreement will commence on 2 August 2021, after the Investor has previously handed over the site. The deadline for obtaining the final building occupancy permit has been set in the Agreement as 27 February 2023. The Contractor is required to pay contractual penalties to the Company whenever the Contractor is in delay with completing the subject of the Agreement or fails to comply with any key dates as provided in the Agreement. The other terms of the Agreement are similar to those commonly applied in agreements of this kind. Legal basis: Article 17 section 1 of the Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (the market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC. |
