AmRest Holdings SE („AmRest”, „Spółka”), przekazuje niniejszym informację poufną na temat finalizacji umowy sprzedaży biznesu KFC w Rosji.
W nawiązaniu do informacji poufnej opublikowanej w raporcie bieżącym o numerze RB 2/2023 z dnia 27 lutego 2023 roku, dotyczącej umowy sprzedaży biznesu KFC prowadzonego przez Spółkę w Rosji ("Transakcja") zawartej pomiędzy spółkami zależnymi AmRest: AmRest Sp. z o.o. i AmRest Acquisition Limited a Smart Service Nord Ltd. ("Smart Service"), Spółka informuje, że po spełnieniu warunków zawieszających, którym podlegała umowa, Transakcja została sfinalizowana po jej dzisiejszej rejestracji przez właściwe władze lokalne, zgodnie z przepisami rosyjskiego prawa.
Ostateczna kwota, która została już otrzymana przez AmRest w całości w wyniku Transakcji, wyniosła 100 000 000 euro.
W oparciu o dostępne informacje i dzisiejszy kurs wymiany walut AmRest szacuje, że Transakcja może przynieść skonsolidowany zysk po opodatkowaniu w wysokości około 4 milionów euro.
W rezultacie powyższego, AmRest zakończył działalność operacyjną i obecność korporacyjną w Rosji.

	RB 7/2023 Closing of the transaction to sell KFC business in Russia;AmRest Holdings, SE (“AmRest”, the “Company”) issues the statement of inside information concerning closing of the transaction to sell the KFC business in Russia.;Further to the inside information communication dated 27 February 2023 with registration number RB 2/2023, in relation to the agreement entered into between AmRest's subsidiaries AmRest Sp. z o.o. and AmRest Acquisition Limited and Smart Service Nord Ltd. ("Smart Service"), for the sale of AmRest's KFC business in Russia (the "Transaction"), the Company informs that, after the fulfilment of the conditions precedent to which it was subject, the Transaction has been closed, having being registered today with the relevant local authorities, in accordance with the provisions of the applicable regulations.;The final price of the Transaction, which has already been received by AmRest in full, has been EUR 100,000,000.;Based on the information available and the exchange rate today, AmRest estimates that the Transaction might result in the consolidated profit after tax of approximately EUR 4 million.;As a result, AmRest permanently ceases all its operations and corporate presence in Russia.;Legal act: Art. 17 Sec. 1 of Regulation (EU) No 596/2014 of The European Parliament and of The Council of 16 April 2014 on market abuse (Market Abuse Regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC
