| W nawiązaniu do raportu bieżącego RB 25/2018 z dnia 24 maja 2018 roku AmRest Holdings SE („AmRest”, „Spółka”) informuje o podpisaniu w dniu 26 lipca 2018 roku Umowy Ramowej pomiędzy AmRest Opco SAS („AmRest Opco”), AmRest Leasing SAS i AmRest Estate SAS (razem: „Kupujący”), a KFC France SAS (“KFC France”) i NOVO BL (razem: „Sprzedający”). Przedmiotem Umowy Ramowej jest nabycie przez Kupującego 15 restauracji KFC („Biznes KFC”) prowadzonych przez KFC France na rynku francuskim jako restauracje własne oraz podpisanie przez AmRest Opco oraz KFC France standardowych Umów Franczyzowych dla każdej z przejętych restauracji. Spodziewana cena sprzedaży to ok. 33,3 mln EUR. Ostateczna cena sprzedaży zostanie ustalona na dzień zakończenia transakcji. Szacowane przychody nabywanych restauracji za rok 2017 roku wyniosły około 40 mln EUR. Intencją stron jest zakończenie transakcji (połączone z transferem aktywów biznesu KFC oraz zapłatą ceny zakupu) do końca 2018 roku („Finalizacja”). Finalizacja uzależniona będzie od podpisania dodatkowych umów niezbędnych do prawidłowego funkcjonowania restauracji po Finalizacji, konsultacji z radą pracowniczą i komitetem ds. zdrowia i bezpieczeństwa KFC France oraz nie wystąpienia istotnej, niekorzystnej zmiany warunków („Material Adverse Change”). Dodatkowo Spółka informuje o podpisaniu w dniu 26 lipca 2018 roku Umowy Rozwoju pomiędzy AmRest Opco oraz KFC France ustanawiającej plany rozwoju marki KFC na rynku francuskim. Zgodnie z umową tą intencją AmRest Opco jest otwarcie około 150 restauracji do końca 2023 roku. |

| RB 44/2018 Framework Agreement with KFC France;With reference to the regulatory announcement RB 25/2018 dated May 24th, 2018 AmRest Holdings SE (“AmRest”, the “Company”) informs about signing on July 26th, 2018 of the Framework Agreement between AmRest Opco SAS („AmRest Opco”), AmRest Leasing SAS, AmRest Estate SAS (jointly: „Buyer”) and KFC France SAS (“KFC France”) and NOVO BL (jointly “Seller”). Under the terms of the Framework Agreement (i) Buyer will acquire 15 equity restaurants run by KFC France in the French market, and (ii) AmRest Opco and KFC France will sign the standard KFC International Franchise Agreement for each restaurant.;The purchase price is expected at EUR 33.3 million. Final purchase price will be determined as at the day of the transaction closing.;Estimated revenues of the restaurants in 2017 amounted to EUR 40 million.;It is the intention of the parties of the closing of the transaction, including transfer of ownership of KFC business and payment of the purchase price, shall occur till end of the year 2018 (the “Completion”). The Completion is contingent upon some additional conditions, such as concluding additional agreements ensuring restaurants proper functioning after Completion, consultation with works council and health and safety committee of KFC France and lack of the material adverse change (“MAC”).;Simultaneously, the Company informs about signing on July 26th, 2018 of the Development Agreement setting forth the development plans of the KFC brand in France.
