Zarząd Banku Zachodniego WBK S.A. („Bank”) przekazuje niniejszym do publicznej wiadomości treść planowanych zmian Statutu Banku, jakie zostaną przedstawione na najbliższym Walnym Zgromadzeniu.

Proponowane zmiany w § 10 Statutu Banku:

dotychczasowa treść § 10:

Kapitał zakładowy Banku wynosi 992.345.340 (dziewięćset dziewięćdziesiąt dwa miliony trzysta czterdzieści pięć tysięcy trzysta czterdzieści) złotych i podzielony jest na 99.234.534 (dziewięćdziesiąt dziewięć milionów dwieście trzydzieści cztery tysiące pięćset trzydzieści cztery) akcje na okaziciela o wartości nominalnej 10,00 (dziesięć) zł każda, w tym:
1) 5.120.000 (pięć milionów sto dwadzieścia tysięcy) akcji zwykłych na okaziciela serii A,
2) 724.073 (siedemset dwadzieścia cztery tysiące siedemdziesiąt trzy) akcje zwykłe na okaziciela
serii B,
3) 22.155.927 (dwadzieścia dwa miliony sto pięćdziesiąt pięć tysięcy dziewięćset dwadzieścia siedem) akcji zwykłych na okaziciela serii C,
4) 1.470.589 (jeden milion czterysta siedemdziesiąt tysięcy pięćset osiemdziesiąt dziewięć) akcji zwykłych na okaziciela serii D,
5) 980.393 (dziewięćset osiemdziesiąt tysięcy trzysta dziewięćdziesiąt trzy) akcje zwykłe na okaziciela serii E,
6) 2.500.000 (dwa miliony pięćset tysięcy) akcji zwykłych na okaziciela serii F,
7) 40.009.302 (czterdzieści milionów dziewięć tysięcy trzysta dwie) akcje zwykłe na okaziciela serii G,
8) 115.729 (sto piętnaście tysięcy siedemset dwadzieścia dziewięć) akcji zwykłych na okaziciela serii H,
9) 1.561.618 (jeden milion pięćset sześćdziesiąt jeden tysięcy sześćset osiemnaście) akcji zwykłych na okaziciela serii I,
10) 18.907.458 (osiemnaście milionów dziewięćset siedem tysięcy czterysta pięćdziesiąt osiem) akcji zwykłych na okaziciela serii J,
11) 305.543 (trzysta pięć tysięcy pięćset czterdzieści trzy) akcje zwykłe na okaziciela serii K,
12) 5.383.902 (pięć milionów trzysta osiemdziesiąt trzy tysiące dziewięćset dwie) akcje zwykłe na okaziciela serii L.”

Proponowane brzmienie § 10:

Kapitał zakładowy Banku wynosi do 993 375 340 (dziewięćset dziewięćdziesiąt trzy miliony trzysta siedemdziesiąt pięć tysięcy trzysta czterdzieści) złotych i podzielony jest na do 99 337 534 (dziewięćdziesiąt dziewięć milionów trzysta trzydzieści siedem tysięcy pięćset trzydzieści cztery) akcje na okaziciela o wartości nominalnej 10,-(dziesięć) złotych każda, w tym:
1) 5.120.000 (pięć milionów sto dwadzieścia tysięcy) akcji zwykłych na okaziciela serii A,
2) 724.073 (siedemset dwadzieścia cztery tysiące siedemdziesiąt trzy) akcje zwykłe
na okaziciela serii B,
3) 22.155.927 (dwadzieścia dwa miliony sto pięćdziesiąt pięć tysięcy dziewięćset dwadzieścia siedem) akcji zwykłych na okaziciela serii C,

§38 ust. 1 pkt 2 Rozporządzenia Ministra Finansów z dnia 19 lutego 2009 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim.

The Management Board of Bank Zachodni WBK
S.A. (the Bank) hereby provides the information planned amendments to
the Bank’s Statutes that will be presented at the next General Meeting
for its approval.


Proposed changes to the § 10 of the Bank’s
Statutes


the existing wording of § 10:


Ҥ 10.


The Bank’s share capital is PLN 992,345,340
(nine hundred ninety two million three hundred forty five thousand three
hundred and forty) zlotys and shall be divided into 99,234,534 (ninety
nine million two hundred thirty four thousand five hundred and thirty
four) bearer shares with a nominal value of PLN 10 (ten zlotys) each,
including:


1) 5,120,000 (five million one hundred and
twenty thousand) series A ordinary bearer shares,


2) 724,073 (seven hundred and twenty four
thousand and seventy three) series B ordinary bearer shares,


3) 22,155,927 (twenty two million one
hundred and fifty five thousand nine hundred and twenty seven) series C
ordinary bearer shares,


4) 1,470,589 (one million four hundred and
seventy thousand five hundred and eighty nine) series D ordinary bearer
shares,


5) 980,393 (nine hundred and eighty thousand
three hundred and ninety three) series E ordinary bearer shares,
