| Zarząd XTPL S.A. („Emitent”) w nawiązaniu do raportu bieżącego ESPI nr 17/2020 informuje, że w dniu dzisiejszym (3 lipca 2020 roku) sąd rejestrowy zarejestrował zmiany statutu XTPL S.A. oraz tekst jednolity statutu XTPL S.A. w związku z uchwałami nr 04/06/2020, 05/06/2020 oraz 06/06/2020 Nadzwyczajnego Walnego Zgromadzenia Akcjonariuszy Emitenta z dnia 8 czerwca 2020 roku („NWZA”). Zmiany statutu dotyczą: - kapitału warunkowego (§5a, §5b i §5c) – na podstawie uchwały nr 04/06/2020 NWZA z dnia 8 czerwca 2020 roku; - dostosowania statutu do treści art. 90hh-90l ustawy o ofercie publicznej (§ 18 ust. 3 pkt 6 i 7) - na postawie uchwały nr 05/04/0202 NWZA z dnia 8 czerwca 2020 roku. | Referring to ESPI Current Report No. 17/2020, the Management Board of XTPL S.A. (the “Issuer”) announces that today (3 July 2020), the registry court registered amendments to and the consolidated text of the Articles of Association of XTPL S.A in connection with resolutions No. 04/06/2020, 05/06/2020 and 06/06/2020 of the Issuer's Extraordinary General Meeting of Shareholders of 8 June 2020 (the “EGM”). The amendments to the Articles of Association relate to: – the conditional capital (§5a, §5b and §5c) – pursuant to EGM Resolution No. 04/06/2020 of 8 June 2020; – adaptation of the Articles of Association to the content of Article 90hh-90l of the Act on Public Offering (§ 18(3)(6) and (7)) – pursuant to EGM Resolution No. 05/04/0202 of 8 June 2020.
