The Management Board of Elektrim SA informs that it has sent the following notice of default to to DeTeMobil Deutsche Telekom MobilNet GmbH ("DT"):

Despite of our substantial efforts, continued over the past several months, aimed at avoiding conflicts and working with you, as provided under the Polska Telefonia Cyfrowa Sp. zo.o ("PTC") Shareholders Agreement, you have caused such efforts to fail and, therefore, we are forced to notify you, pursuant to Article 16.2 of the PTC Shareholders' Agreement, that the following conduct of DT constitutes one or more material defaults thereunder:

1. Since the beginning of June 1999, Elektrim S.A. (together with Elektrim Autoinvest) has sought approval of a Resolution of the Supervisory Board of PTC (the "Resolution"). The Resolution sought Supervisory Board approval for the transfer by Elektrim of its entire equity interest in PTC to Eletrim-Telekomunikacja Sp. zo.o. ("Telco"), an entity controlled by Elektrim.

2. Because the terms and conditions of the proposed transfer to Telco fully complied with the provisions of Article 8 of the Shareholders Agreement and Article 7 of the Articles of Association, the members of the Supervisory Board were obligated to vote in favour of the Resolution. Seven of the nine members of the Supervisory Board have fulfilled this obligation and voted in favour of the Resolution. DT's representatives on the Supervisory Board have continuously sought to delay or block adoption of the Resolution. At the most recent meeting of the Supervisory Board, the Resolution approving the transfer of Elektrim's shares in PTC to Telco was adopted by a majority of 7 to 1; only DT's representative voted against the Resolution. DT's failure to cause its representative to vote for the Resolution violates Article 1.2 of the Shareholders Agreement and constitutes a Material Default under Article 16.2(a) of the Shareholders Agreement.

3. Such conduct, as described above also constitutes a material breach by DT of the duty of loyalty arising under Article 354 Civil Code requiring parties to perform their contracts in good faith and in accordance with honest business practices. In particular, this duty encompasses the obligation to refrain from perpetrating unlawful acts to the detriment of the other party. This duty on the parties is a material obligation of the Shareholders Agreement by operation of law (Art. 56 Civil Code) which has been flagrantly violated by DT. The foregoing conduct caused a danger of frustrating Elektrim's restructuring plans. Accordingly, DT's conduct also constitutes a material default under Article 16.2(a) of the Shareholders Agreement. The foregoing conduct directly threatening Elektrim's restructuring plans left Elektrim no choice but to transfer its PTC shares to Telco, a subsidiary of Elektrim, disregarding the illegal exercise of DT's veto right in the Supervisory Board of PTC.

4. DT has further, in violation of Polish rules of corporate governance, sought to destabilise Elektrim by repeated attempts to influence selected members of Elektrim's Supervisory Board to question the actions of Elektrim's Management Board and Supervisory Board while Elektrim was engaged in bona fide negotiations with DT, as well as subsequently, which attempts constituted a material breach of the aforementioned duty of loyalty and (Art. 354 Civil Code). In particular, this duty encompasses the obligation to refrain from mala fide interference in the internal relations of the governing bodies of a contractual partner and fellow shareholder, and its breach also constitutes a material default under Article 16.2(a) of the Shareholders Agreement.

5. DT has also attempted to acquire directly or indirectly PTC shares in circumvention of Polish law by making illegal proposals to officers of certain minority shareholders of PTC. This conduct is also a material default under Article 16.2(a) of the Shareholders Agreement.
You are hereby notified that unless DT cures this default within the next 20 business days by: (i) expressing its written consent to the transfer of Elektrim's entire PTC shareholding to Telco and to Telco's assumption of all of Elektrim's rights and obligations as an Operational Party under the Shareholders' Agreement; and (ii) issuing a written statement, stating that DT shall refrain in the future from such actions as described under points 3-5 above - Elektrim is entitled to invoke the provisions of Article 16 to acquire DT's shares in PTC at the price specified in the Shareholders Agreement (Call Option).
Further, DT's conduct as set out above is also a material default under Article 16.2(e) of the Shareholders Agreement and Elektrim reserves the right to rely on Article 16.2(e) in addition or in the alternative to its right under Article 16.2(a).
Zgodnie z art. 81 ust. 1 pkt 2 ustawy z dnia 21 sierpnia 1997 roku Prawo o publicznym obrocie papierami wartościowymi, Zarząd Elektrim S.A. informuje o skierowaniu następującego pisma do DeTeMobil Deutsche Telekom MobilNet GmbH ("DT"):

Mimo, iż Elektrim S.A. podjął w ostatnich miesiącach, szereg wysiłków zmierzających do zażegnania konfliktów i oparcia współpracy z przedstawicielami DT na warunkach określonych w Umowie Wspólników Polskiej Telefonii Cyfrowej Sp. z o.o. ("PTC") zakończyły się one niepowodzeniem z winy DT. Dlatego jesteśmy zmuszeni zawiadomić Państwa zgodnie z Art. 16.2 Umowy Wspólników PTC o istotnych naruszeniach zobowiązań wynikających z tej Umowy popełnionych przez DT.

1. Od początku czerwca br. Elektrim S.A. (wspólnie z Elektrim Autoinvest S.A.) starał się o uzyskanie zgody Rady Nadzorczej PTC ("Uchwała") na przeniesienie przez Elektrim wszystkich swoich udziałów w PTC na spółkę Elektrim Telekomunikacja Sp. z o.o. ("Telco"), spółkę zależną Elektrimu.

2. Ze względu na fakt, że warunki proponowanego wniesienia udziałów do Telco w pełni odpowiadały zapisom Art. 8 Umowy Wspólników i Art. 7 Umowy Spółki, członkowie Rady Nadzorczej mieli obowiązek głosować za przyjęciem Uchwały. Siedmiu spośród dziewięciu członków Rady Nadzorczej wypełniło ten obowiązek i głosowało za przyjęciem Uchwały. Przedstawiciele DT w Radzie Nadzorczej w uporczywy sposób starali się opóźnić lub zablokować przyjęcie Uchwały. Na ostatnim posiedzeniu Rady Nadzorczej PTC uchwała aprobująca przeniesienie udziałów Elektrimu w PTC do Telco została przyjęta stosunkiem głosów 7:1; jedynie przedstawiciel DT głosował przeciw uchwale. Fakt, że DT nie spowodowało, aby jego przedstawiciel głosował za Uchwałą narusza Art. 1.2. Umowy Wspólników i stanowi istotne naruszenie zobowiązania w rozumieniu Art. 16.2(a) Umowy Wspólników.

3. Postępowanie opisane powyżej stanowi także istotne naruszenie przez DT obowiązku lojalności wynikającego z Art. 354 KC, który obliguje strony do wykonywania umowy w dobrej wierze i zgodnie z dobrymi obyczajami kupieckimi. Obowiązek ten obejmuje w szczególności powstrzymanie się od dokonywania czynów bezprawnych, przynoszących szkodę drugiej stronie. Obowiązek ten, stanowiący istotne zobowiązanie wynikające z Umowy Wspólników na mocy art. 56 KC, został rażąco naruszony przez DT. Powyższe postępowanie DT powodowało niebezpieczeństwo udaremnienia planów Elektrimu dotyczących jego restrukturyzacji. Tak więc, takie postępowanie DT także stanowi istotne naruszenie Umowy Wspólników w świetle Art. 16.2(a).
Takie zachowanie DT, zagrażające bezpośrednio planom restruktryzacji Elektrimu spowodowało, że Elektrim nie miał innego wyboru niż wniesienie swoich udziałów w PTC do Telco, spółki kontrolowanej przez Elektrim, z pominięciem bezprawnego weta DT w Radzie Nadzorczej PTC.

4. DT starał się ponadto destabilizować sytuację Elektrimu, z pogwałceniem obowiązujących w Polsce zasad podziału kompetencji organów spółki akcyjnej, dokonując szeregu działań mających na celu wywarcie wpływu na niektórych członków Rady Nadzorczej poprzez kwestionowanie działań Zarządu i Rady Nadzorczej Elektrimu, i to w czasie gdy Elektrim prowadził w dobrej wierze negocjacje z DT, a także w późniejszym okresie. Działania te stanowiły istotne naruszenie wspomnianego powyżej obowiązku lojalności (art. 354 KC). W szczególności, obowiązek ten polega na powstrzymaniu się od ingerencji w złej wierze w wewnętrzne stosunki między organami kontrahenta i wspólnika. Jego pogwałcenie stanowi również istotne naruszenie Umowy Wspólników w rozumieniu art. 16.2(a) tej umowy.

5. DT starał się także nabyć bezpośrednio lub pośrednio udziały w PTC, z obejściem prawa polskiego, składając sprzeczne z prawem propozycje członkom władz niektórych udziałowców mniejszościowych PTC. Postępowanie takie także stanowi istotne naruszenie Umowy Wspólników w rozumieniu Art. 16.2(a) tej umowy.

Elektrim żąda, aby DT naprawiło powyższe naruszenia Umowy Wspólników w okresie 20 dni roboczych w drodze: (i) wyrażenia zgody na piśmie na przeniesienie wszystkich udziałów Elektrimu na Telco oraz na wstapienie przez Telco we wszystkie prawa i obowiązki Elektrimu jako wspólnika operacyjnego [Operational Party] w rozumieniu Umowy Wspólników oraz (ii) złożenia oświadczenia o zaniechaniu w przyszłości wszelkich działań podobnych do tych, które opisano w punktach 3 - 5.
W przeciwnym razie Elektrim zastrzega sobie prawo dochodzenia uprawnień wynikających z art. 16 Umowy Wspólników przewidującego m.in. prawo wykonania opcji nabycia udziałów należących do DT w PTC po cenie określonej w powołanym artykule Umowy Wspólników ("opcja zakupu").

Ponadto, postępowanie DT opisane powyżej stanowi także istotne naruszenie zobowiązania w rozumieniu Art. 16.2(e) Umowy Wspólników i Elektrim zastrzega sobie prawo powołania się dodatkowo na Art. 16.2(e) lub łacznie na Art. 16.2 (a) i Art. 16.2(e) Umowy Wspólników.
