| Działając na podstawie art. 9 ust. 3 rozporządzenia Komisji (WE) nr 2273/2003 z dnia 22 grudnia 2003 r. wykonującego dyrektywę 2003/6/WE Parlamentu Europejskiego i Rady w odniesieniu do zwolnień dla programów odkupu i stabilizacji instrumentów finansowych, Zarząd ENEA S.A. (dalej "Spółka") informuje, że w dniu 11 marca 2010 r. zakończył się Okres Stabilizacji w związku z ofertą globalną akcji Spółki i postanowieniami Umowy Plasowania zawartej pomiędzy Spółką, Skarbem Państwa Rzeczypospolitej Polskiej, Menedżerem Stabilizującym - Credit Suisse Securities (Europe) Limited, Citigroup Global Markets Limited, Domem Maklerskim Banku Handlowego S.A., UniCredit Bank Austria AG, UniCredit CAIB Poland S.A. i UniCredit CAIB Securities UK Limited z dnia 9 lutego 2010 roku, przedstawionej w dokumencie ofertowym (International Offering Circular) stanowiącym załącznik do raportu bieżącego Spółki nr 13/2010 z dnia 10 lutego 2010 r. Zgodnie z definicją przedstawioną w dokumencie ofertowym, Okres Stabilizacji był okresem podczas którego Menedżer Stabilizujący mógł dokonać transakcji stabilizacyjnych na Giełdzie Papierów Wartościowych w Warszawie. W Okresie Stabilizacji nie zostały przeprowadzone przez Menedżera Stabilizującego żadne transakcje stabilizujące w odniesieniu do akcji Spółki. | ||||||||||||

Subject: Completion of the Stabilisation Period Legal basis: Other regulations Content of report: Acting on the basis of Section 9 paragraph 3 of Commission Regulation (EC) No 2273/2003 of 22 December 2003 implementing Directive 2003/6/EC of the European Parliament and of the Council as regards exemptions for buy-back programmes and stabilisation of financial instruments, the Management Board of ENEA S.A. (hereinafter the “Company”) reports that on 11 March 2010 it completed the Stabilisation Period in connection with the Company’s global offer of shares and provisions of the Placement Agreement concluded between the Company, the State Treasury of the Polish Republic, the Stabilisation Manager - Credit Suisse Securities (Europe) Limited, Citigroup Global Markets Limited, Dom Maklerski Banku Handlowego S.A., UniCredit Bank Austria AG, UniCredit CAIB Poland S.A. and UniCredit CAIB Securities UK Limited dated 9 February 2010, as presented in the International Offering Circular and constituting an appendix to current report no. 13/2010 of the Company of 10 February 2010. Pursuant to the definition as presented in the offering document, the Stabilisation Period was the period during which the Stabilisation Manager was authorised to perform stabilisation transactions on the Warsaw Stock Exchange.
