| Zarząd spółki Archicom S.A. (Emitent) informuje, że w dniu 1 grudnia 2023 podmiot zależny Emitenta, spółka Archicom Łódź sp. z o.o., jako kupujący (Kupujący) oraz Ghelamco NCŁ sp. z o.o. z siedzibą w Warszawie, spółka wchodząca w skład grupy Ghelamco, jako sprzedający (Sprzedający, przy czym Kupujący łącznie ze Sprzedającym będą dalej łącznie zwani Stronami), zawarły umowę warunkową sprzedaży prawa własności nieruchomości położonej w Łodzi będącej własnością Sprzedającego (Umowa Warunkowa). Na podstawie zawartej Umowy Warunkowej, Kupujący, po spełnieniu warunku określonego w Umowie Warunkowej, polegającego na nieskorzystaniu z prawa pierwokupu nieruchomości przysługującego gminie miasta Łódź, nabędzie nieruchomość Sprzedającego w tym: (a) prawo własności działek gruntu o numerach ewidencyjnych 379, 380, 381, 382, 383 obręb ewidencyjny S-2, dla których Sąd Rejonowy dla Łodzi-Śródmieścia w Łodzi, XVI Wydział Ksiąg Wieczystych, prowadzi księgę wieczystą nr LD1M/00315342/4, znajdujących się w Łodzi w rejonie ulicy Wojciecha Hasa, oraz (b) prawo własności wszelkich budowli i struktur położonych na tym gruncie, (c) pozostałe prawa powiązane z nieruchomością, w tym prawa wynikające z pozwoleń na budowę wydanych dla nieruchomości. Postanowienia Umowy Warunkowej nie odbiegają od postanowień stosowanych w tego typu transakcjach. Umowa Warunkowa zawiera standardowe dla tego typu transakcji postanowienia dotyczące zapewnień i oświadczeń sprzedawcy i kupującego oraz dotyczące odpowiedzialności Stron. Wartość transakcji wynosi 90.000.000 PLN, powiększona o VAT. Zawarcie Umowy Warunkowej jest zgodne z polityką inwestycyjną Emitenta i ma na celu rozwój działalności Emitenta na rynku nieruchomości mieszkaniowych w mieście Łódź. |

| Subject: Acquisition of a real estate in Łódź Legal basis: Art. 17.1 MAR - inside information The management board of Archicom S.A. (Issuer) informs that on 1 December 2023, Archicom Łódź sp. z o.o. (an affiliated entity of the Issuer), as the buyer (Buyer) and Ghelamco NCŁ sp. z o.o. with its registered office in Warsaw, a company belonging to the Ghelamco group, as the seller (Seller, whereas the Buyer together with the Seller will hereinafter jointly be referred to as the Parties), entered into a conditional agreement for the sale of the ownership right to a real estate located in Łodź owned by the Seller (Conditional Agreement). On the basis of the concluded Conditional Agreement, the Buyer, subject to non-execution of the pre-emption right to the property by the City of Łódź, will purchase the Seller’s real property, including: (a) the ownership right of the land plots with the cadastral numbers 379, 380, 381, 382, 383 cadastral district S-2, for which the District Court for Łódź-Śródmieście in Łódź, XVI Department of Land and Mortgage Registers, keeps the land and mortgage register no. LD1M/00315342/4, located in Łódź in the area of Wojciecha Hasa street, and (b) the ownership right of any structures located on this land; (c) other rights related to the real estate, including the rights to the building permits issued for the property. The provisions of the Conditional Agreement do not differ from the provisions used in these types of transactions. The Conditional Agreement contains standard provisions for this type of transaction regarding representations and warranties of the seller and the buyer and regarding the Parties’ liability. The value of the transaction amounts to PLN 90,000,000, increased by VAT. The conclusion of the Conditional Agreement is in line with the Issuer's investment policy and aims at developing the Issuer's activity on the residential real estate market in Łódź. |
