| W nawiązaniu do raportów bieżących nr 20/2020 z dnia 18 września 2020 r., nr 21/2020 z dnia 18 września 2020 r., nr 6/2022 z dnia 19 maja 2022 r. oraz nr 7/2022 z dnia 19 maja 2022 r., Zarząd Giełdy Papierów Wartościowych w Warszawie S.A. („GPW”, „Spółka”, „Giełda”) informuje o podpisaniu Memorandum z Central Bank of Armenia („CBoA”) w którym zadeklarowano wolę sfinalizowania transakcji nabycia przez GPW 65,03% akcji w Armenia Securities Exchange („AMX”). Strony Memorandum zadeklarowały, że w czerwcu 2022 r. zawrą następujące umowy związane z transakcją: - Share Purchase Agreement (Umowa nabycia akcji) pomiędzy GPW jako kupującym, a CBoA jako sprzedającym akcje AMX. - Shareholders’ Agreement (Umowa wspólników) pomiędzy GPW, CBoA oraz AMX. Spółka będzie informować o kolejnych krokach związanych z przebiegiem procesu w odrębnych raportach bieżących. |

| Current Report No. 9/2022Date: 24 May 2022Topic: Execution of a Memorandum with the Central Bank of Armenia declaring the intention to close GPW’s acquisition of 65.03% of shares in the Armenia Securities ExchangeLegal basis: Article 17(1) MAR – inside informationContent:Further to Current Reports No. 20/2020 of 18 September 2020, No. 21/2020 of 18 September 2020, No. 6/2022 of 19 May 2022 and No. 7/2022 of 19 May 2022, the Management Board of the Warsaw Stock Exchange (“GPW”, “Company”, “Exchange”) announces the execution of a Memorandum with the Central Bank of Armenia (“CBoA”) declaring the intention to close GPW’s acquisition of 65.03% of shares in the Armenia Securities Exchange (“AMX”).The parties to the Memorandum have declared that they will enter into the following agreements in relation to the transaction in June 2022:- Share Purchase Agreement between GPW as buyer and CBoA as seller of AMX shares; and- Shareholders’ Agreement between GPW, CBoA and AMX.The Company will announce the next steps in the process in separate current reports.Legal basis:Article 17(1) of the Regulation (EU) No. 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/82/EC (OJ L 173) (“MAR”). |
