Kierownictwo Wyższego Szczebla KULCZYK OIL VENTURES INC. (Spółka) informuje, iż w dniu 28 maja 2010 r. wpłynęły do Spółki dwa zawiadomienia na podstawie art. 69 ust.1 pkt. 1 Ustawy o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (Ustawa), o przekroczeniu 5% ogólnej liczby głosów w Spółce w związku ze zrealizowaniem transakcji rozliczonej w dniu 24 maja 2010 r., która miała miejsce w ofercie publicznej:

1) zawiadomienie od OZ Management LP przekazane w związku z art. 87 ust. 1 pkt 1 lit c) Ustawy, o posiadaniu przez ten podmiot na podstawie umów o zarządzanie inwestycjami, zawartych z niektórymi funduszami inwestycyjnymi i kontami zarządzanymi przez OZ Management LP, prawa wykonywania 32.800.000 głosów tj. 8,37% ogólnej liczby głosów w KULCZYK OIL VENTURES INC., z 32.800.000 akcji nabytych na rzecz klientów zawiadamiającego, które stanowią 8,37% kapitału zakładowego Spółki,

2) zawiadomienie od OZ Master Fund, Ltd., c/o Goldman Sachs (Cayman) Trust Limited o posiadaniu przez ten podmiot prawa wykonywania 21.716.664 głosów tj. 5,54% ogólnej liczby głosów w KULCZYK OIL VENTURES INC., z 21.716.664 akcji, które stanowią 5,54% kapitału zakładowego Spółki.

Podmioty składające zawiadomienia przed zmianą stanu posiadania nie posiadały akcji Spółki. Pełna treść zawiadomień została przestawiona w załączniku do niniejszego raportu.

Notification regarding shareholders exceeding 5 per cent of the total
number of votes in the company


The Management of KULCZYK OIL VENTURES INC. (the “Company”) announces
that, on 28 May 2010, the Company received two notifications pursuant to
Article 69 par. 1 pt. 1 of the Act on Public Offerings and the
Conditions for Introducing Financial Instruments to the Organised
Trading System and on Public Companies (the “Act”) regarding
shareholders exceeding 5 per cent of the total number of votes in the
Company, in connection with the conclusion of a transaction settled on
24 May 2010, which took place as part of a public offering:


1) notification by OZ Management LP provided in connection with Article
87 par. 1 pt. 1c of the Act, regarding that entity holding, on the basis
of investment management agreements concluded with certain investment
funds and accounts managed by OZ Management LP, the right to exercise
32,800,000 votes, i.e., 8.37 per cent of the total number of votes in
KULCZYK OIL VENTURES INC., attached to 32,800,000 shares purchased on
behalf of the notifying party’s clients constituting 8.37 per cent of
the Company’s share capital.


2) notification by OZ Master Fund, Ltd., c/o Goldman Sachs (Cayman)
Trust Limited, regarding that entity holding the right to exercise
21,716,664 voting rights, i.e., 5.54 per cent of the total number of
votes in KULCZYK OIL VENTURES INC. attached to 21,716,664 shares
constituting 5.54 per cent of the Company’s share capital.


Before the change in the shareholding status, the entities submitting
the notifications did not hold shares in the Company. The full content
of the notifications are provided as schedules to this report.
