Zarząd AFORTI Holding S.A. w restrukturyzacji z siedzibą w Warszawie (dalej: „Spółka” lub „Emitent”), działając na podstawie art. 17 ust. 1 w zw. z art. 17 ust. 4 Rozporządzenia Parlamentu Europejskiego i Rady UE Nr 596/2014 z dnia 16 kwietnia 2014 r. w sprawie nadużyć na rynku rozporządzenie w sprawie nadużyć na rynku oraz uchylającego dyrektywę 2003/6/WE Parlamentu Europejskiego i Rady i dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE "Rozporządzenie MAR", niniejszym przekazuje do publicznej wiadomości treść opóźnionej informacji poufnej, której przekazanie zostało opóźnione w dniu 16 września 2024 r. oraz w dniu 25 września 2024 roku.

Treść informacji poufnej, której publikacja została opóźniona:

Zarząd AFORTI Holding S.A. w restrukturyzacji z siedzibą w Warszawie (dalej: „Spółka”) informuje, iż w dniu 16 września 2024 roku powziął wiedzę o zawarciu przez spółkę zależną Aforti Factor Group S.A. (dalej: „spółka zależna”) z Panem Pawłem Lewandowskim, posiadającym licencję doradcy restrukturyzacyjnego nr 735 i tytuł kwalifikowanego doradcy restrukturyzacyjnego, umowy z dnia 16 września 2024 roku o sprawowanie nadzoru nad przebiegiem postępowania o zatwierdzenie układu spółki zależnej w trybie ustawy z dnia 15 maja 2015 roku Prawo Restrukturyzacyjne. Umowę zawarto w celu przeprowadzenia w spółce zależnej postępowania restrukturyzacyjnego w formule postępowania o zatwierdzenie układu. Ponadto, Zarząd Spółki w dniu 25 września 2024 roku powziął wiedzę o ustanowieniu dla spółki zależnej tymczasowego nadzorcy sądowego, Pana Jana Hambury, numer licencji 1325. W dniu 25 września 2024 roku do spółki zależnej wpłynęło pismo tymczasowego nadzorcy sądowego.

Powody opóźnienia publikacji informacji poufnej:

W ocenie Zarządu opóźnienie przekazania powyższej informacji spełniało w momencie podjęcia decyzji o opóźnieniu warunki określone w Rozporządzeniu MAR.

Zarząd wskazuje, iż zawarcie umowy o sprawowanie nadzoru nad przebiegiem postępowania o zatwierdzenie układu spółki zależnej w trybie ustawy z dnia 15 maja 2015 roku Prawo Restrukturyzacyjne nie było równoznaczne z otwarciem postępowania restrukturyzacyjnego. Albowiem trwały analizy finansowe oraz prawne i realna pozostawała możliwość, w której spółka zależna zrezygnuje z prowadzenia restrukturyzacji. Dlatego przedwczesne ujawnienie opóźnionej informacji poufnej na etapie jej utajnienia wprowadzałoby w błąd i działałoby na szkodę Spółki. Emitent i spółka zależna podjęli decyzję o ogłoszeniu dnia układowego ze względu na wszczęty proces restrukturyzacyjny Emitenta oraz ze względu na wprowadzenie w grupie strategii dwufilarowej polegającej na skupieniu działalności na dwóch liniach operacyjnych. W pozostałym zakresie plan restrukturyzacyjny Emitenta zakłada zmniejszenie do minimum działalności operacyjnej pionu finansowania przedsiębiorstw i ograniczenie jej do windykacji należności własnych. W ramach tej strategii konieczna jest restrukturyzacja spółki zależnej. W zakresie ustanowienia tymczasowego nadzorcy sądowego dla spółki zależnej, Emitent wskazuje, że powstrzymał się od publikacji tej informacji ze względu na trwające analizy prawne w przedmiocie ustalenia wpływu ustanowionego nadzoru na wszczęty i planowany proces restrukturyzacji spółki zależnej.

Ujawnienie niniejszej informacji poufnej spowodowane jest brakiem możliwości dalszego zapewnienia jej poufności z uwagi na obwieszczenie o dniu układowym spółki zależnej.

of delayed confidential information


The
Management Board of AFORTI Holding S.A. w restrukturyzacji (in
restructuring) with its registered office in Warsaw (hereinafter
referred to as the "Company" or "Issuer"), acting under Article 17
paragraph 1 in conjunction with Article 17 paragraph 4 of Regulation
(EU) No 596/2014 of the European Parliament and of the Council of 16
April 2014 on market abuse and repealing Directive 2003/6/EC of the
European Parliament and of the Council and Commission Directives
2003/124/EC, 2003/125/EC and 2004/72/EC ("MAR Regulation"), hereby makes
public the content of the delayed inside information, the provision of
which was delayed on 16 September 2024 and on 25 September 2024.

of confidential information whose publication has been delayed:


The
Management Board of AFORTI Holding S.A. in restructuring with its
registered office in Warsaw (hereinafter referred to as the "Company")
hereby informs that on September 16, 2024, it became aware of the
conclusion by the subsidiary Aforti Factor Group S.A. (hereinafter
referred to as the "subsidiary") with Mr. Paweł Lewandowski, who holds a
restructuring advisor license no. 735 and the title of qualified
restructuring advisor, of an agreement dated September 16, 2024 to
supervise the course of the proceedings for approval of the subsidiary's
arrangement pursuant to the Act of May 15, 2015 - Restructuring Law. The
agreement was concluded for the purpose of conducting restructuring
proceedings in the subsidiary in the form of proceedings for approval of
the arrangement. In addition, on September 25, 2024, the Management
Board of the Company became aware of the appointment of a temporary
court supervisor for the subsidiary, Mr. Jan Hambura, license number
1325. On September 25, 2024, the subsidiary received a letter from the
temporary court supervisor.


Reasons
for delaying the publication of confidential information:


In
the Management Board's opinion, the delay in providing the above
information met the conditions specified in the MAR Regulation at the
time the decision on the delay was made.


The
Management Board indicates that the conclusion of an agreement on
supervision over the course of the proceedings for approval of the
arrangement of the subsidiary pursuant to the Act of 15 May 2015 -
Restructuring Law was not tantamount to opening the restructuring
proceedings. Financial and legal analyses were ongoing and the
possibility remained real that the subsidiary would resign from
conducting the restructuring. Therefore, premature disclosure of delayed
confidential information at the stage of its classification would be
misleading and would be detrimental to the Company. The Issuer and the
subsidiary decided to announce the arrangement date due to the initiated
restructuring process of the Issuer and due to the introduction of a
two-pillar strategy in the group, consisting in focusing the activity on
two operating lines. In the remaining scope, the Issuer's restructuring
plan assumes reducing to a minimum the operating activity of the
corporate finance division and limiting it to the collection of own
receivables. As part of this strategy, it is necessary to restructure
the subsidiary. As regards the appointment of a temporary court
supervisor for the subsidiary, the Issuer indicates that it has
refrained from publishing this information due to ongoing legal analyses
to determine the impact of the established supervision on the initiated
and planned restructuring process of the subsidiary.


Disclosure
of this confidential information is due to the impossibility of further
ensuring its confidentiality due to the announcement of the arrangement
date of the subsidiary.
