| Działając na podstawie art. 17 ust. 1 Rozporządzenia (UE) nr 596/2014 Parlamentu Europejskiego i Rady z dnia 16 kwietnia 2014 r. w sprawie nadużyć na rynku (rozporządzenie w sprawie nadużyć na rynku) oraz uchylającym dyrektywę 2003/6/WE Parlamentu i Rady i dyrektywę Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE („Rozporządzenie MAR”), w nawiązaniu do: (i) raportu bieżącego nr 14/2021 z dnia 4 listopada 2021 r. w przedmiocie zawarcia umowy nabycia Mall Group a.s. i WE|DO CZ s.r.o. ("Umowa SPA"), (ii) raportu bieżącego nr 19/2021 z dnia 2 grudnia 2021 r. w przedmiocie spełnienia się pierwszego warunku zawieszającego zastrzeżonego w Umowie SPA, (iii) raportu bieżącego nr 21/2021 z dnia 13 grudnia 2021 r. w przedmiocie spełnienia się kolejnego warunku zawieszającego zastrzeżonego w Umowie SPA, (iv) raportu bieżącego nr 22/2021 z dnia 17 grudnia 2021 r. w przedmiocie spełnienia się kolejnego warunku zawieszającego zastrzeżonego w Umowie SPA, (v) raportu bieżącego nr 23/2021 z dnia 31 grudnia 2021 r. w przedmiocie wydzielenia Vivantis a.s. z grupy kapitałowej Mall Group a.s. oraz (vi) raportu bieżącego nr 1/2022 z dnia 13 stycznia 2022 r. w przedmiocie spełnienia się kolejnego warunku zawieszającego zastrzeżonego w Umowie SPA, Rada Dyrektorów Allegro.eu („Spółka”, „Allegro.eu”) niniejszym informuje, że w dniu 24 stycznia 2022 powzięła informację o wydaniu przez Publiczną Agencję Republiki Słowenii ds. Ochrony Konkurencji, jako organ antymonopolowy w Słowenii, zgody na przeprowadzenie Transakcji. Tym samym ziścił się kolejny warunek zawieszający, od którego uzależnione jest zamknięcie Transakcji. Spółka przekazała informację o ziszczeniu się warunku dotyczącego (i) zgody dotyczącej kontroli bezpośrednich inwestycji zagranicznych (ang. FDI) na Słowenii raportem bieżącym nr 19/2021, (ii) zgody Urzędu Ochrony Konkurencji w Czechach na przeprowadzenie Transakcji raportem bieżącym nr 21/2021, (iii) zgody Urzędu Antymonopolowego na Słowacji na przeprowadzenie Transakcji raportem bieżącym nr 22/2021 oraz (iv) zgody Komitetu Antymonopolowego Ukrainy na przeprowadzenie Transakcji raportem bieżącym nr 1/2022. W efekcie, na dzień publikacji niniejszego raportu bieżącego, spełnione zostało pięć warunków zawieszających zastrzeżonych w Umowie SPA. Jednocześnie nieziszczony pozostaje jeden warunek zawieszający dotyczący zgody antymonopolowej w Polsce. Informacje dotyczące tego postępowania zostały przedstawione przez Spółkę w raporcie bieżącym nr 4/2022 z dnia 24 stycznia 2022 r. Pojęcia pisane wielką literą i niezdefiniowane w niniejszym raporcie bieżącym mają znaczenie nadane im w raporcie bieżącym nr 14/2021 z dnia 4 listopada 2021 r. | Date: 24 January 2022 Current report No. 5/2022 Title: Inside information – fulfilment of another condition precedent stipulated in the agreement on the acquisition of Mall Group a.s. and WE|DO CZ s.r.o. Legal basis: Art. 17 sec. 1 MAR – inside information Acting on the basis of Art. 17 sec. 1 of Regulation (EU) No. 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC ("MAR"), with reference to: (i) current report No. 14/2021 of 4 November 2021 on the execution of agreement to acquire Mall Group a.s. and WE|DO CZ s.r.o. (the "SPA"), (ii) current report No. 19/2021 of 2 December 2021 on the fulfilment of the first condition precedent stipulated in the SPA, (iii) current report No. 21/2021 of 13 December 2021 on the fulfilment of another condition precedent stipulated in the SPA, (iv) current report No. 22/2021 of 17 December 2021 on the fulfilment of another condition precedent stipulated in the SPA, (v) current report No. 23/2021 of 31 December 2021 on the carve-out of Vivantis a.s. from the Mall Group a.s. capital group, and (vi) current report no. 1/2022 of 13 January 2022 on the fulfilment of a another condition precedent stipulated in the SPA, the Board of Directors of Allegro.eu (the "Company", "Allegro.eu") hereby gives notice that on 24 January 2022 it learned that the State Competition Protection Agency of the Republic of Slovenia, as the antimonopoly authority in Slovenia, has granted it consent to the execution of the Transaction. Therefore, another of the conditions precedent on which completion of the Transaction is contingent has been fulfilled. The Company provided information on the fulfilment of condition precedent relating to (i) the FDI clearance in Slovenia in current report No. 19/2021, (ii) consent of the Office for the Protection of Competition in the Czech Republic to complete the Transaction in current report No. 21/2021, (iii) consent of the Antimonopoly Office in the Slovak Republic to complete the Transaction in current report No. 22/2021, and (iv) consent of the Antimonopoly Committee of Ukraine to complete the Transaction in current report No. 1/2022. As a result, as at the publication date of this current report, five conditions precedent stipulated in the SPA have been fulfilled. At the same time, one other condition precedent stipulated in the SPA with regard to antimonopoly clearance in Poland is yet to be fulfilled. The Company provided information on these proceedings in current report No. 4/2022 of 24 January 2022. Capitalized terms used but not defined in this current report have the meanings ascribed to them in current report No. 14/2021 of 4 November 2021.
