| Zarząd Benefit Systems S.A. z siedzibą w Warszawie („Spółka”, „Emitent”) informuje o podpisaniu przez Emitenta w dniu 24 stycznia 2020 r. z BNP Paribas Bank Polska S.A. z siedzibą w Warszawie („Bank”) umowy o kredyt nieodnawialny w wysokości 70 mln zł („Umowa o kredyt nieodnawialny” lub „Umowa 1”) oraz umowy wielocelowej linii kredytowej w wysokości 30 mln zł („Umowa wielocelowej linii kredytowej” lub „Umowa 2”). Na podstawie Umowy o kredyt nieodnawialny termin jego dostępności wynosi 12 miesięcy od daty podpisania Umowy 1 i może być wykorzystany na cele inwestycyjne realizowane zgodnie ze strategią Grupy Benefit Systems. Okres kredytowania wynosi 48 miesięcy od daty podpisania Umowy 1. Na podstawie Umowy 2 limit kredytowy może zostać wykorzystany w celu finansowania działalności bieżącej w okresie 12 miesięcy od daty podpisania Umowy wielocelowej linii kredytowej. W związku z umowami Spółka jest zobowiązana do złożenia oświadczenia o poddaniu się egzekucji w trybie art. 777 §1 pkt 5) Kodeksu postępowania cywilnego o treści uzgodnionej z Bankiem. Pozostałe warunki umowy nie odbiegają od warunków powszechnie stosowanych dla tego typu umów. Szczegółowe zasady udzielania przez Bank kredytów określają regulaminy udostępnione na stronie internetowej Banku. Dodatkowo Zarząd Spółki informuje, że przedmiotowe umowy zostały zawarte w celu dywersyfikacji źródeł finansowania. |

| Conclusion of a credit agreement and a multi-purpose credit line agreement with BNP Paribas Bank Polska The Management Board of Benefit Systems S.A., with its registered office in Warsaw (hereinafter, the ‘Company’, the ‘Issuer’), informs about signing by the Issuer on 24 January 2020 with BNP Paribas Bank Polska S.A. with its registered seat in Warsaw (‘Bank’) a non-renewable credit agreement of PLN 70 million ("Non-renewable credit agreement" or "Agreement 1") and a multi-purpose credit line agreement of PLN 30 million ("Multi-purpose credit line agreement" or "Agreement 2"). Under the Non-renewable credit agreement, its availability is 12 months from the date of signing Agreement 1 and can be used for investment purposes in accordance with the strategy of Benefit Systems Group. The credit period is 48 months from the date of signing the Agreement 1. Under Agreement 2, the credit limit can be used to finance current operations over a period of 12 months from the date of signing the Multi-purpose credit line agreement. In connection with the said agreements, the Company is obliged to provide a statement on submission to court enforcement procedure conducted pursuant to Article 777 §1 Item 5) of the Code of Civil Procedure, with the content as agreed with the Bank. Other terms and conditions of the agreement do not differ from those commonly used for this type of agreements. Detailed rules for granting loans by the Bank are set out in the regulations available on the Bank's website. In addition, the Company's Management Board informs that the said agreements were concluded in order to diversify the sources of financing. |
