Zarząd spółki MBF Group SA z siedzibą w Warszawie („Emitent”, „Spółka”) informuje, że w dniu 12 stycznia 2025 roku podpisał umowę na sprzedaż i dostawę mocznika technicznego niepowlekanego N46 klasy B („Towar”) ze kapitałową spółką z siedzibą w Pradze, Czechy („Kontrahent”).

Przedmiotem umowy są regularne dostawy Towaru w opakowaniach typu big-bag. Umowa obejmuje dostawy o łącznej ilości 240 (dwieście czterdzieści) ton, z czego pierwsza dostawa testowa będzie wynosiła 24 (dwadzieścia cztery) tony.

Zgodnie z warunkami umowy, dostawa testowa zostanie zrealizowana w ciągu trzech dni roboczych od momentu zaksięgowania płatności, a miejsce dostawy znajduje się na terenie Niemiec. Realizacja dostaw będzie przebiegać zgodnie z ustalonym harmonogramem, który strony uzgodnią po zakończeniu dostawy testowej. Emitent zobowiązuje się do dostarczania produktu spełniającego normy Unii Europejskiej, wolnego od jakichkolwiek ograniczeń, w tym sankcji międzynarodowych, co gwarantuje bezpieczeństwo i zgodność produktu z obowiązującymi przepisami.

Zawarcie kolejnej umowy na dostawy Towaru stanowi istotny krok w realizacji strategii rozwoju Spółki oraz dalsze umacnianie jej pozycji jako wiarygodnego dostawcy produktów chemicznych na rynkach międzynarodowych. Realizacja powyższych dostaw możliwa jest dzięki podpisanej umowie ramowej o współpracy, poufności i zakazie ujawniania informacji, o której mowa w Raporcie Bieżącym ESPI 2/2024 z dnia 7 stycznia 2025 roku. Spółka deklaruje, że dołoży wszelkich starań, aby dostarczony produkt spełniał najwyższe standardy jakości.

O dalszych postępach w realizacji umowy oraz ewentualnym rozwoju współpracy Emitent poinformuje w kolejnych raportach bieżących. Emitent zdecydował o publikacji informacji o powyższym zdarzeniu z uwagi na fakt, iż może mieć ona wpływ na przyszłą sytuację finansową, majątkową oraz gospodarczą Spółki.

	MESSAGE (ENGLISH VERSION)
	The Management Board of MBF Group SA with its seat in Warsaw (the “Issuer”, the “Company”) informs that on January 12, 2025 it signed an agreement for the sale and delivery of uncoated technical urea N46 class B (the “Goods”) with a capital company based in Prague, Czech Republic (the “Contracting Party”). The subject of the Agreement is regular deliveries of the Goods in big-bag packages. The contract covers deliveries of a total of 240 (two hundred and forty) tons, of which the first test delivery will be 24 (twenty-four) tons. Under the terms of the contract, the test delivery will be made within three business days after payment is credited, and the delivery location is in Germany. Deliveries will be made in accordance with the agreed schedule, which the parties will agree upon after the test delivery is completed. The Issuer is committed to supplying a product that meets the standards of the European Union and is free of any restrictions, including international sanctions, which guarantees the safety and compliance of the product with applicable regulations. The conclusion of another contract for the supply of Goods is an important step in the implementation of the Company's development strategy and further strengthening its position as a reliable supplier of chemical products in international markets. The realization of the above deliveries is possible thanks to the signed framework agreement on cooperation, confidentiality and non-disclosure of information, as mentioned in ESPI Current Report 2/2024 dated January 7, 2025. The Company declares that it will make every effort to ensure that the delivered product meets the highest quality standards. The Issuer will inform about further progress in the implementation of the agreement and possible development of cooperation in subsequent current reports. The Issuer decided to publish information on the above event due to the fact that it may have an impact on the Company's future financial, property and economic situation.
