Zarząd z siedzibą w Warszawie („Emitent”, „Spółka”) informuje, że w dniu 4 grudnia 2025 r. Emitent zawarł z polskim producentem lekkich konstrukcji kompozytowych i przedsiębiorstwem przemysłowym („Partner”) umowę ramową o nieomijaniu dotyczącą współpracy w zakresie projektowania, produkcji oraz dostaw lekkich struktur kadłubowych i płatowcowych przeznaczonych do dronów-wabików, dronów-kamikadze oraz bezzałogowych statków powietrznych (BSP). Ze względów strategicznych i ochrony know-how dane identyfikacyjne Partnera nie są ujawniane w niniejszym raporcie.

Partner prowadzi działalność produkcyjną od ponad 25 lat i jest to firma o ugruntowanej pozycji w sektorze materiałów budowlanych i prefabrykacji - specjalizująca się w wielkoskalowych elementach konstrukcyjnych z pianopolimerów i materiałów lekkich, kształtek styropianowych i betonowych systemów modułowych. Firma posiada nowoczesny zakład produkcyjny, rozbudowaną infrastrukturę magazynowo-produkcyjną i doświadczenie w realizacji projektów przemysłowych. W kontekście współpracy z MBF Group, jej kompetencje produkcyjne i logistyka dają gwarancję skalowalności i terminowości dostaw dla projektów BSP/C-UAS.

Zgodnie z deklaracją Partnera - posiadane przez niego moce produkcyjne oraz innowacyjny know-how, przewidują możliwość uruchomienia seryjnej produkcji niskobudżetowych elementów konstrukcyjnych umożliwiających wytwarzanie do 50 000 jednostek dronów rocznie. Powyższe możliwe jest przy zachowaniu elastyczności zamówień w zależności od zapotrzebowania oraz specyfikacji technicznej określonej przez Emitenta. Zgodnie z ustaleniami produkcja obejmuje kadłub, struktury główne i pomocnicze, ze strukturą dostosowaną do lekkich BSP, dronów-wabików, dronów-kamikadze i platform testowych konsorcjum. Zgodnie z szacunkami koszt jednego drona (wabik lub kamikadze) wyniesie ok. 1.200 zł (jeden tysiąc dwieście złotych), co odpowiada kwocie ok 300 EUR (trzysta euro). Podana wartość obejmuje kompletą konstrukcję gotową do zainstalowania przez nabywcę jednostki napędowej oraz pozostałych elementów (w zależności od końcowego przeznaczenia BSP - zgodnie z potrzebami i docelowym zasięgiem).

Według analiz rynkowych i dostępnych szacunków kosztowych systemów stosowanych w konflikcie ukraińsko-rosyjskim, ceny porównywalnych wabików BSP mieszczą się w zakresie od około 1.500 do 10.000 USD za sztukę, przy czym jednostkowy koszt zależy od zastosowanych materiałów, napędu i parametrów utrudniających wykrycie. W ocenie Emitenta, oferowane przez Konsorcjum ultralekkie platformy o szacunkowym koszcie konstrukcji około 1.200 zł za sztukę mogą stanowić bardzo konkurencyjne rozwiązanie ekonomiczne — szczególnie w operacjach, w których potrzebne są dziesiątki lub setki celów pozornych wystawianych jednocześnie w celu przeciążenia obrony przeciwnika. Zgodnie z niezależnymi analizami (Fact.MR, Mordor Intelligence) globalny rynek dronów-kamikadze i taktycznych UAV wart jest obecnie kilka miliardów USD rocznie - co podkreśla skalę popytu oraz potencjał rynku dla tanich, masowo produkowanych platform.

Dodatkowo Zarząd Emitenta zawiadamia, że zakładana współpraca może obejmować: rozwój i produkcję lekkich bezzałogowych platform pozornych zdolnych do przenoszenia masy do 5 kg, integrację platform z systemami napędowymi i modułami sterowania oraz przygotowanie wariantów zoptymalizowanych do przeciążania systemów wykrywania i naprowadzania przeciwnika. Emitent wskazuje, że podane parametry techniczne i kosztowe dotyczące struktur dronów mają charakter szacunkowy i mogą zostać doprecyzowane w ramach planowanych załączników operacyjnych do umowy oraz po zakończeniu testów konstrukcyjnych. Własność intelektualna oraz zasady wykorzystania wyników prac rozwojowych będą każdorazowo przedmiotem odrębnych porozumień zgodnie z postanowieniami umowy ramowej zawartej z Partnerem.

W ramach porozumienia Strony przewidują wspólne działania ofertowe skierowane do instytucji obronnych i ochrony infrastruktury krytycznej w Polsce, na Ukrainie i – zależnie od możliwości eksportowych – do krajów NATO i państw partnerskich. Wskazana została możliwość przedstawienia kompletnej oferty systemu: od konstrukcji kadłubowej, przez integrację platformy, aż po dostawę gotowego BSP, drona-wabika lub drona-kamikadze.

Umowa stanowi element konsolidacji łańcucha dostaw dla projektów wchodzących w skład Konsorcjum oraz potencjalne rozszerzenie oferty o lekkie, bardzo tanie i ekonomiczne rozwiązania ds. przeciwdziałania BSP czy atak dużą liczbą bezzałogowych statków powietrznych w krótkim czasie z wielu kierunków. Dzięki współpracy z wiarygodnym, doświadczonym producentem lekkich struktur, Emitent realnie zwiększa swoje możliwości produkcyjne i skraca drogę od fazy koncepcyjnej do wdrożeniowej.

Zarząd Spółki uważa Umowę za kluczowy kamień milowy w rozwoju kompetencji produkcyjnych i logistycznych własnych, co znacząco podnosi wiarygodność oferty zarówno na rynku krajowym, jak i eksportowym. W świetle obecnej sytuacji rynkowej i rosnącego popytu na tanie i lekkie BSP oraz systemy przeciw-BSP, zawarta umowa może stanowić fundament przyszłych kontraktów o dużej skali.

Emitent uznaje przekazywaną informację za poufną w rozumieniu art. 17 ust. 1 MAR. O wszystkich istotnych zmianach związanych z realizacją współpracy, podpisaniu zamówień, komercjalizacji systemu dronów-wabików lub zawarciu znaczących umów wykonawczych - Emitent zobowiązuje się informować w raportach bieżących ESPI.

MESSAGE (ENGLISH VERSION)

The Management Board with its registered office in Warsaw (the ‘Issuer’, “Company”) hereby announces that on 4 December 2025, the Issuer entered into a non-circumvention framework agreement with a Polish manufacturer of lightweight composite structures and an industrial enterprise (the ‘Partner’) a non-circumvention framework agreement for cooperation in the design, manufacture and supply of lightweight hull and airframe structures for decoy drones, kamikaze drones and unmanned aerial vehicles (UAVs). For strategic reasons and to protect know-how, the Partner's identification details are not disclosed in this report.

The Partner has been manufacturing for over 25 years and is a well-established company in the building materials and prefabrication sector, specialising in large-scale structural elements made of foam polymers and lightweight materials, polystyrene fittings and modular concrete systems. The company has a modern production plant, extensive storage and production infrastructure, and experience in industrial projects. In the context of its cooperation with the MBF Group, its production and logistics capabilities guarantee scalability and timely deliveries for BSP/C-UAS projects.

According to the Partner's declaration, its production capacity and innovative know-how provide for the possibility of launching serial production of low-budget structural elements enabling the manufacture of up to 50,000 drone units per year. The above is possible while maintaining order flexibility depending on demand and technical specifications defined by the Issuer. As agreed, production includes the fuselage, main and auxiliary structures, with a structure adapted to light UAVs, decoy drones, kamikaze drones and the consortium's test platforms. According to estimates, the cost of one drone (decoy or kamikaze) will be approximately PLN 1,200 (one thousand two hundred zlotys), which corresponds to approximately EUR 300 (three hundred euros). This value includes a complete structure ready for installation by the purchaser of the drive unit and other components (depending on the final purpose of the UAV – according to needs and target range).

According to market analyses and available cost estimates of systems used in the Ukrainian-Russian conflict, the prices of comparable UAV decoys range from approximately USD 1,500 to USD 10,000 per unit, with the unit cost depending on the materials used, the drive and the parameters that make detection difficult. In the Issuer's opinion, the ultra-light platforms offered by the Consortium, with an estimated construction cost of approximately PLN 1,500 per unit, may be a very competitive economic solution, especially in operations where dozens or hundreds of decoys need to be deployed simultaneously to overload the enemy's defences. According to independent analyses (Fact.MR, Mordor Intelligence), the global market for kamikaze drones and tactical UAVs is currently worth several billion US dollars annually, which highlights the scale of demand and market potential for low-cost, mass-produced platforms.

In addition, the Issuer's Management Board announces that the planned cooperation may include: the development and production of lightweight unmanned decoy platforms capable of carrying up to 5 kg, the integration of platforms with propulsion systems and control modules, and the preparation of variants optimised to overload enemy detection and guidance systems. The Issuer indicates that the technical and cost parameters provided for the drone structures are estimates and may be specified in more detail in the planned operational annexes to the agreement and after the completion of design tests. Intellectual property and the rules for the use of development results will be the subject of separate agreements in accordance with the provisions of the framework agreement concluded with the Partner.

Under the agreement, the Parties envisage joint tendering activities addressed to defence and critical infrastructure protection institutions in Poland, Ukraine and, depending on export opportunities, NATO countries and partner countries. The possibility of presenting a complete system offer has been indicated: from the hull construction, through platform integration, to the delivery of a ready-made UAV, decoy drone or kamikaze drone.

The agreement is part of the consolidation of the supply chain for projects included in the Consortium and a potential expansion of the offer to include light, very cheap and economical solutions for counteracting UAVs or attacks with a large number of unmanned aerial vehicles in a short time from many directions. Thanks to cooperation with a reliable, experienced manufacturer of lightweight structures, the Issuer is realistically increasing its production capacity and shortening the path from the conceptual to the implementation phase.

The Company's Management Board considers the Agreement to be a key milestone in the development of its own production and logistics capabilities, which significantly increases the credibility of its offer on both the domestic and export markets. In light of the current market situation and the growing demand for inexpensive and lightweight UAVs and anti-UAV systems, the agreement may form the basis for future large-scale contracts.

The Issuer considers the information provided to be confidential within the meaning of Article 17(1) of MAR. The Issuer undertakes to report all significant changes related to the implementation of the cooperation, the signing of orders, the commercialisation of the drone decoy system or the conclusion of significant implementation agreements in current reports on ESPI.
