| Zarząd PCF Group S.A. („Spółka”) informuje, że do dnia 16 sierpnia 2021 r. Spółka nie otrzymała od wydawcy gry „Outriders”, Square Enix Limited, wynagrodzenia w formie tantiem (royalties), płatnego przez wydawcę na rzecz Spółki, jeśli wpływy netto ze sprzedaży gry „Outriders” (zdefiniowane w umowie produkcyjno-wydawniczej zawartej przez Spółkę z wydawcą w dniu 16 lutego 2016 r. ze zmianami) zapewnią wydawcy zwrot, na określonym poziomie, kosztów poniesionych przez wydawcę w związku z produkcją, dystrybucją i promocją gry. Mając na uwadze, że określony w umowie produkcyjno-wydawniczej 45-dniowy termin wypłaty ewentualnych tantiem na rzecz Spółki liczony od zakończenia kwartału kalendarzowego upłynął z końcem dnia 14 sierpnia 2021 r., a Spółka w pierwszym dniu roboczym po tym dniu, nie otrzymała wynagrodzenia, Spółka przyjęła, że brak jest podstaw po stronie wydawcy do wypłaty tantiem na rzecz Spółki za okres od 1 kwietnia 2021 r. do 30 czerwca 2021 r. Jednocześnie Spółka informuje, że do daty niniejszego raportu bieżącego Spółka nie otrzymała od wydawcy żadnych informacji dotyczących sprzedaży, wpływów ani kosztów związanych z produkcją i wydaniem gry „Outriders”. |

| MESSAGE (ENGLISH VERSION) | |||
| The Management Board of PCF Group S.A. (the “Company”) hereby informs that until 16 August 2021 the Company has not received from Square Enix Limited, the publisher of the “Outriders” game, the royalties payable by the publisher to the Company if the net receipts from the sales of the “Outriders” game (as defined in the Development and Publishing Agreement entered into by the Company with the publisher on 16 February 2016 as amended) yield a pre-agreed level of returns for the publisher on the costs incurred in connection with the development, distribution and marketing of the game. Due to the fact that the 45-day deadline for the payment of possible royalties to the Company counted from the end of the calendar quarter and stipulated under the Development and Publishing Agreement ineffectively expired with the end of 14 August 2021, and the Company has not received the royalties in the first business day commencing following that day, the Company concluded there are no grounds for the publisher to pay royalties to the Company for the period from 1 April 2021 through 30 June 2021. The Company further informs that by the date of this report the Company has not received any information from the publisher regarding the sales, income nor costs relating to the development and publishing of the “Outriders” game. |
