| Zarząd spółki Cl Games SE z siedzibą w Warszawie („Spółka”), informuje, że w dniu 19 maja 2023 roku Spółka zawarła z Trigon Dom Maklerski S.A. z siedzibą w Krakowie („TDM”), umowę pośrednictwa w nabywaniu akcji spółki United Label S.A.(„Umowa”). Umowa dotyczy nabywania za pośrednictwem TDM do 30 000 akcji United Label S.A. za cenę 18,05 zł w jednej lub wielu transakcji sesyjnych, pakietowych lub poza rynkiem regulowanym realizowanych do dnia 30 maja 2023 roku włącznie. Zgodnie z Umową Spółka zobowiązana jest odkupić od TDM wszystkie nabyte akcje United Label S.A. w terminie do 30 grudnia 2023 r. Zarząd Spółki uznał za zasadne zakwalifikowanie niniejszej informacji jako poufnej w rozumieniu przepisów art. 17 ust. 1 Rozporządzenia MAR. |

| Current report number: 19/2023 Date: 19 May 2023 Legal basis: Article 17 (1) of MAR – Confidential Information Subject: Execution of an intermediary agreement for the acquisition of shares in subsidiary United Label S.A. The Management Board of Cl Games SE with its registered office in Warsaw (the “Company“) informs that on 19 May 2023, the Company entered into an intermediary agreement with Trigon Dom Maklerski S.A., based in Krakow ("TDM"), for the acquisition of shares of United Label S.A. ("Agreement"). The Agreement relates to the acquisition through TDM of up to 30,000 shares of United Label S.A. at a price of PLN 18.05 in one or more session, package or off-market transactions executed up to and including 30 May 2023. Pursuant to the Agreement, the Company is obliged to repurchase from TDM all the acquired shares of United Label S.A. by 30 December 2023. The Management Board of the Company considered it reasonable to classify this information as confidential within the meaning of Article 17(1) of the MAR Regulation.
