| Zarząd PCF Group S.A. z siedzibą w Warszawie („Spółka”) niniejszym informuje, że w dniu 10 września 2024 r. Spółka zawarła z Krafton Inc., spółką z siedzibą w Seulu, Republika Korei („Wydawca”), umowę produkcyjno-wydawniczą (Master Services Agreement) wraz z umową wykonawczą do umowy produkcyjno-wydawniczej (Statement of Work) (łącznie jako „Umowa Wydawnicza”), dotyczące współpracy w zakresie produkcji i wydania nowego trybu rozgrywki (mode) pod nazwą kodową Projekt Echo do istniejącej gry wideo Wydawcy („Produkt”). Umowa Wydawnicza przewiduje, że prace nad Produktem będą prowadzone w tzw. modelu work-for-hire, czyli pracy wykonywanej przez Spółkę jako dewelopera na zlecenie i na rzecz Wydawcy, w zamian za co Spółka będzie otrzymywała od Wydawcy uzgodnione wynagrodzenie. Umowa produkcyjno-wydawnicza ma charakter ramowy. Szczegółowe zasady współpracy stron będą określane w umowach wykonawczych do umowy, które zawierać będą, między innymi, szczegółowy opis świadczonych usług, harmonogram prac produkcyjnych, jak również wysokość wynagrodzenia dewelopera za wykonane prace. Zakres i postanowienia Umowy Wydawniczej nie odbiegają zasadniczo od postanowień umów produkcyjno-wydawniczych standardowo zawieranych przy tego typu projektach. Zawarcie Umowy Wydawniczej pozostaje w zgodzie z ogłoszoną przez Spółkę w dniu 31 stycznia 2023 r. aktualizacją Strategii Spółki oraz grupy kapitałowej People Can Fly, zgodnie z którą jeśli pojawią się atrakcyjne możliwości współpracy z renomowanymi partnerami w modelu pracy na zlecenie (work-for-hire), wówczas Spółka z nich skorzysta. |

| Conclusion of a development and publishing agreement with Krafton Inc.The Management Board of PCF Group S.A. with its registered office in Warsaw (the “Company”) hereby informs that on 10 September 2024 the Company and Krafton Inc., a company with its registered office in Seul, Republic of Korea (the “Publisher”), concluded a development and publishing agreement (Master Service Agreement) along with the first statement of work thereto (together the “Publishing Agreement”), regarding cooperation of the parties in the production and release of a new mode code-named Project Echo to the existing video game of the Publisher (the “Product”). The Publishing Agreement provides that works on the Product are to be performed in the work-for-hire model, i.e. by the Company as a developer as commissioned by and for the Publisher, in return for which the developer will receive the agreed remuneration from the Publisher. The Master Services Agreement is a framework agreement. Detailed terms of cooperation between the parties are to be specified in separate statements of work which will include, among others, a detailed description of services to be performed, the schedule of production works and the amount of the developer’s remuneration for the services performed. The scope and terms of the Publishing Agreement do not differ substantially from the terms of development and publishing agreements typically concluded for this type of project. The conclusion of the Publishing Agreement is in line with the update of the Strategy of the Company and the People Can Fly capital group announced by the Company on 31 January 2023, according to which if there are commercially attractive opportunities for cooperation with reputable partners in the work-for-hire model, then the Company will take full advantage of them. |
