VAKOMTEK: Zawarcie umowy dotyczącej wykonywania zadań Autoryzowanego Doradcy / Execution of an Agreement on the Performance of Authorized Adviser’s Duties

BTCS S.A. z siedzibą w Warszawie, ul. Plac Powstańców Warszawy 2, 00-030 Warszawa, wpisana do Rejestru Przedsiębiorców Krajowego Rejestru Sądowego pod numerem KRS 0000390734("Emitent") informuje, że 12 września 2025 r. Emitent zawarł umowę z Autoryzowanym Doradcą, tj. spółką Łuczyński i Wspólnicy Sp.k. z siedzibą w Warszawie. Przedmiot umowy stanowi: (i) współdziałanie z Emitentem w zakresie formalnej zgodności przy wypełnianiu przez Emitenta obowiązków informacyjnych spółki publicznej określonych w Regulaminie Alternatywnego Systemu Obrotu, (ii) doradzanie Emitentowi w zakresie dotyczącym ogólnych aspektów funkcjonowania alternatywnego systemu obrotu na rynku NewConnect, (iii) przeszkolenia kadry kierowniczej Emitenta w zakresie obowiązków informacyjnych spółki publicznej określonych w Regulaminie Alternatywnego Systemu Obrotu. Zawarta umowa wchodzi w życie z dniem 12 września 2025 r. Jest ona zawarta na czas nieoznaczony, ale może być wypowiedziana przez każdą ze stron bez podania przyczyny, z zachowaniem miesięcznego okresu wypowiedzenia, ze skutkiem na koniec miesiąca.

Podstawa prawna: § 3 ust. 1 pkt 9 Załącznika Nr 3 do Regulaminu Alternatywnego Systemu Obrotu - Informacje bieżące i okresowe przekazywane w alternatywnym systemie obrotu na rynku NewConnect.

BTCS S.A., with its registered office in Warsaw, at Plac Powstańców Warszawy 2, 00-030 Warsaw, entered into the Register of Entrepreneurs of the National Court Register under KRS number 0000390734 (the “Issuer”), hereby informs that on 12 September 2025 the Issuer executed an agreement with the Authorized Adviser, i.e. Łuczyński i Wspólnicy Sp.k., with its registered office in Warsaw. The subject matter of the agreement includes: (i) cooperation with the Issuer with respect to formal compliance in the performance of the Issuer’s disclosure obligations as a public company, as set forth in the Rules of the Alternative Trading System, (ii) advising the Issuer on general aspects of the functioning of the alternative trading system on the NewConnect market, (iii) providing training to the Issuer’s management with regard to the disclosure obligations of a public company as defined in the Rules of the Alternative Trading System. The agreement enters into force as of 12 September 2025. It has been concluded for an indefinite term and may be terminated by either party without cause, subject to a one-month notice period, effective at the end of a calendar month.
