| Zarząd BNP Paribas Bank Polska S.A. („Bank”) informuje, że w dniu 23 czerwca 2023 r. Bank otrzymał rezygnację Pana Grégory Raison z funkcji członka Zarządu Banku, którą miał objąć od dnia 1 sierpnia 2023 r. Powodem rezygnacji Pana Grégory Raison jest zakończenie współpracy z Grupą BNP Paribas i podjęcie nowych obowiązków zawodowych. Bank informuje, że Komitet ds. Nominacji rozpoczął procedurę powoływania członka Zarządu Banku, obejmującą proces oceny odpowiedniości wobec Pana Piotra Koniecznego w związku z planowanym powołaniem kandydata na funkcję członka Zarządu Banku. Powołanie przez Radę Nadzorczą jest uzależnione od pozytywnego wyniku oceny odpowiedniości. Pan Piotr Konieczny związany jest z sektorem bankowym od 1993 r. W trakcie swojej 30-letniej kariery pełnił wiele funkcji zarządczych, w tym członka Zarządu Raiffeisen Bank Polska S.A. odpowiedzialnego za Obszar Finansów (CFO, 2012-2018). Od kwietnia 2019 r. do teraz pełni funkcję członka Zarządu i CFO w należącym do Grupy BNP Paribas Ukrsibbanku w Ukrainie. Podstawa prawna §5 pkt 4 oraz §9 Rozporządzenia Ministra Finansów z dnia 29 marca 2018 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim (Dz. U. z 2018 r., poz. 757). |

| Changes in the composition of the Management Board of BNP Paribas Bank Polska S.A. current report no. 28/2023 report date: 23 June 2023 The Management Board of BNP Paribas Bank Polska S.A. (“the Bank”) hereby informs that on 23 June 2023, the Bank received the resignation of Mr Grégory Raison from his function of the member of the Bank’s Management Board, which he was to assume from August 1, 2023. The reason for the resignation of Mr. Grégory Raison is the end of cooperation with the BNP Paribas Group and taking up new professional duties. The Bank hereby informs that the Nomination Committee has launched the procedure for appointment of a member of the Management Board of the Bank, including assessment of suitability of Mr Piotr Konieczny in connection with the planned appointment of the candidate as a member of the Management Board of the Bank. Appointment by the Supervisory Board is conditional upon a positive result of the assessment of suitability. Mr Piotr Konieczny has been involved in the banking sector since 1993. During his 30-year career, he has held various management positions, including a member of the Management Board of Raiffeisen Bank Polska S.A. responsible for the Finance Area (CFO, 2012-2018). Since April 2019, he has served as a member of the Management Board and CFO at a BNP Paribas Group member company Ukrsibbank in Ukraine. Legal basis §5 point 4 and §9 of the Ordinance of the Minister of Finance dated March 29, 2018 on the current and periodic reports disclosed by the securities issuers and on equivalence of information disclosures required by law of non-EU member states (Journal of Laws of 2018, item 757). |
