Zarząd Agory S.A. („Agora”, „Spółka”) z siedzibą w Warszawie informuje, iż w dniu 29 sierpnia 2019 r. Spółka otrzymała ofertę zawarcia umowy inwestycyjnej regulującej zasady nabycia istniejących oraz objęcia nowych udziałów spółce stowarzyszonej Online Technologies HR Sp. z o.o. („Online Technologies”) rozwijającą nowoczesną aplikację HRLink.pl.

Oferta przewiduje nabycie od dotychczasowych wspólników Online Technologies 32 udziałów w kapitale zakładowym Online Technologies oraz objęcie 15 nowoutworzonych udziałów w kapitale zakładowym spółki. Potencjalna łączna kwota inwestycji Agory w Online Technologies na podstawie złożonej oferty to około 7,7 mln zł.

W przypadku zawarcia umowy inwestycyjnej na warunkach przedstawionych w ofercie udział Agory w Online Technologies wzrósłby do 79,8%, tym samym Agora zostałaby udziałowcem większościowym tej spółki.
Agora została udziałowcem spółki Online Technologies w 2012 r. Obecnie Agora posiada 48 udziałów stanowiących 46,15% udziałów w kapitale zakładowym Online Technologies.

Online Technologies HR Sp. z o.o. to jedna z najszybciej rozwijających się firm technologicznych w Europie Środkowej. W 2018 r. spółka zadebiutowała na 26. miejscu prestiżowego zestawienia Deloitte „Technology Fast 50 Central Europe”. Spółka oferuje klientom przede wszystkim nowoczesne narzędzie HRLink.pl dostępne w modelu abonamentowym, inne usługi informatyczne związane z procesem rekrutacji (np. usługi z zakresu tworzenia zakładek czy stron www poświęconych karierze) oraz pośrednictwo w sprzedaży usług portali i mediów rekrutacyjnych. Przychody Online Technologies w 2018 r. wyniosły 5,5 mln zł, a wynik netto 104 tys. zł.

Spółka poinformuje odrębnym komunikatem giełdowym o przyjęciu lub odrzuceniu przedstawionej jej oferty.

	23/2019 Offer to purchase a majority stake in Online Technologies HR Sp. z o.o.Regulatory filingThe Management Board of Agora S.A. with its registered office in Warsaw („Agora”, the "Company") informs that on 29 August, 2019, the Company received an offer to conclude an investment agreement regulating the rules for the acquisition of existing and taking up new shares in the associated company Online Technologies HR Sp. z o.o. ("Online Technologies"), developing cutting-edge application HRLink.pl.The offer anticipates the acquisition of 32 shares in Online Technologies' share capital from existing shareholders and taking up 15 newly created shares in the company's increased share capital. The potential total amount of Agora's investment in Online Technologies based on the submitted offer is about PLN 7.7 million.If an investment agreement were concluded on the terms set out in the offer, Agora's share in Online Technologies would increase to 79.8%, thus Agora would become the majority shareholder of this company. Agora became a shareholder of Online Technologies in 2012. Presently, Agora holds 48 shares, representing a total of 46.15% of the share capital of Online Technologies.Online Technologies HR Sp. z o.o. is one of the most dynamically developing technology company in CEE. In 2018, the company made its debut in 26th place in the prestigious ranking Deloitte 'Technology Fast 50 Central Europe'. The company offers an advanced HRLink.pl tool available in the subscription model, other IT services related to the recruitment process (e.g. services in the field of creating bookmarks or career-related websites) and brokerage of recruitment websites and media.
