W nawiązaniu do komunikatów giełdowych: 4/2019 z dnia 28 lutego 2019 r. i 10/2019 z dnia 23 kwietnia 2019 r., Zarząd Agory S.A. z siedzibą w Warszawie („Agora”) informuje, że Helios S.A. („Helios”) oraz Step Inside sp. z o.o. („Step Inside”), spółki zależne Agory, w dniu 31 stycznia 2020 r. zawarły umowę inwestycyjną („Umowa Inwestycyjna”) z częścią wspólników („Wspólnicy”) spółki Food for Nation spółka z ograniczoną odpowiedzialnością spółka komandytowa („FFN”) i FFN.

Przedmiotem Umowy Inwestycyjnej jest określenie zasad współpracy i prowadzenia wspólnego przedsiębiorcy utworzonego w oparciu o Step Inside. Celem Step Inside jest otwieranie, prowadzenie oraz rozwijanie punktów gastronomicznych pod marką handlową Pasibus, które będą zlokalizowane głównie przy ulicach handlowych oraz w galeriach handlowych.

Przy zawarciu Umowy Inwestycyjnej Wspólnicy objęli łącznie 10% udziałów w kapitale zakładowym Step Inside (odpowiadających 10% ogólnej liczby głosów na zgromadzeniu wspólników), natomiast Helios dofinansował Step Inside kwotą 5 mln zł. Umowa Inwestycyjna przewiduje możliwość zwiększenia udziału Inwestorów Indywidualnych do 40% łącznie, pod warunkiem spełnienia przez Step Inside ustalonych celów finansowych.

Wcześniej Helios S.A. na podstawie umowy o współpracy z FFN z dnia 28 lutego 2019 r. dofinansował spółkę Step Inside kwotą 10 mln złotych, o czym Agora informowała raportem bieżącym 4/2019 r. z 28 lutego 2019 r.

Umowa Inwestycyjna określa między innymi szczegółowe parametry zaangażowania kapitałowego inwestorów oraz wzajemne prawa i obowiązki stron.

Wartość inwestycji w Spółkę nie jest kwotą znaczącą z perspektywy Agory i Helios. Realizacja inwestycji zgodnie z Umową Inwestycyjną oznaczać będzie możliwość otwierania kolejnych lokali gastronomicznych przez Step Inside, w tym poza terytorium Rzeczpospolitej Polskiej.
