W nawiązaniu do raportów bieżących 35/2017 z dnia 21 grudnia 2017 r., 6/2018 z dnia 16 lutego 2018 r., 40/2020 z dnia 13 listopada 2020 r., 43/2020 z dnia 11 grudnia 2020 r., 21/2021 z dnia 10 listopada 2021 r., 23/2021 z 9 grudnia 2021 r., 37/2022 z 8 listopada 2022 r., 45/2022 z 30 grudnia 2022 r. oraz 34/2023 z 9 listopada 2023 r., Zarząd Agory S.A. z siedzibą w Warszawie („Spółka", „Agora”) informuje, iż w dniu 18 grudnia 2023 r. otrzymał decyzję z dnia 12 grudnia 2023 r. wydaną przez Naczelnika Pierwszego Mazowieckiego Urzędu Skarbowego w Warszawie o dokonaniu rejestracji umowy o przedłużeniu okresu funkcjonowania Podatkowej Grupy Kapitałowej Agora („PGK”), w skład której wchodzą: Agora oraz następujące spółki zależne: Grupa Radiowa Agory Sp. z o.o., Agora TC Sp. z o.o., Plan D Sp. z o.o., Helios S.A., AMS S.A., Yieldbird Sp. z o.o. oraz Plan A Sp. z o.o.

W umowie o przedłużeniu okresu funkcjonowania Podatkowej Grupy Kapitałowej, Agora została wskazana jako spółka reprezentująca PGK w zakresie obowiązków wynikających z ustawy o podatku dochodowym od osób prawnych oraz z przepisów ordynacji podatkowej.

Okres funkcjonowania PGK został przedłużony do 31 grudnia 2024 r. Spółka szacuje, że przedłużenie okresu funkcjonowania Podatkowej Grupy Kapitałowej może spowodować przewidziane przepisami prawa obniżenie zobowiązania podatkowego PGK o około 10 mln zł w 2024 r.

Podstawa prawna: Art. 17 ust. 1 Rozporządzenia Parlamentu Europejskiego i Rady (UE) nr 596/2014 z dnia 16 kwietnia 2014 r. w sprawie nadużyć na rynku (rozporządzenie w sprawie nadużyć na rynku) oraz uchylające dyrektywę 2003/6/WE Parlamentu Europejskiego i Rady i dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE.

Registration of the agreement to extend the period of operation of the
Agora Tax Capital Group for 2024

December 9, 2021, 37/2022 of
November 8, 2022, 45/2022 of December 30, 2022 and 34/2023 of November
9, 2023 informs that on December 18, 2023, Agora received the decision
dated December 12, 2023 issued by the Head of the First Mazovian Tax
Office in Warsaw on the registration of the agreement to extend the
period of operation of the Agora Tax Capital Group ("PGK"), which
includes Agora and the following subsidiaries: Grupa Radiowa Agory Sp.
z o.o., Agora TC Sp. z o.o., Plan D Sp. z o.o., Helios S.A., AMS S.A.,
Yieldbird Sp. z o.o. and Plan A Sp. z o.o.


In
the agreement to extend the period of operation of the tax capital
group, Agora was indicated as a company representing PGK in the scope of
obligations under the Corporate Income Tax Act and the provisions of the
Tax Ordinance.


The
agreement on extending the period of operation of the PGK was concluded
for the period until 31 December 2024. The Company estimates that the
extension of the operating period of the tax capital group may result in
a reduction of the group's tax liability by approx. PLN 10 million in
2024.

of the Council (EU) No 596/2014 of 16 April 2014 on market abuse (market
abuse regulation) and repealing Directive 2003/6/EC of the European
Parliament and of the Council and Commission Directive 2003/124/EC,
2003/125/EC and 2004/72/EC.
