| Rada Dyrektorów Allegro.eu („Rada”) niniejszym informuje, że w dniu 22 grudnia 2022 r. Allegro Pay – spółka zależna Allegro.eu, podpisała Term sheet z Aion Bank SA / NV, instytucją kredytową utworzoną jako spółka akcyjna (société anonyme / naamloze vennootschap) zgodnie z prawem belgijskim, z siedzibą w Brukseli, Belgia działającą poprzez oddział „Aion Bank S.A. Spółka Akcyjna Oddział w Polsce" z siedzibą w Warszawie („AION”) oraz z Vodeno sp. z o.o. z siedzibą w Warszawie (“Vodeno”), spółką należącą wraz z AION do tej samej grupy kapitałowej, działającą w charakterze podwykonawcy AION i dostawcy usług IT i rozwiązań technicznych. Term sheet określa ogólne zasady przyszłej umowy o współpracy pomiędzy Allegro Pay, AION i Vodeno („Umowa”) w zakresie nowych produktów opartych na modelu Banking-as-a-Service („BaaS”) oraz wprowadza zmiany w zakresie bieżącej współpracy z AION na podstawie Umowy Sprzedaży Wierzytelności z dnia 11 października 2021 r., o której Allegro.eu informowało raportem bieżącym nr 12/2021. Model BaaS umożliwi Allegro Pay uruchomienie nowych produktów i usług finansowych, które są zarezerwowane dla podmiotów posiadających licencję bankową (tj. konta oszczędnościowe i płatnicze). W Term sheet strony ustaliły, że Allegro Pay będzie działać jako dostawca usług outsourcingowych AION i świadczyć na rzecz AION wszelkie usługi informatyczne wymagane lub niezbędne do onboardingu klientów i zarządzania kontami poprzez platformę handlową Allegro, w tym przez aplikację mobilną. Współpraca z AION, jako dostawcą BaaS i posiadaczem licencji bankowej, ułatwi spełnienie wymogów regulacyjnych. Term sheet jest wiążący i zawiera warunki współpracy, które zostaną szczegółowo określone w Umowie. W szczególności Strony uzgodniły, że będą współpracować w dobrej wierze w celu doprecyzowania szczegółowych funkcji usług, specyfikacji technicznych, wymagań handlowych, uzgodnień operacyjnych, regulacyjnych i prawnych, które należy wprowadzić w celu pomyślnej realizacji ich współpracy. Term sheet przewiduje, że produkty BaaS będą oferowane pod marką Allegro Pay (white label). Procesy i całe interakcje z klientami zostaną osadzone na platformie Allegro. Allegro Pay i AION zamierzają zawrzeć Umowę do dnia 28 kwietnia 2023 r., o czym Allegro.eu poinformuje odrębnym raportem bieżącym. Rada uważa BaaS za atrakcyjny sposób pozyskania możliwości dostarczania produktów i usług bankowych oraz stworzenia platformy do dalszej ekspansji Allegro Pay. | Date: 22 December 2022 Current report No. 43/2022 Title: Allegro Pay sp. z o.o. signs a Term sheet with Aion Bank to launch services in the Bank-as-a-Service model Legal basis: Article 17 of MAR - inside information The Board of Directors of Allegro.eu (the “Board”) hereby announces that on 22 December 2022 Allegro Pay sp. z o.o. (“Allegro Pay”) – a wholly owned subsidiary of Allegro.eu, signed a Term sheet agreed with Aion Bank SA / NV, a credit institution incorporated as a joint-stock company (société anonyme / naamloze vennootschap) under the laws of Belgium, with its registered office in Brussels, Belgium, acting through its Polish branch trading under the name "Aion Bank S.A. Spółka Akcyjna Oddział w Polsce'' with its registered office in Warsaw (“AION”) and Vodeno sp. z o.o., with its registered office in Warsaw (“Vodeno”), a company belonging to the same capital group as AION, acting as AION’s subcontractor and provider of certain IT technical solutions. The Term sheet establishes the general rules of future cooperation agreement between Allegro Pay, AION and Vodeno (the “Agreement”) in the scope of new products based on the Banking-as-a-Service (“BaaS”) model and introduces changes to current cooperation with AION under the Receivables Purchase Agreement dated 11 October 2021 of which Allegro.eu informed in its current report No. 12/2021. The BaaS model will enable Allegro Pay to launch new financial products and services that are reserved for entities holding banking license (i.e. saving and payment accounts). Under the Term sheet the parties agreed that Allegro Pay will act as AION’s outsourcing service provider and deliver to AION all IT services required or necessary for onboarding of customers and the accounts management through Allegro's on-line trading platform including mobile application. Cooperation with AION, acting as a BaaS provider and a banking licence holder, will facilitate compliance with regulatory requirements. The Term sheet is binding and includes the terms of cooperation, which will be detailed in the Agreement. Specifically, the Parties agreed that they will cooperate in good faith to further specify detailed functionalities of the services, technical specifications, commercial requirements, operational, regulatory and legal arrangements that need to be put in place for the successful implementation of their collaboration. The Term sheet provides that BaaS products will be offered under Allegro Pay branding (white label). Processes and entire customer interactions will be embedded in Allegro's platform. Allegro Pay and AION intend to conclude the Agreement until April 28 2023, about which Allegro.eu will inform in a separate current report. The Board considers BaaS as an attractive way to enter the opportunities of providing banking products and services and establish a platform for further expansion of Allegro Pay.
