| Zarząd BNP Paribas Bank Polska S.A. („Bank”) informuje, że dnia 20 maja 2022 r. powziął informację o zarejestrowaniu w dniu 19 maja 2022 r. przez Sąd Rejonowy dla m. st. Warszawy w Warszawie, XIII Wydział Gospodarczy Krajowego Rejestru Sądowego, części zmian Statutu Banku przyjętych przez Nadzwyczajne Walne Zgromadzenie Banku w dniu 17 czerwca 2021 r. („NWZ”). Jednocześnie, w załączeniu, Bank przekazuje tekst jednolity Statutu Banku, uwzględniający zmiany zarejestrowane przez Sąd w dniu 19 maja 2022 r. Nowe lub zmienione postanowienia Statutu Banku: 1. W § 5 ust. 3 w pkt 8) po ppkt e) dodaje się zdanie: „z zastrzeżeniem, że przedmiotem czynności określonych w lit. b) i c) mogą być również obligacje, o których mowa w art. 39p ust.1 ustawy z dnia 27 października 1994 r. o autostradach płatnych oraz o Krajowym Funduszu Drogowym, obligacje, o których mowa w art. 67 ust. 3 i art. 71 ust. 1 ustawy z dnia 31 marca 2020 r. o zmianie ustawy o szczególnych rozwiązaniach związanych z zapobieganiem, przeciwdziałaniem i zwalczaniem COVID-19, innych chorób zakaźnych oraz wywołanych nimi sytuacji kryzysowych oraz niektórych innych ustaw, oraz obligacje, o których mowa w art. 34ga ust. 1 ustawy z dnia 8 maja 1997 r. o poręczeniach i gwarancjach udzielanych przez Skarb Państwa oraz niektóre osoby prawne, natomiast w odniesieniu do czynności określonych w lit. c), ich przedmiotem mogą być również dopuszczone do obrotu zorganizowanego obligacje, listy zastawne oraz inne zbywalne papiery wartościowe inkorporujące prawa majątkowe odpowiadające prawom wynikającym z zaciągniętego długu lub instrumenty pochodne, których instrumentem bazowym są obligacje, listy zastawne, inne zbywalne papiery wartościowe inkorporujące prawa majątkowe odpowiadające prawom wynikającym z zaciągniętego długu, stopa procentowa lub waluta,”. | Entry of the Amendments to the Articles of Association of BNP Paribas Bank Polska S.A. into the National Court Register current report no. 15/2022 date: 20 May 2022 The Management Board of BNP Paribas Bank Polska S.A. (“the Bank”) hereby announces that on 20 May 2022 the Bank obtained information that on 19 May 2022 the District Court for the capital city of Warsaw in Warsaw, XIII Business Division of the National Court Register registered same of the amendments to the Articles of Association of the Bank, adopted by the Extraordinary General Meeting of the Bank on 17 June 2021 (“EGM”). Furthermore, the Bank provides the consolidated text of the Bank’s Articles of Association, including the amendments registered by the Court on 19 May 2022. New or amended provisions of the Bank’s Articles of Association are as follows: 1. In art. 5 para 3 item 8 after point e) the sentence has been added: “with the proviso that the subject of the activities specified in point b) and c) may also be the notes referred to in Article 39p paragraph 1 of the Act of 27 October 1994 on toll motorways and on the National Road Fund, the notes referred to in Article 67 paragraph 3 and Article 71 paragraph 1 of the Act of 31 March 2020 amending the Act on specific solutions related to the prevention, counteracting and control of COVID-19, other infectious diseases and crisis situations caused by them and certain other acts, as well as notes referred to in Article 34ga paragraph 1 of the Act of 8 May 1997 on sureties and guarantees granted by the State Treasury and certain legal entities, while with respect to the activities referred to in point (c), their subject may also include notes admitted to organised trading, covered bonds and other transferable securities incorporating property rights corresponding to rights arising from a debt incurred or derivative instruments based on notes, covered bonds, other transferable securities incorporating property rights corresponding to rights arising from a debt incurred, interest rate or currency,”.
