| Zarząd spółki Energa SA ("Spółka") przekazuje informacje dotyczące Członka Rady Nadzorczej Spółki powołanego z początkiem dnia 1 lutego 2025 roku. Pan Paweł Olechnowicz - Członek Rady Nadzorczej Energa SA Jest absolwentem Akademii Górniczo-Hutniczej w Krakowie. Ukończył dwuletnie podyplomowe studium „ekonomika, organizacja i zarządzanie przedsiębiorstw” przy Politechnice Gdańskiej. Odbył wiele międzynarodowych programów szkoleniowych podnoszących zakres wiedzy z zakresu zarządzania i ekonomicznego rozwoju przedsiębiorstw wielozakładowych o strukturze międzynarodowej. Ukończył skrócony MBA prowadzony przez wykładowców INSEAD z Fontainenbleau Francja i Executive Management Program w INSEAD. W latach 1990-1996 jako Prezes pierwszej polskiej sprywatyzowanej państwowej firmy Zamech w Elblągu przeprowadził głęboki program restrukturyzacji i przeobrażenia firmy z systemu komunistycznego na firmę ABB Zamech funkcjonującą na rynkach międzynarodowych w oparciu o zasady wolnego rynku konkurencyjnego. Wynikiem tego był awans do centrali Koncernu ABB w Zurichu, Szwajcaria, gdzie przez trzy lata jako Wiceprezydent w centrali ABB odpowiadał za rozwój firm ABB na rynkach Centralnej i Wschodniej Europy. Po powrocie do Polski jako Wiceprezes Zarządu Grupy Kęty odpowiadał za jej program rozwojowy. W latach 2002-2016 był Prezesem Zarządu i Dyrektorem Generalnym Grupy LOTOS S.A. Największe sukcesy to: restrukturyzacja Rafinerii Gdańskiej i utworzenie Koncernu pionowo zintegrowanej Grupy LOTOS i wprowadzenie jej na Giełdę Papierów Wartościowych w Warszawie. Następnie dynamiczny rozwój Lotosu z realizacją w tym czasie jednej z największych inwestycji przemysłowych o wartości ponad 6 miliardów PLN, Program 10+. Lotos był szóstą firmą w Europie Centralnej i trzecią na rynku polskim. W kwietniu 2016 r. został odwołany ze stanowiska Prezesa Grupy Lotos skąd w lutym 2019 r. przeszedł na emeryturę. Od grudnia 2024 r. jest doradcą Prezesa Zarządu ORLEN S.A. Był przewodniczącym i członkiem wielu rad nadzorczych firm energetycznych w Polsce i Europie Centralnej. Z inicjatywy Pawła Olechnowicza w 2010 r. została powołana z siedzibą w Brukseli organizacja Central Europe Energy Partners. To międzynarodowe Stowarzyszenie pożytku publicznego reprezentujące szeroko rozumiany sektor energetyczny regionu Europy Centralnej, miało za zadanie wspieranie integracji środkowoeuropejskiego sektora energii w ramach wspólnej polityki energii oraz bezpieczeństwa w sektorze energii UE. Paweł Olechnowicz jest Członkiem Rady Głównej BCC, Rady Gdańskiego Klubu Biznesu, był Prezesem i Członkiem Zarządu Polskiego Forum Akademicko-Gospodarczego. Jest Przewodniczącym zespołu doradców ds. energii przy rektorze Politechniki Gdańskiej i Członkiem Konwentu Zespołu Uczelni Farenheita w Gdańsku. W 2011 r. został odznaczony Krzyżem Oficerskim Orderu Odrodzenia Polski przez Prezydenta RP Bronisława Komorowskiego, za wybitne zasługi dla rozwoju gospodarki narodowej oraz za osiągnięcia w pracy zawodowej. Pan Paweł Olechnowicz nie wykonuje działalności konkurencyjnej wobec działalności Energa SA, nie uczestniczy w spółce konkurencyjnej wobec Energa SA jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu spółki kapitałowej oraz nie uczestniczy w innej konkurencyjnej osobie prawnej jako członek jej organów, jak również nie figuruje w Rejestrze Dłużników Niewypłacalnych prowadzonym na podstawie ustawy o KRS. |

| Current report No. 6/2025 Date: 27 January 2025 Subject: Supplementary information on the person appointed to the position of a Member of the Supervisory Board of Energa SA - supplementation of the current report No. 5/2025 Legal basis: Article 56 section 1 item 2 of the Act on Offerings – current and periodic information The Management Board of Energa SA ("Company") hereby provides information on the Member of the Supervisory Board of the Company appointed as of the beginning of 1 February 2025. Mr. Paweł Olechnowicz - Member of the Supervisory Board of Energa SA He is a graduate of the AGH University of Science and Technology in Cracow. He completed a two-year postgraduate course in “economics, organisation and management of enterprises” at the Gdansk University of Technology. He has attended a number of international training programmes to improve his knowledge of the management and economic development of multinational enterprises with international structures. He completed a shortened MBA programme taught by INSEAD lecturers from Fontainenbleau France and the Executive Management Programme at INSEAD. In 1990-1996, as the President of the first Polish privatised state-owned company Zamech in Elbląg, he carried out a major restructuring programme to transform the company from a communist system to ABB Zamech operating in international markets based on the free competitive market principles. As a result, he was promoted to the ABB Group headquarters in Zurich, Switzerland, where he was responsible for the development of ABB companies in the Central and Eastern European markets for three years as Vice-president at the ABB headquarters. After returning to Poland, as the Vice-President of the Management Board of the Grupa Kęty, he was responsible for the company’s development programme. In 2002-2016, he was the President of the Management Board and the General Director of Grupa LOTOS S.A. The greatest successes included the restructuring of the Gdansk Refinery and the creation of the vertically integrated Grupa LOTOS as well as its introduction to the Warsaw Stock Exchange, and then the dynamic development of LOTOS together with the implementation of one of the largest industrial investments at that time, worth over PLN 6 billion, the 10+ Programme. Lotos was the sixth company in Central Europe and the third in the Polish market. In April 2016, he was dismissed from the position of the President of LOTOS Group, from where he retired in February 2019. Since December 2024, he has been an advisor to the President of the Management Board of ORLEN S.A. He was the chairman and member of many supervisory boards of energy companies in Poland and Central Europe. On the initiative of Paweł Olechnowicz, the Brussels-based Central Europe Energy Partners organisation was established in 2010. This public benefit association, representing the broader energy sector of the Central Europe region, was tasked with supporting the integration of the Central European energy sector as part of the common energy and security policy in the EU energy sector. Paweł Olechnowicz is a Member of the Main Council of the BCC and the Council of the Gdansk Business Club. He was the President and a Member of the Management Board of the Polish Academic and Economic Forum. He is the Chairman of the team of energy advisors at the Rector of the Gdansk University of Technology and a Member of the Convention of the Fahrenheit University in Gdańsk. In 2011, he was awarded the Officer’s Cross of the Order of Polonia Restituta by the President of the Republic of Poland Bronisław Komorowski for outstanding contributions to the development of the national economy and for achievements in professional work. Mr. Paweł Olechnowicz is not engaged in any form of business activity competitive to Energa SA, does not participate in a competitive company or partnership, as a partner of a civil law partnership, a partnership or as a member of a company body and does not participate in any other competitive legal person as a member of its body as well as he is not listed in the Register of Insolvent Debtors maintained under the National Register Court Act. |
