Indykpol Spółka Akcyjna - Nabycie znacznych aktywów przez podmiot zależny
Raport bieżący 32/2004 Zarząd Indykpol S.A. informuje, że w dniu 28 grudnia 2004 roku "Frednowy" Ośrodek Hodowli Indyków Sp. z o.o. - podmiot zależny od Spółki nabył od Agencji Nieruchomości Rolnych Oddział Terenowy w Olsztynie nieruchomości rolne, położonej w woj. warmińsko-mazurskim, Gmina Iława o powierzchni 27,1230 ha, zabudowane obiektami hodowlanymi oraz zakładem wylęgu drobiu (10 sektorów fermowych oraz sektor centralny). Nabyte nieruchomości Ośrodek użytkował na podstawie umowy dzierżawy od 1 lipca 1994 roku.
W przyszłości zamierza kontynuować dotychczas prowadzoną w nich działalność tj. odchów stad rodzicielskich indyków oraz produkcję jaj wylęgowych i towarowych piskląt indyczych. Cena sprzedaży nieruchomości została ustalona przez rzeczoznawcę w kwocie 11 580 138,- złotych, w tym wartość rynkowa nakładów poniesionych przez Spółkę na modernizację w/w obiektów wynosi 4 519 000,- złotych. Spółka nabyła wyżej wymienione nieruchomości za cenę ustaloną przez rzeczoznawcę pomniejszoną o wartość poniesionych przez Spółkę nakładów tj. za kwotę 7 061 138,- zł. Transakcja została sfinansowana kredytem inwestycyjnym, zaciągniętym przez Ośrodek w Banku NORD/LB Bank Polska Norddeutsche Landesbank S.A. z siedzibą w Warszawie. Zabezpieczeniem spłaty kredytu jest hipoteka kaucyjna na nabytych nieruchomości.
Ośrodek Hodowli Indyków we Frednowych jest największym w kraju producent piskląt indyczych z jaj uzyskiwanych od własnych stad reprodukcyjnych i głównym dostawcą piskląt indyczych w grupie kapitałowej Indykpol. Spółka produkuje rocznie około 4,5 mln sztuk piskląt. RRM &5 ust. 1 pkt 1
The Management Board of Indykpol S.A. informs that on December 28, 2004, the Frednowy Turkey Breeding Center Ltd. -the dependent company from Indykpol purchased from the Agriculture Property Agency The Regional Branch in Olsztyn agriculture immovables situated in Warmińsko-Mazurski region, the commune Iława of area of 27,1230 hectares, which is built-up with breeding objects and with the bet of the hatching poultry (10 farm sections and the central section). Acquired immovables the Center used on the ground of the tenancy agreement from July 1st, 1994. In the future the Center intends to continue the current activity, i.e. feeding herds of parental turkeys and the production of incubative eggs and of turkey nestling. The sale price of immovables was settled by the expert in the amount of 11 580 138 of PLN, therein the trading value of outlays incurred by the Company on the modernization above mentioned objects amounts 4 519 000 of PLN. The Company purchased above-mentioned immovables for the price settled by the expert, diminished for the value of incurred outlays by the Company, i.e. for the amount of 7 061 138 PLN. The transaction was financed by the investment credit, overcast by the Centre in the Bank NORD/LB Bank Polska Norddeutsche Landesbank S.A. with it seat in Warsaw. The deposit land registry on acquired immovables is a protection of the credit repayment.
The Frednowy Turkey Breeding Centre is the largest producer of turkey poults from eggs obtained from own reproductive herds in the country and the main tradesman of turkey poults in the Indykpol capital group. The Company produces about 4, 5 millions of poults per year.
