Kierownictwo Wyższego Szczebla KULCZYK OIL VENTURES INC. ("KOV", "Spółka") podaje do wiadomości, że 16 marca 2011 r. Rada Dyrektorów KOV powołała pana Stephena C. Akerfeldta na członka Rady Dyrektorów (nie wykonawczego). Ponadto Rada Dyrektorów KOV powołała z dniem 16 marca 2011 r. do Kierownictwa Wyższego Szczebla KOV pana Christophera M. Flynna (wcześniej Głównego Radcy Prawnego), który objął stanowisko Wiceprezesa ds. Rozwoju Biznesu i Radcy Prawnego.

Stephen C. Akerfeldt jest od 1999 r. Prezesem Zarządu i dyrektorem Ritz Plastics Inc., prywatnej spółki działającej w branży motoryzacyjnej w Kanadzie. Jest również dyrektorem Jura Energy Corporation, spółki publicznej prowadzącej działalność w zakresie poszukiwań ropy i gazu w Pakistanie. Jura Energy Corporation nie jest konkurentem względem KOV od 2003 r. Od czerwca 2007 r. do lutego 2011 r. był Przewodniczącym Rady Dyrektorów i dyrektorem Firstgold Corp., spółki poszukującej złota, a od stycznia 2008 r. do lipca 2009 r. także jej Dyrektorem Generalnym (CEO). W 1990 r. założył Grayker Corporation, prywatną spółkę posiadającą dużą sieć pralni chemicznych, którą prowadził wraz z partnerem aż do jej zbycia w 2003 r. Wcześniej, w latach 1987–1990, był Wiceprezesem Zarządu i Dyrektorem Finansowym Magna International Inc. W 1965 r. Stephen C. Akerfeldt podjął pracę w Coopers & Lybrand (obecnie Price Waterhouse Coopers), gdzie pracował do 1987 r. W 1969 r. został biegłym rewidentem, a w 1974 r. – partnerem. Stephen C. Akerfeldt jest absolwentem University of Waterloo w Waterloo, Ontario, Kanada (1966 r.).

Christopher M. Flynn został powołany jako radca prawny do palestry Sądu Najwyższego Anglii i Walii oraz Sądu Najwyższego Nowej Południowej Walii, a do palestry Sądu Najwyższego Australii został powołany jako adwokat i radca prawny. Przed dołączeniem do KOV jako Główny Radca Prawny, pan Flynn doradzał Spółce przy licznych transakcjach w kwestiach prawnych. Poprzednio pracował on jako członek wyższego szczebla zespołu ds. ropy i gazu w londyńskim biurze Ashurst LLP, jednej z wiodących firm prawniczych a swoją karierę prawniczą rozpoczął w biurach w Sydney i Bangkoku firmy Allens Arthur Robinson, wiodącej firmy Azji Pacyfiku. Pan Flynn uzyskał stopień magistra nauk humanistycznych Uniwersytetu St Andrews (jako stypendysta Chevening) oraz magistra nauk prawnych (w zakresie prawa międzynarodowego) Uniwersytetu w Sydney, stopień licencjata prawa Uniwersytetu Griffith (z wyróżnieniem) oraz stopień licencjata w dziedzinie handlu Uniwersytetu Griffith.

Żaden z powołanych nie prowadzi działalności bezpośrednio konkurencyjnej wobec Emitenta, nie jest wspólnikiem w bezpośrednio konkurencyjnej spółce cywilnej lub osobowej ani nie jest członkiem organu spółki kapitałowej, ani jakiejkolwiek innej bezpośrednio konkurencyjnej osoby prawnej, z zastrzeżeniem działalności prowadzonej w ramach Grupy KOV, ani nie został wpisany do Rejestru Dłużników Niewypłacalnych, o którym mowa w § 20 pkt. 6 Rozporządzenia Ministra Finansów z dnia 19 lutego 2009 roku w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych [...] (Rozporządzenie).

Title: Appointment of new member of the Board of Directors Legal basis: Article 56, Section 1, Item 2 Act on Public Offering – current and periodical information Content: The Senior Management of KULCZYK OIL VENTURES INC. (’KOV’, ‘Company’), announces that on March 16, 2011 Mr. Stephen C. Akerfeldt was appointed by the Board of Directors of the company as a non-executive member of the Board. Moreover the Board of Directors appointed Mr. Christopher M. Flynn (formerly General Counsel) as an officer with the title “Vice President Business Development & General Counsel” on March 16, 2011. Mr. Stephen C. Akerfeldt has been President and a director of Ritz Plastics Inc., a private company in the automotive industry in Canada, since 1999. Mr. Akerfeldt has been a director of Jura Energy Corporation, a public company engaged in oil and gas exploration activity in Pakistan which is not in competition with the Issuer since 2003. From June 2007 until February 2011, he was Chairman of the Board and a director of Firstgold Corp, a gold exploration company and he was the Chief Executive Officer of Firstgold Corp. from January 2008 to July 2009. In 1990, Mr. Akerfeldt founded Grayker Corporation, a private company which owned a large chain of dry cleaning stores, and he operated it with a partner until 2003 when it was sold. Prior thereto he served as Vice Chairman and Chief Financial Officer of Magna International Inc. from 1987 to 1990. Mr. Akerfeldt joined Coopers & Lybrand (now Price Waterhouse Coopers) in 1965 and worked with them until 1987. He was designated as a Chartered Accountant in 1969 and was made a partner in 1974. Mr. Akerfeldt graduated from the University of Waterloo, Waterloo, Ontario, Canada in 1966. Mr. Flynn is admitted as a solicitor of the Supreme Court of England and Wales and the Supreme Court of New South Wales. He is also admitted as a barrister and solicitor of the High Court of Australia. Prior to joining the Company as General Counsel, Mr Flynn consulted to the Company in respect of a number of transactions. Previously he worked as a senior member of the oil and gas team in the London office of leading international law firm, Ashurst LLP, after having started his legal career in the Sydney and Bangkok offices of leading Asia-Pacific firm, Allens Arthur Robinson. Mr Flynn holds a Master of Letters from the University of St Andrews (taken as Chevening Scholar), a Master of Laws (International Law) from the University of Sydney, a Bachelor of Laws (with Honours) from Griffith University and a Bachelor of Commerce (Accounting and Finance) from Griffith University. None of persons being appointed pursues any directly competitive activity towards the Issuer. They are neither a shareholders in a directly competitive partnership nor a members of the body of a company or any other directly competitive legal person, except for their activity within the KOV Group. None of them has been entered into the register of insolvent debtors (Rejestr Dłużników Niewypłacalnych) described in the Regulation of the Ministry of Finance dated 19 February 2009 on current and periodical information published by issuers of securities and on conditions under which information required by legal regulations of a third country may be recognized as equivalent.
