| Kierownictwo Wyższego Szczebla KULCZYK OIL VENTURES INC. (Spółka, Emitent) informuje, iż w dniu 30 listopada 2010 r. Zarząd Krajowego Depozytu Papierów Wartościowych S.A. podjął uchwałę nr 763/10 dotyczącą rejestracji w depozycie akcji Spółki o następującej treści: "Na podstawie §40 ust. 2, 4a i 6 oraz § 2 ust.1 i 4 Regulaminu Krajowego Depozytu Papierów wartościowych, po rozpatrzeniu wniosku spółki KULCZYK OIL VENTURES INC., Zarząd Krajowego Depozytu postanawia rejestrować w Krajowym Depozycie Papierów Wartościowych pod kodem CA5012401058 do 750.000 (siedemset pięćdziesiąt tysięcy) imiennych akcji zwykłych spółki KULCZYK OIL VENTURES INC. bez wartości nominalnej każda, pod warunkiem ich rejestrowania przez CLEARSTREAM BANKING S.A., LUXEMBOURG pod kodem CA5012401058 na koncie prowadzonym dla Krajowego Depozytu oraz podjęcia decyzji przez spółkę prowadzącą rynek regulowany o wprowadzeniu tych akcji do obrotu na tym samym rynku regulowanym, na który zostały wprowadzone inne akcje tej spółki oznaczone kodem CA5012401058, z zastrzeżeniem ust. 2. 2. Krajowy Depozyt rozpocznie rejestrację w Krajowym Depozycie Papierów Wartościowych akcji, o których mowa w ust. 1, w terminie trzech dni od dnia złożenia przez spółkę KULCZYK OIL VENTURES INC. w Krajowym Depozycie dokumentów potwierdzających podjęcie przez spółkę prowadzącą rynek regulowany decyzji, o której mowa w ust. 1, nie wcześniej jednak niż w dniu wskazanym w tej decyzji jako dzień wprowadzenia tych akcji do obrotu na tym rynku. §2 Informacja o zajściu przesłanki umożliwiającej rejestrowanie w Krajowym Depozycie Papierów Wartościowych akcji wskazanych w §1 ust. 1 zostanie przekazana w formie komunikatu Krajowego Depozytu. §3 Uchwała wchodzi w życie z dniem podjęcia." Wyżej wymienione akcje Spółki zostały wyemitowane w dniu 2 września 2010 r. w wyniku wykonania przydzielonych opcji przez uprawnionych uczestników Programu Opcji na Akcje, zatwierdzonego przez akcjonariuszy Spółki w czerwcu 2003 r., oraz opisanego w Prospekcie emisyjnym Spółki (s. 224-227). Emitent informował o emisji ww. akcji w raporcie bieżącym nr 33/2010 z dnia 2 września 2010 r. Jednocześnie Spółka informuje iż Zarząd Krajowego Depozytu Papierów Wartościowych podjął w dniu 30 listopada 2010 r. uchwałę nr 764/10 o następującej treści: "§1 Na podstawie § 2 ust 1 i 4 Regulaminu Krajowego Depozytu Papierów Wartościowych, po rozpatrzeniu wniosku spółki KULCZYK OIL VENTURES INC., w związku z dokonanym umorzeniem 1.219.061 (jeden milion dwieście dziewiętnaście tysięcy sześćdziesiąt jeden) akcji tej spółki, Zarząd Krajowego Depozytu stwierdza, że pod kodem CA5012401058 rejestrowanych jest 400.753.330 (czterysta milionów siedemset pięćdziesiąt trzy tysiące trzysta trzydzieści) akcji spółki KULCZYK OIL VENTURES INC. §2 Uchwała wchodzi z życie z dniem jej podjęcia." Umorzenie akcji Emitenta o którym mowa powyżej zostało dokonane w dniu 17 sierpnia 2010 r. o czym Emitent informował w raporcie bieżącym nr 29/2010 z dnia 19 sierpnia 2010 r. i dokonane zostało w związku z wykonaniem opcji stabilizacyjnej, o czym Emitent informował w raporcie bieżącym nr 16/2010 z dnia 8 lipca 2010 r. oraz na str. 338 Prospektu Emisyjnego KULCZYK OIL VENTURES INC W dniu 1 grudnia 2010 r. Emitent otrzymał informację z Biura Giełdy Papierów Wartościowych w Warszawie, iż od sesji w dniu 2 grudnia 2010 r. w obrocie giełdowym notowanych będzie 400753330 szt. akcji KOV zarejestrowanych pod kodem CA5012401058. Title:Resolutions of the National Depository for Securities concerning registration and cancellation of KULCZYK OIL VENTURES INC. shares and change of number of shares listed on the Warsaw Stock Exchange Legal basis:Article 56, section 1, item 2 Act on Public Offering – current and periodical information Content:The Senior Management of KULCZYK OIL VENTURES INC. (‘the Company’, ‘Issuer’) announces that, on 30 November 2010, the Management Board of Krajowy Depozyt Papierów Wartościowych S.A. (the National Depository for Securities) adopted a resolution No 763/10 on registering the Company’s shares, as follows: ”Resolution No. 763/10 by the Management Board of the National Depository for Securities of 30 November 2010. Article 11. Acting on the basis of Article 40 section 2, 4a and 6 and Article 2 section 1 and 4 of the Regulations of the National Depository for Securities, having considered an application from the company KULCZYK OIL VENTURES INC., the Management Board of the National Depository resolves to register up to 750,000 (seven hundred and fifty thousand) ordinary registered shares in the company KULCZYK OIL VENTURES INC., each one without a nominal value, under code number CA5012401058, on condition that those shares are registered by CLEARSTREAM BANKING S.A., LUXEMBOURG, under code number CA5012401058, in an account maintained for the National Depository, and that a decision is reached to introduce the shares to trading on the regulated market to which other shares of the company KULCZYK OIL VENTURES INC. have been introduced under code number CA5012401058 by the company operating that regulated market, but subject to section 2. 2. The National Depository for Securities shall commence the registration of the shares discussed in section 1 within three days from the day on which KULCZYK OIL VENTURES INC. submits documents to the National Depository which confirm that a decision, discussed in section 1, has been reached by the company that operates regulated market, but no sooner than on the day named by the decision on which the shares are introduced to trading on that market. Article 2 Information on any circumstances that prevent the registration of the shares discussed in Article 1, section 1 with the National Depository for Securities shall be conveyed in the form of a bulletin by the National Depository. Article 3 This resolution comes into effect on the day it is adopted.” The aforementioned shares of the Company were issued on 2nd September 2010 following the execution of share options by eligible partners of the Stock Option Plan (‘Plan’). The Plan was approved by the shareholders of the Company in June 2003 and described in the Prospectus (p. 199-202). Issuer has informed about issuance of the above mentioned shares in current report No. 33/2010 of 2nd September 2010.At the same time the Company informs that the Management Board of the National Depository for Securities on 30 November 2010 adopted a resolution No 764/10, as follows: „Article 1 Acting on the basis of Article 2 section 1 and 4 of the Regulations of the National Depository for Securities, having considered an application from the company KULCZYK OIL VENTURES INC., and in connection with the cancellation of 1.219.061 (one million two hundred nineteen thousand and sixty-one) shares of the Company, the Management Board of the National Depository states that 400.753.330 (four hundred of million seven hundred fifty three thousand and three hundred thirty) shares of the company KULCZYK OIL VENTURES INC. are registered under code number CA5012401058. Article 2This resolution comes into effect on the day it is adopted.” The above mentioned cancellation of the Issuer shares was effected on 17 August 2010 (pursuant to information provided by the Issuer in the current report No. 29/2010 of 19 August 2010) following the execution of the Stabilisation Option which was covered in the current report No. 16/2010 of 8 July 2010 and in the Offering Circular of KULCZYK OIL VENTURES INC (p. 301).On 1st December 2010 the Issuer was informed by the Warsaw Stock Exchange Office that starting from the session of 2nd December 2010 there will be 400,753,330 shares of KULCZYK OIL VENTURES registered in the stock exchange trading under code number CA5012401058 Legal basis: Article 34, section 1, item 1 Regulation of the Minister of Finance dated 19 February 2009 oncurrent and periodical information published by issuers of securities and on conditions under which information required by legal regulations of third country may be recognized as equivalent. |
