Zarząd MBF Group S.A. z siedzibą w Warszawie („Emitent”, „Spółka”) informuje, że w dniu 4 września 2025 roku Emitent, zawarł strategiczną umowę konsorcjum z firmą Squadron Sp. z o.o. z siedzibą w Gdańsku oraz Polskim Lobby Przemysłowym im. Eugeniusza Kwiatkowskiego z siedzibą w Warszawie. Konsorcjum zostało powołane w celu wspólnej realizacji przedsięwzięć badawczo-rozwojowych, wdrożeniowych, produkcyjnych i edukacyjnych w obszarze nowoczesnych technologii bezzałogowych (UAV), systemów przeciwdziałania zagrożeniom z powietrza (C-UAS), technologii dual-use oraz projektów związanych z koncepcją Centralnego Okręgu Przemysłowego 2 (COP2).

Na mocy zawartej umowy Emitent pełni funkcję jedynego lidera Konsorcjum, odpowiedzialnego za jego całościową organizację i reprezentację. Squadron Sp. z o.o. oraz Polskie Lobby Przemysłowe pełnią funkcje koordynatorów merytorycznych w zakresie swoich kompetencji, wspierając realizację zadań powierzonych Konsorcjum. Strony nie wykluczają zawierania umów z podmiotami trzecimi, którzy będą pełnić rolę partnerów, przy czym uzgodniono, że preferowanymi partnerami są w szczególności podmioty przemysłu obronnego i cywilnego, jednostki naukowe, centra i instytuty badawczo-rozwojowe, instytuty wojskowe, firmy technologiczne i inżynieryjne, a także inwestorzy branżowi i finansowi wspierający cele Konsorcjum.

Zarząd Spółki wskazuje, że zasadniczym obszarem działalności Konsorcjum będzie realizacja trzech strategicznych przedsięwzięć rozwojowych, dla których przyjęto robocze nazwy oraz określono wstępne charakterystyki, przedstawione poniżej. Projekty te wychodzą poza obszar koncepcji – prace nad nimi zostały rozpoczęte i są w toku. Z uwagi na wysoki poziom poufności oraz ochronę interesów Konsorcjum i jego partnerów, Spółka może na obecnym etapie przekazać jedynie kluczowe informacje.

1. ARES (Artillery Realistic Engagement Simulator) – projekt zakłada zaprojektowanie i wdrożenie zaawansowanego symulatora artyleryjskiego dla kompleksowego szkolenia załóg artylerii lufowej i rakietowej. Rozwiązanie będzie obejmowało m.in. kalibry 122 mm, 152 mm, 155 mm oraz systemy rakietowe. Symulator będzie wyposażony w bazę modułowych scenariuszy obejmujących zróżnicowane warunki pola walki, dowodzenie i procedury kierowania ogniem. Celem jest obniżenie kosztów szkolenia poprzez prowadzenie treningów poza poligonem przy zachowaniu realizmu pola walki, w tym wizualizacji efektów ognia artyleryjskiego.

2. IRYDA PLUS – bezzałogowy samolot myśliwski przeznaczony do zwalczania bezzałogowych statków powietrznych różnych klas. Platforma w formie stałopłatu będzie charakteryzowała się prędkością do 250–280 km/h, możliwością długotrwałego lotu (8–10 godzin) i udźwigiem 15–20 kg, pozwalającym na instalację uzbrojenia strzeleckiego z kompensacją odrzutu. System obejmie naziemną stację sterowania oraz integrację z układem TAS (Target–Aim–Shot) wspieranym przez sztuczną inteligencję. Projekt obejmuje stworzenie demonstratora technologii, testy symulacyjne oraz przygotowanie do komercjalizacji.

3. MALLARD – bezzałogowy samolot transportowy o przeznaczeniu cywilnym, dedykowany sektorowi transportowemu, kurierskiemu i spedycyjnemu. Konstrukcja umożliwi osiąganie prędkości do 300 km/h, zasięgu pozwalającego na transgraniczne operacje transportowe oraz udźwigu do 1.500 kg. Całość systemu będzie w pełni automatyczna, a w dalszych etapach przewiduje się rozszerzenie zdolności operacyjnych o trudne warunki klimatyczne (arktyczne, pustynne, górskie). Projekt stanowi innowacyjną alternatywę wobec tradycyjnych form logistyki drogowej i lotniczej.

Emitent, jako lider Konsorcjum, będzie odpowiadał za organizację i koordynację prac, obsługę administracyjną, pozyskiwanie finansowania z funduszy unijnych, rynku kapitałowego i od inwestorów prywatnych, a także za budowę struktur właścicielskich, kontraktację i dystrybucję produktów oraz relacje inwestorskie i komunikację giełdową. MBF Group wnosi ponadto kompetencje w zakresie compliance, ryzyka (KYC/AML, sankcje), pozwoleń i licencji, jak również wsparcie ekspansji eksportowej i akwizycji partnerów.

Partnerem technologicznym Konsorcjum jest Squadron Sp. z o.o., należący do Grupy Technologicznej ASE Group, który dysponuje zespołem ekspertów z doświadczeniem wojskowym i cywilnym. Firma odpowiada za prace koncepcyjne, projektowe i inżynieryjne w zakresie UAV i systemów antydronowych, integrację systemów, rozwój symulatorów i środowisk treningowych, a także prowadzenie testów i badań poligonowych. Squadron zapewnia również wsparcie w procesach certyfikacyjnych, cyberbezpieczeństwie, przygotowaniu szkoleń i dokumentacji technicznej dla instytucji regulacyjnych.

Trzecim partnerem jest Polskie Lobby Przemysłowe im. Eugeniusza Kwiatkowskiego, niezależne forum eksperckie działające od 1993 roku, które skupia przedstawicieli nauki, przemysłu, związków zawodowych i środowisk wojskowych. PLP wnosi do Konsorcjum kompetencje w zakresie analiz, ekspertyz i rekomendacji, a także prowadzi działania opiniotwórcze i lobbystyczne wobec władz publicznych. Organizacja ta od lat promuje i rozwija koncepcję Centralnego Okręgu Przemysłowego 2, pełniąc rolę koordynatora środowisk przemysłowych i akademickich oraz animatora współpracy z instytucjami krajowymi i międzynarodowymi.

Umowa konsorcjum została zawarta na czas nieokreślony. Przewiduje ona powołanie Rady Konsorcjum, złożonej z przedstawicieli każdej ze Stron, jako organu koordynacyjnego odpowiedzialnego za podejmowanie strategicznych decyzji większością dwóch trzecich głosów. Umowa reguluje również kwestie poufności, ochrony reputacji Stron, własności intelektualnej i zasad komercjalizacji, a także wprowadza klauzulę siły wyższej oraz procedury mediacyjne i arbitrażowe dla rozwiązywania sporów. Każda ze Stron zobowiązała się do bieżącej aktualizacji statusu prac nad trzema kluczowymi projektami, szczególnie w przypadku wymagań potencjalnych inwestorów.

Zarząd Spółka informuje, że o przebiegu i zaawansowaniu realizacji poszczególnych kluczowych projektów konsorcjum będzie informował w wydzielonej sekcji w raportach okresowych. W przypadku wystąpienia zdarzeń kluczowych lub nadzwyczajnych, stosowne informacje zostaną przekazane w formie raportów bieżących ESPI.

Zarząd Emitenta podkreśla, że zawarcie wzmiankowanej strategicznej umowy konsorcjum jest naturalną konsekwencją wcześniej podpisanych porozumień, o których Spółka informowała raportami bieżącymi, w tym raportem ESPI nr 31/2025 z dnia 18 lipca 2025 roku dotyczącym zawarcia umowy patronackiej z Polskim Lobby Przemysłowym w zakresie wspierania projektów dronowych i koncepcji COP2 oraz raportem ESPI nr 41/2025 z 18 sierpnia 2025 roku dotyczącym podpisania umowy ramowej o współpracy technologicznej i finansowaniu projektów ze spółką Squadron Sp. z o.o. Dzisiejsze porozumienie konsoliduje te działania w jedną, długoterminową strukturę, zapewniającą spójność prac i formalizującą role poszczególnych podmiotów, a tym samym wzmacnia fundamenty dalszego rozwoju Emitenta w sektorze nowoczesnych technologii bezzałogowych i systemów podwójnego zastosowania.

Zawarcie niniejszej umowy stanowi istotny etap w realizacji strategii MBF Group na lata 2024–2026, zakładającej dywersyfikację działalności i wejście w sektor nowoczesnych technologii, w tym systemów bezzałogowych i rozwiązań dual-use, a tym samym umacnia pozycję Spółki jako integratora przedsięwzięć przemysłowych i innowacyjnych. Zarząd Emitenta uznaje niniejszą informację za poufną z uwagi na istotne znaczenie projektu dla rozwoju kompetencji Spółki w sektorze wysokich technologii obronnych oraz potencjalny wpływ na przyszłe przychody i wartość rynkową Emitenta.

	MESSAGE (ENGLISH VERSION)
	The Management Board of MBF Group S.A. with its registered office in Warsaw (the ‘Issuer’, ‘Company’) announces that on 4 September 2025, the Issuer entered into a strategic consortium agreement with Squadron Sp. z o.o. with its registered office in Gdańsk and the Eugeniusz Kwiatkowski Polish Industrial Lobby with its registered office in Warsaw. The consortium was established for the purpose of joint implementation of research and development, implementation, production and educational projects in the field of modern unmanned technologies (UAV), counter-unmanned aerial systems (C-UAS), dual-use technologies and projects related to the concept of the Central Industrial District 2 (COP2). Under the agreement, the Issuer acts as the sole leader of the Consortium, responsible for its overall organisation and representation. Squadron Sp. z o.o. and the Polish Industrial Lobby act as substantive coordinators within their areas of competence, supporting the implementation of the tasks entrusted to the Consortium. The parties do not exclude the possibility of concluding agreements with third parties who will act as partners, but it has been agreed that the preferred partners are, in particular, entities from the defence and civil industries, scientific units, research and development centres and institutes, military institutes, technology and engineering companies, as well as industry and financial investors supporting the Consortium's objectives. The Company's Management Board indicates that the Consortium's main area of activity will be the implementation of three strategic development projects, for which working names and preliminary characteristics have been adopted, as presented below. These projects go beyond the conceptual stage – work on them has already begun and is ongoing. Due to the high level of confidentiality and protection of the interests of the Consortium and its partners, the Company can only provide key information at this stage. 1. ARES (Artillery Realistic Engagement Simulator) – the project involves the design and implementation of an advanced artillery simulator for comprehensive training of barrel and rocket artillery crews. The solution will include, among others, 122 mm, 152 mm and 155 mm calibres and rocket systems. The simulator will be equipped with a database of modular scenarios covering various battlefield conditions, command and fire control procedures. The aim is to reduce training costs by conducting training outside the training ground while maintaining the realism of the battlefield, including the visualisation of artillery fire effects. 2. IRYDA PLUS – an unmanned fighter aircraft designed to combat unmanned aerial vehicles of various classes. The fixed-wing platform will have a speed of up to 250–280 km/h, a long flight duration (8–10 hours) and a payload capacity of 15–20 kg, allowing for the installation of recoil-compensated firearms. The system will include a ground control station and integration with an AI-supported TAS (Target–Aim–Shot) system. The project involves the creation of a technology demonstrator, simulation tests and preparation for commercialisation. 3. MALLARD – an unmanned transport aircraft for civilian use, dedicated to the transport, courier and forwarding sectors. The design will enable speeds of up to 300 km/h, a range allowing for cross-border transport operations and a payload of up to 1,500 kg. The entire system will be fully automated, and in further stages, it is planned to extend its operational capabilities to difficult climatic conditions (Arctic, desert, mountainous). The project is an innovative alternative to traditional forms of road and air logistics. As the leader of the Consortium, the Issuer will be responsible for organising and coordinating work, administrative services, obtaining financing from EU funds, the capital market and private investors, as well as for building ownership structures, contracting and distributing products, investor relations and stock exchange communication. MBF Group also contributes expertise in compliance, risk (KYC/AML, sanctions), permits and licences, as well as support for export expansion and partner acquisition. The Consortium's technology partner is Squadron Sp. z o.o., part of the ASE Group Technology Group, which has a team of experts with military and civilian experience. The company is responsible for conceptual, design and engineering work in the field of UAVs and anti-drone systems, system integration, the development of simulators and training environments, as well as conducting tests and field trials. Squadron also provides support in certification processes, cybersecurity, training preparation and technical documentation for regulatory institutions. The third partner is the Eugeniusz Kwiatkowski Polish Industrial Lobby, an independent expert forum operating since 1993, which brings together representatives of science, industry, trade unions and military circles. The PLP contributes to the Consortium with its expertise in analysis, expert opinions and recommendations, and also conducts opinion-forming and lobbying activities vis-à-vis public authorities. For years, this organisation has been promoting and developing the concept of the Central Industrial District 2, acting as a coordinator of industrial and academic circles and a facilitator of cooperation with national and international institutions. The consortium agreement has been concluded for an indefinite period. It provides for the establishment of a Consortium Council, composed of representatives of each of the Parties, as a coordinating body responsible for making strategic decisions by a two-thirds majority vote. The agreement also regulates issues of confidentiality, protection of the Parties' reputation, intellectual property and commercialisation rules, and introduces a force majeure clause and mediation and arbitration procedures for dispute resolution. Each Party has undertaken to provide ongoing updates on the status of work on three key projects, particularly in the case of potential investor requirements. The Company's Management Board announces that it will report on the progress and advancement of individual key projects of the consortium in a separate section of its periodic reports. In the event of key or extraordinary events, relevant information will be provided in the form of current reports to the Polish Financial Information Agency (ESPI). The Issuer's Management Board emphasises that the conclusion of the aforementioned strategic consortium agreement is a natural consequence of previously signed agreements, about which the Company informed in current reports, including ESPI report No. 31/2025 of 18 July 2025 concerning the conclusion of a patronage agreement with the Polish Industrial Lobby in the field of supporting drone projects and the COP2 concept, and ESPI report No. 41/2025 of 18 August 2025 concerning the signing of a framework agreement on technological cooperation and project financing with Squadron Sp. Today's agreement consolidates these activities into a single, long-term structure, ensuring consistency of work and formalising the roles of individual entities, thereby strengthening the foundations for the Issuer's further development in the sector of modern unmanned technologies and dual-use systems. The conclusion of this agreement is an important step in the implementation of the MBF Group's strategy for 2024-2026, which assumes diversification of activities and entry into the sector of modern technologies, including unmanned systems and dual-use solutions, thus strengthening the Company's position as an integrator of industrial and innovative projects. The Issuer's Management Board considers this information to be confidential due to the significant importance of the project for the development of the Company's competences in the high-tech defence sector and its potential impact on the Issuer's future revenues and market value.
