| W nawiązaniu do raportów bieżących nr 12/2023 z dnia 28 marca 2023 r. oraz nr 23/2023 z dnia 14 czerwca 2023 r., Zarząd spółki PCF Group S.A. („Spółka”) informuje, że w dniu 23 kwietnia 2025 r. Spółka, kluczowy akcjonariusz Spółki i Prezes Zarządu Spółki Sebastian Wojciechowski oraz Krafton Inc. („Inwestor”) zawarli aneks („Aneks”) do umowy inwestycyjnej z dnia 28 marca 2023 r., z późniejszymi zmianami („Umowa Inwestycyjna”). Na podstawie Aneksu Inwestor zrzekł się przyznanych mu w Umowie Inwestycyjnej: (1) prawa do pierwszeństwa w negocjacjach (ang. right of first negotiation) oraz (2) prawa do pierwszeństwa zawarcia umowy (ang. right of first refusal), odnoszących się do wszelkich umów dotyczących projektu Victoria lub projektu Bifrost, które Spółka zamierzałaby zawrzeć w przypadku podjęcia decyzji o wydaniu któregokolwiek z tych projektów w modelu innym niż self-publishing. Pozostałe istotne postanowienia Umowy Inwestycyjnej nie uległy zmianom. |

| Conclusion of the annex to the investment agreement between PCF Group S.A., Krafton Inc. and Sebastian WojciechowskiWith reference to current reports no. 12/2023 dated 28 March 2023 and no. 23/2023 dated 14 June 2023, the Management Board of PCF Group S.A. (the “Company”) informs that on 23 April 2025 the Company, the key shareholder of the Company and the President of the Company’s Management Board Sebastian Wojciechowski and Krafton, Inc. (the “Investor”) concluded an annex (the “Annex”) to the investment agreement dated 28 March 2023, as amended (the “Investment Agreement”). Pursuant to the Annex the Investor waived the following rights granted to it in the Investment Agreement: (1) the right of first negotiation and (2) the right of first refusal, relating to any agreements concerning project Victoria or project Bifrost that the Company would intend to enter into if it decides to release either of these projects in a model other than self-publishing. Other material provisions of the Investment Agreement remain unchanged. |
